This Agreement (“Agreement”) is made between American Streaming Networks, LLC, a Wyoming limited liability company (“Company”), and the undersigned real estate professional (“Agent”).
1. Program Purpose
The Seniors Agent Success™ Program promotes the Agent’s services as a certified Seniors Real Estate Specialist® (SRES®) and provides branding, educational content, visibility, and opportunities to connect with seniors and their families seeking real estate services through:
· Senior Lifestyle Television Streaming Channels
· Customized Marketing Assets and Templates
· Profile Listing on the National Seniors Agent Directory · Webinars and educational content · And more
2. Term
This Agreement is valid for twelve (12) months from the date of signature and automatically renews for additional twelve (12) month terms unless either party provides written notice of cancellation at least thirty (30) days prior to renewal.
3. Agent Responsibilities
The Agent agrees to:
· Provide a headshot, biography, contact details, and proof of an active real estate license (and SRES® designation)
· Respond promptly and professionally to all leads or inquiries generated through the program
· Uphold the ethical standards of the SRES® designation and maintain a license in good standing
· Keep directory information current and accurate
4. Company Responsibilities
The Company will:
· Provide initial marketing materials including social media posts and flyers
· Feature the Agent in the National Seniors Agent Directory
· Promote the Agent in online and offline marketing campaigns, including streaming platforms and media outreach
· Provide opportunities for participation in events, webinars, and/or video content creation as the program expands
5. Fees & Payment
Participation requires:
· Setup Fee (non-refundable): $250
· Monthly Marketing Fee: $100 per month (12 months)
Payment Options:
Annual Plan
$1,232.50 (includes set up fee and 15% discount)
Billed at commencement of the Agreement
Monthly Plan
$250 upfront (setup fee + first month)
$100/month thereafter
Agent agrees that:
If the individual monthly option is selected (not Sponsor option), setup fee and first monthly or annual payment will be charged upon execution.
$100 will be automatically withdrawn each month on the same calendar day the initial payment was made (or next business day).
A $20 service charge may be applied for declined or returned transactions.
Authorization remains in effect for the term of this Agreement, including renewals, unless Agent provides written cancellation at least 30 days before the next billing date.
The Company uses commercially reasonable safeguards to protect cardholder information. Agent releases the Company from liability for unauthorized access beyond its reasonable control.
Agent may update payment information at any time in writing. By signing this Agreement, the Agent authorizes American Streaming Networks, LLC to securely store the Agent’s credit card information in the Company’s merchant services account for recurring subscription payments.
Sponsor Plan
Sponsor covers the payment of Agent participation through one of the options outlined above.
6. Sponsor-Funded Membership Option (NEW)
Agents may choose to participate through a Sponsor-Funded Membership (“Sponsor Plan”) in which one or more third-party sponsors (“Sponsors”) pay the Agent’s membership dues.
6.1 Selection of Sponsor Plan
By selecting the Sponsor Plan, the Agent agrees to:
a. Provide the name, business name, phone number, and email address of each intended Sponsor within five (5) business days of signing this Agreement.
b. A minimum of one (1) active Sponsor is required to activate the Sponsor Plan.
c. A second Sponsor may be added to unlock additional incentives and promotional benefits.
6.2 Activation of Membership
The Agent’s SAS membership will not activate under the Sponsor Plan until:
a. Each Sponsor signs a separate Sponsor Agreement issued by the Company; and
b. Each Sponsor submits valid payment information and the first payment processes successfully.
Membership benefits begin only after Sponsor payment(s) are completed.
6.3 Sponsor Payments
Each Sponsor agrees (via separate Sponsor Agreement) to fund the Agent’s membership at:
$100.00/month per Sponsor, billed automatically,
or
the annual payment option offered by the Company at the time of enrollment.
The Agent is not responsible for collecting or processing Sponsor payments.
6.4 Sponsor Non-Payment or Cancellation
If a Sponsor:
Fails to sign the Sponsor Agreement
Declines to provide payment
Cancels payment
Fails to pay for any reason
Then:
a. The Agent will be notified,
b. The Agent will have seven (7) days to provide a replacement Sponsor, and
c. If no replacement Sponsor is provided, the Agent agrees to assume personal responsibility for dues under the standard Monthly Plan until a replacement is secured.
6.5 Sponsor Benefits & Directory Placement
Sponsors in good standing receive:
· A listing in the National Seniors Agent Directory
· Logo, business description, and contact information displayed
· Placement or acknowledgment in marketing and outreach materials (where applicable)
If a Sponsor cancels or becomes delinquent, their listing and visibility will be removed immediately.
6.6 Additional Agent Benefits with Two Sponsors
Agents with two (2) active Sponsors receive additional incentives, which may include:
· Additional air-time points
· Priority recording scheduling
· Featured placement in marketing or directory
· Additional promotional exposure
These benefits apply only while both Sponsors remain active.
6.7 No Guarantee of Sponsors
The Company does not guarantee Sponsor participation. Securing Sponsors is ultimately the Agent’s responsibility.
6.8 Trademark & Compliance Notice
The Agent acknowledges:
· SRES® is a registered trademark of the National Association of REALTORS® (NAR).
· The Seniors Agent Success™ Program and Senior Lifestyle Network are independent initiatives and are not affiliated with, endorsed by, or sponsored by NAR, the SRES® Council, or any REALTOR® association.
6.9 Sponsor Application Process (Agent Responsibility)
If the Agent selects the Sponsor Plan, the Company will provide the Agent with a digital Sponsor Application Form link. The Agent agrees to:
a. Forward this link directly to each intended Sponsor;
b. Follow up with Sponsors to ensure completion; and
c. Ensure that all Sponsors have submitted the required Sponsor Applications, signed Sponsor Agreements, and payment details.
Activation Contingency
The Agent’s membership will not activate, and no marketing assets will be produced, until:
Sponsor(s) has completed their Sponsor Application Form(s);
Sponsor Agreement(s )has been signed; and
Sponsor payment(s) has been successfully processed.
7. Use of Image & Likeness
The Agent grants the Company the right to use their name, photo, brokerage, testimonials, likeness, etc., for promotional and broadcast purposes related to the Seniors Agent Success™ Program and Senior Lifestyle TV Network.
8. Termination
Either party may terminate with 30 days’ written notice. No refunds once payment is processed. The Company may remove an Agent for non-payment, misrepresentation, or unethical conduct.
9. Limitation of Liability
The Company does not guarantee the number of leads, sales, or outcomes. Participation is primarily for exposure and branding.
10. Governing Law
This Agreement is governed by the laws of the State of Wyoming.
11. Acknowledgment of Independence from NAR
The Agent acknowledges:
· The Senior Lifestyle TV Program is not affiliated with or endorsed by NAR.
· REALTOR® and SRES® are federally registered marks owned by NAR; used here only descriptively.
12. Indemnification
The Agent agrees to proof all materials and listings and to indemnify and hold harmless the Company from any claims, liabilities, or damages arising from participation.
13. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any previous verbal or written agreements. Any modifications must be made in writing and signed by both parties.
