DIGI DISCOUNTS – MERCHANT TERMS OF SERVICE
By clicking “Submit,” “Join,” or similar acceptance, you (“Merchant,” “you,” or “your”) agree to be bound by these Merchant Terms of Service (“Agreement”) with Digi Discounts, LLC (“Digi Discounts,” “we,” “us,” or “our”).
If you do not agree, do not submit your business or offers to the Digi Discounts platform.
1. Platform Description
Digi Discounts operates a digital platform and mobile applications (digiFREE, digiPLUS) that allows merchants to promote discounts, deals, and offers to consumers (“Platform”).
Digi Discounts is not a seller, is not a reseller, and does not process transactions between you and customers.
2. Merchant Offers & Responsibilities
You are solely responsible for:
The accuracy, legality, and completeness of all offers, promotions, and information you submit
Honoring all offers as displayed on the Platform
Clearly communicating any restrictions, expiration dates, or limitations
Compliance with all applicable federal, state, and local laws
Digi Discounts does not guarantee customer volume, sales, or revenue.
3. No Fees or Commissions
Digi Discounts does not charge merchants any commissions, transaction fees, or participation fees under this Agreement.
4. Customer Transactions
All transactions occur directly between you and the customer.
Digi Discounts:
Does not collect payment
Does not issue refunds
Is not responsible for disputes, chargebacks, or customer complaints
5. License to Use Merchant Content
You grant Digi Discounts a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and promote:
Your business name
Logo
Trademarks
Submitted offers and content
Solely for the purpose of operating and marketing the Platform.
6. No Partnership or Endorsement
Nothing in this Agreement creates:
A partnership
A joint venture
An agency relationship
You may not represent that Digi Discounts endorses or guarantees your business or offers.
7. Removal & Termination
Digi Discounts may:
Modify, suspend, or remove any offer or merchant listing
Terminate this Agreement at any time, for any reason, with or without notice
You may stop participating at any time by requesting removal.
8. Disclaimer of Warranties
The Platform is provided “AS IS” and “AS AVAILABLE.”
Digi Discounts makes no warranties, express or implied, including:
Merchant performance
Customer engagement
Platform availability
9. Limitation of Liability
To the maximum extent permitted by law:
Digi Discounts shall not be liable for indirect, incidental, or consequential damages
Digi Discounts’ total liability shall not exceed $100
10. Indemnification
You agree to defend, indemnify, and hold harmless Digi Discounts from any claims arising from:
Your offers
Your business operations
Customer disputes
Legal or regulatory violations
11. Governing Law
This Agreement shall be governed by the laws of the State of New Jersey, without regard to conflict of law principles.
12. Acceptance
By clicking “Submit,” you acknowledge that:
You are authorized to bind the business
You have read and agree to these Terms
