These Terms & Conditions (“Agreement”) govern your participation in the ISA Growth Partners Affiliate Program (“Program”), operated by ISA Marketing & Business Development, LLC, a Texas-based marketing agency (“ISA,” “we,” “our,” or “us”). By joining the Program, you (“Affiliate,” “you,” or “your”) agree to comply with all terms outlined below. 1. Eligibility Participants must be at least 18 years old. Eligible Affiliates include entrepreneurs, independent sales representatives, marketing agencies, consultants, or business organizations. ISA reserves the right to approve or reject any affiliate application at our sole discretion. 2. Enrollment & Account Affiliates must complete the official application form. You are responsible for providing accurate information and updating it as needed. Each Affiliate receives a unique referral ID/link for tracking purposes. 3. Referral Process & Commissions Commissions are earned when a referred client successfully purchases ISA services through your unique referral link. Commission rates, recurring revenue, and bonuses are outlined in the Affiliate Dashboard and may change at ISA’s discretion with 30-day notice. Payments are issued monthly via [payment method, e.g., ACH, PayPal] after verification of sales. Affiliates will not earn commissions on self-referrals, fraudulent activity, or misrepresented leads. ISA reserves the right to withhold or adjust commissions in cases of dispute or suspected fraud. 4. Marketing Guidelines & Prohibited Activities Affiliates must adhere to all applicable laws, ethical standards, and ISA branding guidelines: Do not misrepresent ISA, its services, or its affiliate program. Do not engage in spam, unsolicited email campaigns, or illegal advertising methods. Do not bid on ISA trademarked terms in search engine marketing without written permission. Affiliates may use only approved marketing materials, logos, and templates provided by ISA. Affiliates must comply with the Federal CAN-SPAM Act, Texas Business & Commerce Code, and other applicable federal and state regulations. Violation of these rules may result in immediate termination from the program and forfeiture of unpaid commissions. 5. Intellectual Property ISA retains all rights, titles, and interest in its trademarks, service marks, logos, content, and proprietary materials. Affiliates are granted a limited, non-exclusive, non-transferable license to use approved ISA materials solely for marketing under this Program. Unauthorized use of ISA intellectual property is prohibited. 6. Term & Termination This Agreement is effective upon acceptance into the Program and continues until terminated by either party. ISA may terminate your participation immediately for violations of this Agreement, fraudulent activity, or actions harmful to ISA’s reputation. Affiliates may terminate their participation at any time by notifying ISA. Upon termination, all unpaid commissions will be paid only for verified referrals made before termination, unless termination is due to breach of this Agreement. 7. Disclaimers & Limitation of Liability ISA provides services “as is” and makes no guarantees regarding revenue or results from affiliate marketing. Affiliates assume all responsibility for their marketing activities and compliance with applicable laws. ISA is not liable for indirect, incidental, consequential, or punitive damages arising from the Program. The total liability of ISA under this Agreement shall not exceed the amount of commissions paid or payable to the Affiliate in the 6 months preceding any claim. 8. Confidentiality Affiliates must maintain the confidentiality of all non-public information obtained through the Program, including client lists, pricing, and proprietary methods. Disclosure without prior written consent is prohibited. 9. Texas Law & Dispute Resolution This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from or related to this Agreement will first be attempted to resolve through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Houston, Texas under the rules of the American Arbitration Association (AAA). 10. Amendments ISA reserves the right to modify these Terms & Conditions at any time with 30 days’ notice via email or affiliate dashboard update. Continued participation constitutes acceptance of changes. 11. Miscellaneous This Agreement constitutes the entire understanding between ISA and the Affiliate. No agency, partnership, or joint venture is created by this Agreement. If any provision is found invalid or unenforceable, the remaining provisions remain in effect. By submitting your application to ISA Growth Partners, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
