    A booth/space/exhibit rental fee of $250.00 for the space identified as Tier 2 Sponsor aka The Leeds Legacy will be charged with 100% of that fee to accompany this signed agreement. Tier one includes a 6 foot table, logo or name on website, social media shout out, company name on T-shirt, and free entry into paranormal group game show.

    A booth/space/exhibit rental fee of $500.00 for the space identified asTier 3 Sponsor aka The Devil of the Pines will be charged with 100% of that fee to accompany this signed agreement. Tier one includes 6 foot table, business card on website, and social media shout out, company name on T-shirt, free entry into paranormal group game show, free entry into paranormal group of the year contest (provided entry form is filled out). 

     

  • VENDOR/EXHIBITOR/SPONSOR AGREEMENT

  • This agreement is for the event known as The Hollow: Paracon and Film Fest. Please read all sections and e-sign were required. All required sections must be completed along with payment for successful submission of your applicatiom. 

    Nine Lives Paranormal LLC, Beautiful Darkness LLC, Parasight Corp (501 3c) and Wicked Laugh Productions DBA Nine Lives Paranormal are the event producer, organizer, planner and the sole owners of the event brands Nine Lives Paranormal Events and all subsequent themed events produced under those brands.

     (“Exhibitor”) The event known as The Hollow: Paracon and Film Fest (“Event”) will be held Stockton University_(“Facility”) with an address of 101 Vera King Farris Dr, Galloway, NJ 08205 on August 22, 2026 through August 22, 2026. The exhibit hall will be open for load in and set up only on 8/22/26 From 10 AM to 11AM.

    There will be a hard start at 11:00 AM so please plan ahead.

     

    Exhibitors will be responsible for their own housing, transportation, parking, and meals and those of their staff.

    Exhibitors who sell products or services assume full responsibility for securing all necessary licenses and permits for their business/operation and paying and collecting all applicable taxes and fees. Exhibitors will comply with all federal, state and local laws as well as the rules and regulations of the facility.

    Exhibitors are expected to cross promote THE HOLLOW: Paracon and Film Fest a minimum of once a week where @ninelivesparanormal is tagged.

    Unless otherwise specified, no alcoholic beverages or food will be sold at the events unless sold by the event itself.

    1. LOCATION OF EXHIBITS

    All exhibits will be located under one roof at the Facility. Exhibitor will be defined a specific space by Nine Lives Paranormal provided event is not a first in/last out set up:

    2. DEFINE TERMS

    a. “Agreement” shall mean the herein Exhibitor Agreement.

    b. “Event” shall mean the specific event listed above and encompassed by this agreement.

    c. “Facility” shall mean Stockton University

    d. “Booth”, “Space”, “Table”, or “Exhibit”, shall mean the area leased to Exhibitor by Nine Lives Paranormal, pursuant to this Agreement.

    e. “Exhibitor” may also mean demonstrator, performer, presenter and/or entertainer.

    3. EFFECTIVE DATE AGREEMENT

    This Agreement shall become legally binding and effective only when the Exhibitor has completed the registration form and Nine Lives Paranormal has received the 50% deposit.

    4. ASSUMPTION OF RISK

    Exhibitor expressly assumes all risks associated with, resulting from or arising in connection with the Exhibitor’s participation in or presence at Event, including, but not limited to theft, loss, or damage of property, damage or injury to person or persons, (including death), or loss of income or future income, whether caused by negligent, intentional, or accidental acts, acts of God, acts of war, acts of terrorism, governmental emergency, public health necessity, imposition of martial law, labor strike or unrest, or otherwise or the inability of Facility to host Event. Neither Nine Lives Paranormal nor Facility accepts any responsibility for theft, loss or damage of property, including items stored by or at Nine Lives Paranormal or Facility, damage or injury to person or persons, (including death), or loss of income, whether caused by negligent, intentional, or accidental acts, acts of God, acts of war, acts of terrorism, governmental emergency, public health necessity, imposition of martial law, labor strike or unrest, or otherwise.

    5. GENERAL RELEASE

    Exhibitor hereby agrees to release Nine Lives Paranormal and Facility, their officers, agents, directors, stockholders, owners, attorneys, insurers, lawyers, assigns, and affiliated and subsidiary corporations, and employees, and each of them, from all actions, suits, liens, losses, debts, damages, claims, causes of actions, personal injuries or property damage, including subrogation claims, specifically including, but not limited to, those claims and causes of actions which may arise out of the participation of Nine Lives Paranormal, exhibitor, and/or Facility, in the Event and/or any acts which occur between the date of the Signing of this Agreement and the conclusion of the Event.

    6. INDEMNIFICATION

    Exhibitor agrees to indemnify, hold harmless, and otherwise defend, including but not limited to acquiring legal defense, Nine Lives Paranormal and Facility against any and all claims, damages, costs, fees (including reasonable attorney’s fees), demands, suits, causes of action, arbitration demands and arbitrations, liens and mechanics liens, which result from Exhibitor’s participation or presence at the Event, including but not limited to:

    a. Any breach by Exhibitor of this or any Agreement, covenant, promise or other obligation under this Agreement.

    b. Any violation by Exhibitor of any City, County or Municipal Ordinance, or State or federal law.

    c. Any claim of infringement by Exhibitor of patent, copyright, trademark, trade secret, or other proprietary rights.

    D. Claims of libel, slander, defamation or similar harms by Exhibitor.

    e. Claims involving personal injury, wrongful death, property damage, emotional distress, loss of income or future income, misrepresentation, and fraud.

    f. Any other claims involving negligence, breach of contract, or intentional torts.

    g. Any injury or damage to exhibitors’ displays, equipment, and other property brought upon the premises of the exhibition facility.

    Any legal defense shall be at the discretion and direction of Nine Lives Paranormal, including but not limited to litigation, settlement or other legal process. Exhibitor shall give prompt notice of any claim to Nine Lives Paranormal and Facility, shall provide such cooperation and assistance to Nine Lives Paranormal and Facility as is reasonably necessary to defend the claim, and shall allow Nine Lives Paranormal and Facility to have the sole control of the defense, provided, however, that the Exhibitor retains the right to participate in the defense at its own expense. This indemnity shall survive termination of the Agreement for three (3) years.

    7. LIMITATION OF LIABILITY

    Neither Nine Lives Paranormal nor Facility shall be liable for any lost profits, or indirect, collateral, incidental, special, general, consequential or punitive damages, or failure to realize expected savings or other commercial or economic loss of any kind regardless of whether Nine Lives Paranormal or Facility is deemed negligent and whether or not the

    Exhibitor is informed of the possibility of such damages. In no event shall Nine Lives Paranormal or Facility’s actual damages exceed the account actually paid to Nine Lives Paranormal by Exhibitor pursuant to this Agreement.

    8. DISCLAIMER

    Nine Lives Paranormal makes no representation, warranties, guarantees or promises or statements express or implied (either in fact or by operation of law), regarding the number of people who will attend the Event, the amount of revenue Exhibitor can expect to generate from the Event, the number of visitors to visit your booth regardless of location, or any other matters regarding the Event including but not limited to the quality of any services or facilities provided under this agreement. Oral or written information or advice provided by Nine Lives Paranormal or Facility, prior to or after the execution of this Agreement are hereby disavowed, and unless expressly included in this Agreement shall not create any warranty.

    9. INSURANCE

    Exhibitor shall obtain and keep in force during the term of the installation and use of the exhibit premises, policies of Comprehensive General Liability Insurance and Contractual Liability Insurance insuring and specifically referring to contractual liability set forth in an amount no less than $1M Combined Single Limit for personal injury and property damage. Nine Lives Paranormal will be named as co-insured. Exhibitors will provide proof of insurance by: 8/1/2026

    10. EXHIBITOR’S RESPONSIBILITY TO INSURE PROPERTY Exhibitors are required to insure its property against damage, loss, or theft. Nine Lives Paranormal assumes no responsibility to protect, insure, or otherwise prevent theft, loss, or damage to Exhibitor’s property. Exhibitors will provide proof of insurance prior to arrival at the event.

    11. QUALIFICATIONS/ELIGIBILITY OF EXHIBITOR

    Nine Lives Paranormal in its sole discretion determines whether a prospective exhibitor is eligible to participate in the Event. Nine Lives Paranormal reserves the right to restrict or remove any Exhibit that Nine Lives Paranormal, in its sole discretion, determines to be objectionable or inappropriate or otherwise inconsistent with the purposes of Nine Lives Paranormal or Event.

    12. ASSIGNMENT OF EXHIBIT LOCATION

    All measurements shown on the floorplan are believed to be accurate, but Nine Lives Paranormal reserves the right to make such modifications as may be necessary to meet the needs of Exhibitors and the exhibit program as a whole.

    a. Statements as to booth location, in the absence of a written agreement, are not binding upon Nine Lives Paranormal. Nine Lives Paranormal retains sole discretion to determine where to place Exhibitors.

    b. Nine Lives Paranormal reserves the right to determine the eligibility of exhibit space applicants and individual products to be exhibited.

    c. Nine Lives Paranormal will make space assignments in the order applications are received. Location preferences will be accommodated as far as possible. Specifications of spaces, hours and dates for installing, showing and dismantling exhibits shall be those specified by management in setup instructions to be issued to each exhibitor approximately 30 days prior to the event date. Nine Lives Paranormal maintains sole discretion to assign space at the Event and determine the dates of assignment. Any such assignment does not guarantee or imply that a similar space will be assigned for future Events. Nine Lives Paranormal reserves the right to change the floor plan, assignment, or Exhibitor location prior to or during the Event, if Nine Lives Paranormal determines that to do so in the best interest of the Event.

    13. CANCELLATION OF AGREEMENT BY EXHIBITOR

    a. A refund of the registration fee, minus an administrative fee of 25% of the registration fee, will be given for cancellations received up to one month prior to the event, by email to: ninelivesparanormal@gmail.com.

    b. No refunds will be issued less than one month prior to the event.

    c. Emergencies, e.g., illness, death in the family, may be submitted to: ninelivesparanormal@gmail.com. Emergency cases must be submitted prior to the end of the event. Nine Lives Paranormal may require proof of emergency, i.e. doctor’s note, etc. If sufficient documentation is provided, a refund of the registration fee less the administrative fee may be offered by Nine Lives Paranormal. In any particular instance, the sole discretion to offer a refund resides with Nine Lives Paranormal.

    d. In lieu of cancellation, Exhibitor has the option of converting its registration fee into a sponsorship, advertising opportunity, or rental credit (for another event) of equal or greater value of the Event, under Nine Lives Paranormal Events or ProcurementCon. Sponsorship, advertising opportunities, or rental credits are not subject to the administrative fee.

    e. Nine Lives Paranormal reserves the right to treat Exhibitor’s downsizing of booth space as a material deviation of this Agreement and relinquishing the requested booth space, entitling Nine Lives Paranormal to relocate Exhibitor to another booth space at Nine Lives Paranormal’s discretion and choosing. Exhibitor’s voluntarily choosing to downsize without notifying Nine Lives Paranormal within 30 days of the Event, will not result in a difference of the rental fee being returned to Exhibitor.

    f. The terms delineated in subsection a. of this paragraph are agreed-upon liquidated damages, as compensation for the harms Nine Lives Paranormal will suffer due to Exhibitor’s cancellation. These harms may include, but not limited to, monies expended by Nine Lives Paranormal to prepare for the Event, or loss of revenue due to the inability to lease the space to other Exhibitors. Nine Lives Paranormal may be unable to determine the exact amount of damages in a particular instance of cancellation, the terms delineated in subsection a. of this paragraph are agreed-upon liquidated damages and shall not constitute a penalty.

    14. CANCELLATION OF AGREEMENT BY Nine Lives Paranormal

    Nine Lives Paranormal reserves the right to cancel this Agreement, upon immediate written or verbal notice, in the event of any material deviation of the Agreement by Exhibitor, including but not limited to the following:

    a. If the Exhibitor fails to make any payment required by this Agreement.

    b. Substantial deviation in booth size or merchandise displayed.

    c. If Nine Lives Paranormal determines Exhibitor is displaying, or attempting to display, objectionable or inappropriate material (in reference and context to the event). Content such as, but not limited to:

    i. Off-topic messages, or those that are in contrast to Nine Lives Paranormal’s Mission Statement or Strategic Vision

    ii. Libelous and/or defamatory statements

    iii. Personal attacks, insults, or offensive/threatening/hate inducing language

    iv. Illegal content

    d. Exhibitor’s failure to adhere to booth assembly, occupation, and/or dismantling.

    e. If Nine Lives Paranormal does not receive payment in full by due date

    f. Any other material deviation as determined within Nine Lives Paranormal sole discretion or the discretion of the Facility.

    15. EFFECT OF CANCELLATION OF AGREEMENT

    In the event of cancellation by Exhibitor pursuant to Paragraphs 13 or Nine Lives Paranormal pursuant to Paragraphs 14 of this Agreement, Nine Lives Paranormal reserves the right to take any or all of the following steps:

    a. Refuse Exhibitor permission to move in and set up a booth at Facility.

    b. Refuse Exhibitor access to Facility, except, to remove Exhibitor’s property that is already in the Facility at the time of cancellation.

    c. Enter into another Agreement with another vendor for the booth space Nine Lives Paranormal set aside for Exhibitor, which space becomes available due to this cancellation. (Nine Lives Paranormal is not obligated to re-rent the booth space in an effort to mitigate damages.)

    d. Where cancellation is made by Exhibitor under Paragraph 13, a refund of the registration fee, minus an administrative fee of 25% of the registration fee, will be given for cancellations received up to one month prior to the event, by email to ninelivesparanormal@gmail.com. No refunds will be issued less than one month (30 days) prior to the event.

    e. Where cancellation is made by Nine Lives Paranormal under Paragraph 14, the sole discretion to refund the registration fee advanced by Exhibitor pursuant to this Agreement resides with Nine Lives Paranormal.

    16. CANCELLATION OF EVENT

    a. Nine Lives Paranormal reserves the right to cancel Event due to circumstances beyond Nine Lives Paranormal’s control or not reasonably anticipated by Nine Lives Paranormal, including but not limited to, acts of God, acts of war, acts of terrorism, governmental emergency, public health necessity, imposition of martial law, labor strike or unrest, life threatening safety concerns, or otherwise or the inability of Facility to host Event.

    b. If Event is canceled pursuant to subsection a. of this Paragraph, Nine Lives Paranormal shall refund to Exhibitor all registration or and/or other fees payments advanced for booth space, minus a 15% share of costs and expenses incurred by Nine Lives Paranormal prior to cancellation. Expenses include but not limited to any third party fees for marketing and advertising, insurances, Facility charges. Such refund shall release Nine Lives Paranormal and Facility from any and all liabilities due to cancellation.

    c. In the event of Nine Lives Paranormal canceling due to those noted in subsection a, Nine Lives Paranormal reserves the right to rescheduling/ relocating/renaming the event and therefore would give Exhibitor an option to move their registration as thus.

    d. Nine Lives Paranormal will offer exhibitors an option in lieu of a refund to sponsor another event, receive a rental credit for another event, or receive advertising credits, all of equal or greater value.

    17. ACCESS TO SPACE BY EXHIBITOR

    a. Nine Lives Paranormal reserves the right to determine dates and times when Exhibitors may assemble, occupy, and dismantle booths and exhibits. Nine Lives Paranormal and Exhibitor agree that these times are determined by Nine Lives Paranormal to be in the best interest of the Event and must be strictly adhered to by Exhibitor.

    b. Exhibitors and authorized employees of Exhibitor’s are permitted in Exhibitor areas during load in, set up, breakdown/dismantling and load out.

    c. All Exhibitors and Exhibitor employees must have valid state issued ID and their event badge must be displayed at all times.

    18. EVENT HOURS AND EXHIBITOR RESPONSIBILITIES

    Nine Lives Paranormal will distribute separate information regarding Event hours. However, Exhibitor agrees to abide by the following:

    a. Exhibitor booths must remain open in accordance with the hours described in the program distributed in advance of the Event, or as amended by Nine Lives Paranormal.

    b. Exhibitors agree to make every effort to maintain and staff displays during all hours the exhibits are open.

    19. ADVERTISING AND PROMOTIONS

    a. Exhibitor grants to Nine Lives Paranormal and Facility a fully paid perpetual merchandising license to use, display and reproduce Exhibitor’s name, trade name, trademark(s) or product name in every advertising medium utilized for the Event.

    b. Nine Lives Paranormal and Facility shall not be liable for any errors in any listing, advertising or promotional materials, or for omitting any Exhibitor from the directory or other lists, advertising, or other promotional materials.

    c. Exhibitor grants Nine Lives Paranormal and Facility the right to take photographs of Exhibitor’s booth space, exhibits, or merchandise, before, during, or after the Event’s scheduled times, and further grants Nine Lives Paranormal and Facility the right to use such photographs for promotional purposes. Exhibitors agree not to interfere with Nine Lives Paranormal’s or Facility’s attempts to take such photographs for promotional purposes

    d. Exhibitor agrees to deliver to their audience, through platforms or channels of their own selection, at their own cost, the marketing assets provided by Nine Lives Paranormal for the event at regular intervals. Intervals are defined as daily, weekly, and or monthly. Materials will include but are not limited to: Social media graphics, email graphics, programmatic banners, print graphics, out-of-home and over-the-top marketing assets as well as press releases. Exhibitor will: tag Nine Lives Paranormal on social media platforms or provide copies of any blog posts or press releases with links to published material. Default of professional commitments to promote one’s own appearance at the event may result in changes to scheduling, placement, run-of-show and guarantees of participation in parts or all of the event.

    e. Tracking and listening, press releases, tagging, collaboration and link tracking will be used to communicate, promote and identify vendor, exhibitor and/or performers efforts to announce and promote to their audience, their involvement in the event.

    f. Vendor agrees they will participate in any marketing promotions deployed by Nine Lives Paranormal and deploy on behalf of Nine Lives Paranormal. This may include Nine Lives Paranormal interviewing vendor for promotional marketing such as press releases, video interviews, social media announcements.

    g. Vendor will provide and comply with requests for vendors brand assets for use in promotions as defined by this section. Failure to provide the necessary graphics, marketing assets or other promotional requests will result in Nine Lives Paranormal not delivering the announcements to the public market and vendor, exhibitor and or performer not being identified in some or all of the promotional materials deployed by Nine Lives Paranormal for the event. This will not be the fault of Nine Lives Paranormal and will not serve as a vendor’s opportunity to request a partial or total refund of fees.

    20. DAMAGE TO FACILITY

    Exhibitors shall promptly pay for any and all damages to Facility (interior and exterior) & associated facilities,by Exhibitors booth equipment or property of Exhibitors which harm is caused by Exhibitor and/or Exhibitors staff/employees and/or volunteers and/or sub-contractors.

    21. GOVERNING LAWS

    a. Exhibitors shall abide by and observe all federal, state and local laws, codes, ordinances, rules and regulations, and all rules and regulations of the Exhibit Facility.

    b. This Agreement and any dispute arising hereof, shall be governed and interpreted by the laws of the City, County, Municipal and/or State where the Event is held.

    c. If any action should be instituted to resolve a dispute arising out of any matter relating to this Agreement, the parties expressly agree that said dispute shall be resolved within the Courts of the state where the Event is held.

    d. Exhibitor agrees to waive any right to contest personal or subject matter jurisdiction in the event is instituted as described in subsection b. of this Paragraph.

    22. COMPLIANCE WITH LAWS

    a. Prior to the scheduled date of the Event, Exhibitors shall be solely responsible for obtaining licenses, permits or credentials required by Federal, State, or local law applicable to Exhibitor’s activities at Event.

    b. Exhibitors shall be solely responsible for obtaining any necessary tax identification number and paying for all taxes, use fees, or other government fees, levies, or penalties which become due in connection with Exhibitor’s activities at Event.

    c. Exhibitors shall comply with all the rules and regulations of the Facility. Exhibitors shall not permit the delivery of merchandise at Facility without express permission of Nine Lives Paranormal.

    23. USE OF COPYRIGHTED MATERIALS

    Exhibitors shall obtain all necessary rights, permissions, and/or licenses, and pay all required royalties, fees, or other payments for any copyrighted material.

    24. ATTENDANCE

    Nine Lives Paranormal retains sole right to control attendance, in conjunction with State and local laws.

    25. CONDUCT OF EXHIBITOR (see code of conduct attached)

    a. Exhibitors at all times shall conduct themselves in accordance with normal standards of decorum and good taste.

    b. Nine Lives Paranormal reserves the right to close a booth, terminate a contract, or withdraw acceptance of a contract due to Exhibitor’s failure to abide by this provision.

    c. Nine Lives Paranormal in sole judgment may refuse to consider any Exhibitor for participation in future events for failure to abide by this provision.

    d. Nine Lives Paranormal reserves the right to regulate the sound, whether it be music, voice, special or artificial effects to the extent that the same interferes with other lessees within the facilities or is determined to be objectionable or inappropriate or otherwise inconsistent with the purposes of Nine Lives Paranormal or Event or otherwise violates the terms or the rules and regulations of the lease agreement.

    26. NON-ASSIGNMENT OF AGREEMENT

    This Agreement may not be assigned, nor may any right thereto, to any individual or entity. Any attempt to do so is expressly null and void.

    27. INCORPORATION OF ENTIRE AGREEMENT

    a.This Agreement constitutes the entire expressed understanding of Nine Lives Paranormal’s and Exhibitor’s rights, obligations, and liabilities, with respect to its subject matter and supersedes any and all previous and contemporaneous understandings may not be altered by Exhibitor without the express written permission of Nine Lives Paranormal.

    b. Notwithstanding subsection a. of this Paragraph, Nine Lives Paranormal may adopt additional rules or regulation, upon reasonable written notice to Exhibitor, if Nine Lives Paranormal determines they are necessary and in the best interest of the Event. Exhibitors agree to observe and abide by such additional rules and regulations as if set forth in this Agreement.

    28. EXHIBITOR MANUAL AND MATERIALS HANDLING

    Approximately 4-6 weeks prior to the Event, Nine Lives Paranormal will provide Exhibitors with Event Instructions Manual which will contain information integral to Exhibitor’s participation in the Event. The Event Instructions Manual may also contain special updates regarding additional rules and regulations, including but not limited to, registration, shipping and receiving, utilities and building services, exhibitor display rules, and load-in/assembly and load out /dismantling of booths. Exhibitors agree to exhibit only products that it manufactures, represents, or distributes. The Event Instructions Manual may also include specific load in/assembly and load-out/dismantle times specific to each exhibitor and event space.

    29. SECURITY

    However, it is the sole responsibility of the Exhibitor to safeguard goods, materials, equipment, and displays at all times. Neither Nine Lives Paranormal, the conference facility, the official contractor, nor the security company will be liable for any damages or loss of property arising from the Exhibitor’s occupancy of the exhibit space and participation in the conference.

    30. OUTSIDE CONTRACTORS

    a. In the interest of providing the best qualified event team and services in numbers sufficient to handle all of the services necessary to ensure the smooth operation, Nine Lives Paranormal reserves the right to retain outside contractors to provide certain services, which services are to be determined by Nine Lives Paranormal.

    b. No outside contractors, other than those hired by Nine Lives Paranormal, will be allowed to perform the services described in Subsection a. of this Paragraph.

    c. Non-exclusive services may be performed by Exhibitor Appointed contractors (EAC) within guidelines specified by Nine Lives Paranormal.

    31. USE OF AISLES AND COMMON AREAS

    a. Distribution of samples and printed materials, including advertising, is restricted to the exhibit booth space and shall not be in a manner that is objectionable or inappropriate or otherwise inconsistent with the purposes of Nine Lives Paranormal or Event. The determination of whether the manner of display is acceptable resides with Nine Lives Paranormal. However, based on the facility location, spaces may be provided, outside of Exhibitor spaces to deliver advertising and marketing materials. This will be identified in the Exhibitor Instructions and pre-determined by Nine Lives Paranormal and Exhibitor specifically.

    b. The use of aisles, passageways and overhead spaces remains exclusively under the control of Nine Lives Paranormal and the Facility. Any use of these areas by Exhibitors, including the displaying or hanging of signs, decorations, banners, advertising materials or special exhibits, is strictly prohibited without the express written approval of Nine Lives Paranormal.

    c. Exhibitors must arrange equipment to allow Event visitors access through the aisles.

    32. SUBLETTING/ADDITIONAL EXHIBITORS

    a. No subletting or sharing of exhibit space will be permitted without the prior written consent of Nine Lives Paranormal.

    b. If Nine Lives Paranormal allows additional exhibitors, a fee will be assessed in an amount determined by Nine Lives Paranormal.

    c. Additional exhibitors will not be entitled to complimentary items set forth in the Exhibitor’s offering with respect to the particular event. Only the Exhibitor who signed the original Agreement will be entitled to these items.

    33. FIRE PREVENTION

    a. All materials used for display or any other purpose, must meet all fire regulations.

    b. All booth equipment, tables, chairs, displays, and any other Exhibit supplies must not protrude into aisles.

    c. No pyrotechnics or other flammable devices or objects may be used inside the Facility.

    34. LOAD-IN/ASSEMBLY - LOAD-OUT/DISMANTLING

    Setup time, exhibit hall hours, and dismantling time are listed in the Instruction Manual disseminated before the event. Each Exhibitor must deliver to the exhibit hall area all equipment, apparatus, goods, materials, etc., and there erect and completely install the display, booth, tables and material goods in the space contracted by Exhibitor within the time allotted in the Instruction Manual prior to the published opening time of the Event. Work will be strictly prohibited after that time. Property received after the opening must be arranged in spaces only during the hours when the exhibit hall is not open to attendees.

    Exhibits will not be permitted to be dismantled, packed or removed from the building at any time after setup or installation until the after the final closing of the Event unless special permission in writing is obtained from Nine Lives Paranormal. If Exhibitors chooses to dismantle, pack up and exit the event prior to the specific load-out/dismantle time listed in the Instruction Manual, a fine equal to the Exhibitor Guarantee Fee will be charged and this fee will NOT be refunded to the Exhibitor. The Exhibitor Guarantee Fee for this event is $ 50.00

    35. EXHIBITOR DELAY IN ARRIVAL AT EVENT

    If the Exhibitor, through circumstances beyond its control, is delayed beyond the scheduled arrival time, the Exhibitor must notify Nine Lives Paranormal at the Event site. Non-notification will result in resale of Exhibit space and all monies advanced by Exhibitor will be immediately forfeited.

    36. MONITORING OF EXHIBITS

    Based on the event, some events are open to the public, therefore registration is not required for visitors/attendees at all events. Security is provided before, during and after the event and subject to paragraph 29 of this agreement.

    Part or all of the event may be a pre-registered event to which all persons entering those areas must register. Persons attending the conference/event will be given registration badges to permit their admission to the paid portions of the event including but not limited to the exhibit area. If the event is not open to the public in part or as a whole, attendees will be registered and given access to the exhibition areas of the event.

    37. STAFFING

    Nine Lives Paranormal and the Facility are not responsible to staff your event space, nor will we provide staffing on a temporary or permanent basis. This includes sales personnel, assembly and dismantling, or dedicated booth security.

    Booth must be fully staffed by you and your team during the entire conference/event. Nine Lives Paranormal reserves the right to make such modifications in the exhibit hours as may be necessary to meet program needs, with full and sufficient notice given to all contracted Exhibitors.

    If you have non-paid staff; Volunteers, interns, or family operating they must have valid state ID, be 18 or over, and an event badge. They must comply with all rules and laws governing the event and will fall under the terms of this agreement as an employee of your organization/company.

    Each exhibitor will be given ___2___ vendor badges. All other team Members will pay admission fee.

    38. SEVERABILITY

    In the event any provision of this Agreement is held unenforceable pursuant to a decree or decision by a court or other tribunal of competent jurisdiction or binding arbitration, the remaining provisions of this Agreement shall remain valid and in full force and effect.

    39. WAIVER

    Failure to enforce any provision of this Agreement shall not be construed to be a waiver of such provision. No provision of this Agreement or breach thereof may be waived except in a writing signed by the party against whom the waiver is sought to be enforced. Any waiver in one or more instances by either of the parties of any breach by the other of any provisions contained in this Agreement shall not be considered a waiver of any succeeding or preceding breach.

    40. REMEDY

    Nine Lives Paranormal reserves the right to exercise any and all appropriate responses (including, but not limited to, removal from the show floor and/or forfeiture of offending exhibitor’s payment) in response to any action by Exhibitor deemed objectionable or inappropriate or otherwise inconsistent with the purposes of Nine Lives Paranormal or Event. The determination of whether the Exhibitor action is unacceptable resides with Nine Lives Paranormal.

    41. AUTHORITY

    As this agreement will not be effective until this form is completed, and payment in full received by Nine Lives Paranormal, by completing this form, Exhibitor’s Agent(s) agrees that he/she is fully authorized to enter into this agreement and bind Exhibitor to its terms. Furthermore, Exhibitor’s Agent(s) acknowledges that he/she has fully reviewed and understood this agreement and consulted with legal counsel, or waived the right to consult with legal counsel. These terms are non-negotiable and any failure to comply with the terms listed above will be a violation of this agreement and grounds for immediate removal from the event and forfeiture of any payment received

    42. FAILURE TO MAKE PAYMENT

    Any person, partnership, or corporation contracting for space who shall fail to make the payment as herein provided, whether such person, partnership, or corporation desires to exhibit or not, shall thereby and thereupon forfeit all rights to the use of the selected space, and Nine Lives Paranormal shall have the right to dispose of such space in such a way as it may consider to its interests without any liability on the part of Nine Lives Paranormal. Any Exhibitor who fails to pay for and occupy said space shall be and shall remain liable for the payment agreed on.

    43. VIOLATION

    Any violation of these terms and conditions and/or the rules and regulations contained herein on the part of any Exhibitor will nullify Exhibitor’s right to occupy space and any future spaces at Nine Lives Paranormal exhibitor from the facility. Such, Exhibitor will not be released from liability and will forfeit to Nine Lives Paranormal all monies that have been paid. In case of any violation of the terms and conditions and/or the rules and regulations on the part of the Exhibitor, or purposeful malicious intent to harm, disparage or destroy the reputation or property of other exhibitors, Nine Lives Paranormal and/or the facility, the right is hereby given to Nine Lives Paranormal, at its option, to terminate the agreement to occupy space and seek legal remedy.

    44. AMENDMENT TO TERMS AND CONDITIONS

    Any and all matters or questions not specifically covered by the terms and conditions contained herein shall be subject to the sole discretion of Nine Lives Paranormal. Nine Lives Paranormal may, in its sole discretion, make reasonable changes, amendments, or additions to these terms and conditions. Any such changes, amendments, or additions shall be binding on Exhibitor equally with the other terms and conditions contained herein.

    45. DISCOUNTS

    No discounts shall apply unless previously approved by Nine Lives Paranormal in writing.

    46. BROKERS

    Unless authorized by Nine Lives Paranormal, in writing, no persons or company may resell any exhibition space, event slots, stage slots or other time or locations in or around the Facility. Selling and reselling by an Exhibitor/Vendor, presenter, speaker or attendee is prohibited and may constitute a violation of applicable law and/or this agreement.

    47. NO CHANGES

    No changes shall be permitted to the body of this agreement.

    48. DESIGN WORK/BRAND ID

    If you fail to provide the correct files, when requested, for your branding your brand identity (logo) may not appear on or in any event marketing.

    FILE REQUIREMENTS:

    > 300dpi Transparent PNG file (no solid background color) OR > Vector File as an: AI, EPS, Editable PDF, or Editable SVG. > Versions for both light and dark backgrounds.

    Event Code of Conduct

    Vendors, exhibitors, demonstrators, performers and their staff, family, interns, apprentices and guests must adhere to the following code of conduct to assure the safety, well being and positive experiences of the event and environment provided by both Nine Lives Paranormal and the hosting facility.

    Prohibited products and merchandise:

    1) Products of an adult or pornographic nature which are not deemed historical or educational are not permitted to be displayed or presented at the event.

    The definition of pornographic and/or adult products is: Any product or materials that directly present themselves in packaging or design to represent any manner of genitalia for the express use and representation of sexual conduct. This includes print or digital materials both static images and motion pictures, objects made of varying material, and outright, explicit depictions of intercourse between two consenting parties.

    2) Racially divisive materials will not be accepted if they are not part of a larger historic and educational display in line with the vendor, exhibitors or performers educational, entertaining, and/or informational efforts. This includes any print materials or merchandise depicting identified and recognized hate groups, terrorist organizations (both international and domestic) and/or illegal or hateful messages and/or ideologies.

    Examples of these items are, but not limited to: racist propaganda, materials such as pins, buttons, clothing, flags, posters and other assets that clearly define an organization or group whose sole intent is racially or socially divisive in a malignant and malicious manner, ie: Nazi propaganda not for educational purposes.

    3) Political representations that willfully and purposefully, incite hate, violence or offence with the intent to do malignant or malicious harm or disparage one or more people of a group. In particular any political representation that incites historic hate values and continues to perpetuate a narrative that encourages harm upon a single person or group of people.

    4) Unlicensed or knock off items may not be sold at our events. This is defined as product or materials that are sold with the intent to purposefully deceive the purchaser into believing they are purchasing the original, and actual product made by the original company/manufacturer.

    5) Narcotics and Alcohol (legal or illegal) are not permitted to be sold at our events, this includes any cannabis related products. Special circumstances, permits and permissions may be negotiated in advance of the event and must be cleared with the event producers, venue and any legal governing agencies.

    Personal and Professional Behaviors

    It is the intent of Nine Lives Paranormal to provide a positive and exciting environment for both vendors and the attendees.

    There is no tolerance for poor behaviors and actions at our events by any persons present.

    All vendors, exhibitors, demonstrators, and presenters and their staff will abide by the following code of conduct:

    There is no tolerance for hate speech, purposeful inciting of discomfort, violence or other direct actions that result in the purposeful and intentional effort to do harm, whether emotional, mental or physical.

    Differences of opinion, perspectives, ideas, beliefs and lifestyle are protected under the Constitution and are not open to reactions that do not qualify as polite, mature, intelligent or peaceful exchanges of thought, dialog or other respectful measure.

    All parties at our events, whether a paid vendor or paid guest must act and react in a socially and professionally positive manner that maintains a positive and peaceful, exciting and fun environment.

    If you disagree with an opinion, product, culture, religion, idea, political viewpoint, lifestyle choice, perspective, and or, belief system, that is equally your choice as it is the party you disagree with. If it has no direct impact on your sales, merchandise, performance, product, or operation while at our events. You understand your right to disagree is not impeded but you have no right to act or react in a manner that does mental, physical, or emotional harm to the person you disagree with, and will not act in any manner to disrupt the event participants experience during the event.

    You agree to promote a positive experience for all participants at the event. If you choose not to, and purposefully cause any unnecessary disruption or harm, you and the party you are in conflict with may both be asked to leave and escorted from the property at the discretion of Nine Lives Paranormal and/or the venue, with no refund or recourse.

    Peaceful resolutions are required in any conflict. If you or an attendee or other event participant are in conflict it is up to you to deescalate your situation before requesting help from Nine Lives Paranormal.

    Safety is paramount to the event, if you feel a situation has been created that threatens the safety of you or another participant you must report the concern to event staff immediately. If you create an unsafe situation at the event you will be escorted from the event.

    Failure to support a positive, healthy and safe environment for you and the participants at our event may result in you being barred from any future Nine Lives Paranormal and events and the facility.

    Nine Lives Paranormal maintains a zero tolerance policy to violence, hate speech, or hate propaganda and maintains the right to protect the guests of our events, by any means necessary, to the fullest extent of the law.

    Agrees to the terms and conditions listed within this agreement without duress or coercion and is an authorized representative of the company, organization, or business with the legal authority to enter into this agreement.

Announcements will not depict branding if the incorrect file is provided. Your business may not appear on advertising and marketing.

    Photos of headshots, products and work in progress must be provided (if requested) as either a 300DPI PNG or JPEG file, anything less than 300DPI will not be used.
