License Summary
1. License Grant
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use approved GSHA EQ-based training materials solely for authorized instructional purposes. No ownership rights are granted.
2. Term & Renewal
The license term is one (1) year. Renewal is subject to Licensor approval and payment of applicable fees.
3. Use Restrictions
Licensee may not record, copy, share, distribute, post publicly, create derivative works from, or otherwise misuse GSHA materials or Greg Harden intellectual property without written authorization.
4. Quality Monitoring
Licensor may conduct audits, observations, or marketing reviews to ensure compliance with quality and brand standards.
5. Termination
Licensor may terminate the license for breach, misuse of intellectual property, loss of certification, or conduct detrimental to the brand. Upon termination, all use must immediately cease.
6. Liquidated Damages
Unauthorized use of materials or trademarks may result in liquidated damages ranging from $5,000 to $25,000 per occurrence, plus injunctive relief, as detailed in the full agreement.
7. Confidentiality
All non-public GSHA materials, curriculum, and communications are confidential and may not be disclosed.
8. Governing Law
This Agreement is governed by the laws of the State of Michigan, with exclusive venue in Oakland County, Michigan.
