AUTHORITY
The individual signing this agreement represents and warrants that they are duly authorized to execute this binding Agreement on behalf of the sponsoring company.
PAYMENTS, CANCELLATIONS & REFUNDS
All sponsorship amounts are in US Dollars and payments must be made in US Dollars. Sponsor must remit 100% percent of the total fee within 30 days of receipt of an invoice from WERC and no later than 5 business days prior to the event date. If Sponsor fails to pay in full by the payment due date, WERC reserves the right to release and resell the sponsorship.

CANCELLATION BY SPONSOR
Cancellation by Sponsor must be directed via email to WERC within 21 days of the event date to avoid any cancellation penalties, as determined by WERC.
CANCELLATION BY WERC
In the event of cancellation of the event by WERC for whatever reason not attributable to the Sponsor, WERC shall issue the Sponsor with a full refund of fees paid by the Sponsor, minus any expenses incurred, within 21 days from the date of cancellation. As a condition of being permitted by WERC to be a Sponsor of the event, Sponsor agrees to indemnify, defend, and hold harmless WERC, its directors, officers, employees, agents, and subcontractors from any and all loss which Sponsor may suffer as a result of the event duration, delay, or other alterations or changes caused in whole or in part by any reason outside of WERC’s control.
ELIGIBILITY TO SPONSOR
WERC reserves the right to determine the eligibility of any Sponsor for inclusion in the event.
PROMOTIONAL ACTIVITIES
Sponsor shall not engage in any promotional activities which WERC determines to be outside the purpose and/or character of the event as determined by WERC in its sole discretion.
INTELLECTUAL PROPERTY
Sponsor represents and warrants to WERC that no materials used in or in connection with its sponsorship infringe the trademarks, copyrights (including, without limitation, copyrights in music and other materials used or broadcast by Sponsor) or other intellectual property rights of any third party.
PROMOTION & ENDORSEMENT
Participation by Sponsor in the Event does not entitle Sponsor to use names or logos, except that Sponsor may reference the Event and use the Event logo with reference to Sponsor’s participation as a Sponsor at the Event. Participation in the Event does not imply endorsement or approval by WERC of any product, service, or participant and none shall be claimed by any participant.
INDEMNIFICATION
Sponsor remains solely responsible for the safety, damage, or loss of its property at all times during the Event, including transit to and from the facility, and hereby waives and releases any claim against WERC, its directors, officers, employees, agents, or subcontractors.
GENERAL
Sponsor must abide by all event local statutes and regulations, as well as all general policies, rules, and regulations of the facility.
Sponsor shall be responsible for compliance with the U.S. Americans with Disabilities Act.
Sponsor consents to and grants WERC and its affiliates the unrestricted, perpetual, worldwide, royalty-free and transferable right and license to use (and grant others the right to use) the images (photographs of the event) worldwide without any compensation. Sponsor acknowledges that WERC is the sole and exclusive owner of all rights in the images and hereby waives (a) any and all rights in and to such images, and (b) any and all claims Sponsor and its representatives may have relating to or arising from the images or their use.
Music used by the Sponsor in conjunction with the Event is subject to applicable copyright and licensing fees. It is the sole responsibility of Sponsor to pay applicable fees.
Sponsor is prohibited from selling attendee list from Event. Any attendee list shared from the event shall only be used for mailings of promotional material relating to Sponsor and shall not be reproduced, transferred, or used in any other manner. In using such lists for mailings, Sponsor must ensure compliance with all country, state and local laws and regulations including, but not limited to, the European Union’s General Data Protection Regulations (GDPR) and the California Consumer Privacy Act (CCPA).
WERC makes no warranties, either express or implied, as to the availability or suitability of the contractors, services and/or equipment of the facility.
ENFORCEMENT
This Agreement is governed by Illinois law and Sponsor consents to the exclusive jurisdiction of the State and Federal courts seated in Cook County, Illinois, USA with respect to any action arising out of this Agreement. The parties explicitly acknowledge and agree that the provisions of this Agreement are both reasonable and enforceable. However, the provisions of this Agreement are severable and, as such, the invalidity of any one or more provisions shall not affect or limit the enforceability of the remaining provisions. Should any provision be held unenforceable for any reason, then such provision shall be enforced to the maximum extent permitted by law. This Agreement will be binding on the Sponsorship’s heirs, successors and assigns.
LIMITATION OF LIABILITY
IN NO EVENT SHALL THE FACILITY, WERC, ITS OWNERS, MANAGERS, OFFICERS OR DIRECTORS, AGENTS, EMPLOYEES, INDEPENDENT CONTRACTORS, SUBSIDIARIES AND AFFILIATES BE LIABLE TO THE SPONSOR OR ANY THIRD PARTY HIRED BY OR OTHERWISE ENGAGED BY THE SPONSOR FOR ANY LOST PROFITS OR ANY OTHER INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING ATTORNEY’S FEES AND COSTS, ARISING OUT OF THIS AGREEMENT OR CONNECTED IN ANY WAY WITH USE OF OR INABILITY TO USE THE SERVICES OUTLINED IN THIS AGREEMENT OR FOR ANY CLAIM BY SPONSOR, EVEN IF ANY PARTIES HAVE BEEN ADVISED, ARE ON NOTICE, AND/OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES. SPONSOR AGREES THAT WERC's SOLE AND MAXIMUM LIABILITY TO SPONSOR, REGARDLESS OF THE CIRCUMSTANCES, SHALL BE THE REFUND OF THE SPONSOR FEE. SPONSOR AGREES TO INDEMNIFY AND DEFEND THE PARTIES FROM ANY CLAIMS BROUGHT BY A THIRD PARTY HIRED BY OR ENGAGED BY THE SPONSOR FOR ANY AMOUNT BEYOND THE SPONSORSHIP FEE. FURTHER, SPONSOR AGREES TO PAY ALL ATTORNEYS’ FEES AND COSTS INCURRED BY WERC ARISING OUT OF, OR IN ANY WAY RELATED TO, THIS AGREEMNT. SPONSOR SHALL BE SOLEY RESPONSIBLE FOR ITS ATTORNEYS’ FEES AND COSTS.
