1. AGREEMENT OVERVIEW
This Agreement is made between Path of Excellence Logistics (“Dispatcher”) and the undersigned Motor Carrier (“Carrier”).
Our goal is to build a professional working relationship by helping Carrier secure quality freight opportunities while Carrier maintains full control of its operations.
2. INDEPENDENT CONTRACTOR STATUS
Carrier operates as an independent motor carrier under its own active authority.
Dispatcher provides load sourcing and administrative dispatch support only and does not operate as a motor carrier or broker.
Carrier remains fully responsible for transportation services, equipment, drivers, compliance, and insurance.
3. SERVICES PROVIDED
Dispatcher will assist Carrier by:
Searching for available freight
Negotiating rates when possible
Sending load details to Carrier
Assisting with paperwork and communication
Carrier has full discretion to accept or decline any load offered.
4. TERM (30 DAYS)
This Agreement begins on the date signed and remains active for thirty (30) calendar days.
The Agreement will continue on a 30-day basis unless either party provides written notice of cancellation.
5. DISPATCH SERVICE FEE (10%)
Carrier agrees to pay Dispatcher a service fee equal to ten percent (10%) of the gross load revenue for each load secured and accepted through Dispatcher assistance.
6. PAYMENT TERMS
Carrier agrees to pay dispatch fees within three (3) business days after receiving payment from the broker, shipper, or factoring company.
If there is a delay in payment from a broker, Carrier agrees to notify Dispatcher.
7. PROFESSIONAL CONDUCT
Both parties agree to operate in good faith and maintain open communication.
Carrier agrees not to intentionally bypass Dispatcher to work directly with brokers or shippers introduced during this Agreement without prior discussion.
8. CARRIER RESPONSIBILITIES
Carrier agrees to:
Maintain active FMCSA authority
Maintain required liability and cargo insurance
Operate in compliance with federal and state regulations
Be responsible for freight handling, securement, and delivery
Handle any freight claims directly with brokers or shippers
9. EQUIPMENT & CAPACITY CONFIRMATION
Carrier certifies that the equipment details provided in this onboarding form are accurate.
Carrier agrees not to accept loads exceeding legal weight or dimensional limits.
10. LIMITATION OF ROLE
Dispatcher does not take possession of freight and is not responsible for cargo claims, accidents, rate disputes, or broker payment issues.
Each party is responsible for its own business operations
11. TERMINATION
Either party may terminate this Agreement at any time with written notice.
Dispatch fees remain due for loads secured prior to termination.
