    Food Truck/Vendor Agreement
  • Any Vendor who wishes to sell products at events on Hidden Valley Lake property must complete this agreement/application at least two weeks prior to the event and submit applicable fees.

  • 4. Licensing:

    • The Vendor is expected to follow all local, county, and state rules and regulations, including all regulations applicable to the sale of food and beverages (if applicable), and shall cooperate and follow all health inspectors and their agents.
    • The Vendor is responsible for securing all required food permits and health department certifications.
    • The vendor will comply with all Hidden Valley Lake bylaws, which can be found on the HVL website at https://drive.google.com/drive/folders/1QCGyDaZxvJskB61F9FDEaLt1SL2UTFel
    • The Vendor will provide a valid copy of the Dearborn County Food Permit at the time the application is submitted.

  • 5. Liability & Indemnification

    • The Vendor shall indemnify, defend, and hold HVL, its elected and appointed officials, officers, employees, and agents harmless from any and all claims, losses or damages arising by virtue of its occupancy of the assigned space and participation in the event.
    • Insurance: At least fifteen (15) days prior to the event, the Vendor will deliver to HVL current certificates of insurance (and original additional insured endorsements with respect to the insurance described in clause (ii), below) which evidence that Vendor is carrying (i) workers' compensation insurance in statutory amounts, (ii) a commercial general liability insurance policy in an amount of at least One Million Dollars ($1,000,000) per occurrence; and (iii) automobile liability insurance covering all owned, non-owned and hired vehicles in an amount of at least One Million Dollars ($1,000,000) per accident. The insurance policy described above in clause (ii) shall be endorsed to name Hidden Valley Lake POA, its elected and appointed officials, officers, employees, and agents as additional insureds.
    • HVL office staff shall be notified of any changes to the insurance coverage, and any such changes must meet the requirements stated herein.
    • The Vendor will provide a valid copy of a Certificate of Insurance at the time the application is submitted.

  • 5. Rules & Requirements

  • The Vendor will
    • be present and fully operational at the event on the date(s) and times indicated above. The vendor must remain open for service during the entire stated and advertised event hours.
    • provide all merchandise and staff.
    • provide quality products and a vending truck/table that is staffed by clean, professional, and courteous personnel.
    • keep all areas clean and free of trash, removing waste at the end of the event beyond the one trash receptacle provided by HVL.
    • assume all risk of loss or damage to merchandise or other property, regardless of cause. HVL is not responsible for property that is lost, stolen, or damaged.
    • be fully responsible for ensuring that the assigned space at the event remains in the same condition at the end of the event as it was upon arrival. Any damage to the event location caused by Vendor or Vendor employees or agents will be fully remedied at the Vendor's expense. If the Vendor does not repair the damage to the condition it was in upon Vendor's arrival at the event, HVL will make all necessary repairs and/or replacements and the Vendor shall reimburse the HVL for all costs associated with repairing or replacing the damaged property within thirty (30) days from the date HVL POA sends the Vendor written notice of the damage with copies of paid receipts for all such work.
  • 6. Termination

  • Hidden Valley Lake POA reserves the right to revoke Vendor participation for failure to comply with the terms of this Agreement or HVL POA bylaws.
  • 7. Weather Policy:

  • The event may operate rain or shine; however, the event may be canceled due to inclement weather as determined in HVL's sole and absolute discretion. Notification of cancellation will be provided by the HVL club, committee, or staff scheduling the event. The event may or may not be rescheduled for a later date.

  • 8. Media Release: By signing this Vendor Agreement and by participating in the event, you agree to the following statement:

  • I hereby give my consent to all photographs, audio recordings, academic work, and/or video recordings taken of me or HVL staff. I understand that any such photographs, audio recordings, academic work, and/or video recordings become the property of HVL POA and may be used by HVL POA, or others for educational, instructional, or promotional purposes in broadcast and media formats now existing or created in the future.
  • 9. Acknowledgment & Signatures

  • By signing below, you acknowledge that you have read and agree to the terms of this Agreement. The undersigned certifies they are authorized to sign on behalf of and bind the Vendor to this agreement.
  • Note: Application will not be considered if Food Permit (if applicable) and Certificate of Insurance are not submitted.
