**ELEVATE THREE SPORTS PERFORMANCE LLC -
RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNIFICATION AGREEMENT**

READ CAREFULLY BEFORE SIGNING – THIS IS A RELEASE OF LIABILITY

I acknowledge that participation in basketball training, skills development, camps, clinics, open gym, fitness activities, media activities, and related events (collectively, the “Activities”) involves inherent risks.

 

1. Definition of Activities
The term “Activities” includes, but is not limited to:

- Basketball training, skills development, camps, clinics, leagues, open gym
- Youth sports performance training, including speed, agility, strength, conditioning, and athletic development
- Adult sports performance training, fitness training, conditioning, and open use of training spaces
- Use of courts, turf, training areas, weight rooms, performance equipment, recovery tools, and common areas
- eGaming and esports participation, including online play, in-person gaming, tournaments, leagues, livestreaming, broadcasting, content creation, and digital competitions
- Podcasting, audio/video recording, photography, livestreaming, broadcasting, studio use, and media production
- Promotional appearances, events, and any other programs, services, or activities offered, hosted, sponsored, or affiliated with the Released Parties
- Activities may occur on-site, off-site, online, or through third-party platforms.

2. Parties Covered by This Agreement
For purposes of this Agreement, “Released Parties” shall include:

- Elevate Three Basketball Training LLC (E3BT)
- Elevate Three Sports Performance LLC
- ChikambaOne Media Group LLC
- Elevate Three eGaming LLC
- Elevate Three Podcast Studios LLC
- ElevateOne Health & Wellness Services LLC
- Skill Lab LLC
- Indy Holdings (property owner/landlord)
- The City of Indianapolis
- and each of their respective owners, members, managers, officers, directors, employees, contractors, coaches, trainers, moderators, producers, engineers, stream operators, volunteers, agents, representatives, insurers, affiliates, subsidiaries, successors, and assigns.

3. Assumption of Risk – Sports & Physical Training
I understand that participation in sports training, performance training, fitness activities, or use of training facilities involves inherent risks, including but not limited to:

Muscle strains, sprains, fractures
Overexertion, dehydration, heat-related illness
Equipment failure or misuse
Contact with other participants
Permanent injury or death
I knowingly and voluntarily assume all risks, whether known or unknown, foreseeable or unforeseeable, including those arising from my own actions, the actions of others, facility conditions, or the negligence of the Released Parties.

4. Youth Sports Performance Training (Minors)
I understand that youth sports performance training involves physical exertion and movement that may result in injury. I affirm that my minor child is physically and mentally capable of participating and that I have disclosed any relevant medical conditions.

I voluntarily assume all risks on behalf of my minor child and accept full responsibility for supervision outside of structured training sessions.

5. Adult Use of Sports Performance & Training Spaces
I acknowledge that adult use of performance training spaces, equipment, or facilities may occur with or without direct supervision. I accept full responsibility for my actions, safety, and proper use of equipment and agree to follow all posted rules and staff instructions.

6. eGaming & Digital Activity Risks
I acknowledge that eGaming and digital participation may involve risks including eye strain, repetitive motion injuries, mental or emotional stress, online interactions, harassment by third parties, livestream exposure, platform outages, and technical failures.

I voluntarily assume all risks associated with digital participation, whether occurring online, in person, or through third-party platforms.

7. Podcasting & Media Studio Use
I understand that use of podcasting studios and media production spaces involves risks including but not limited to electrical equipment, cables, lighting, sound equipment, trip hazards, and technical devices.

I agree to use all studio spaces and equipment responsibly and assume all risks associated with studio use. The Released Parties are not responsible for loss, theft, or damage to personal property brought into studio spaces.

8. Release of Liability
To the fullest extent permitted by Indiana law, I hereby release, waive, discharge, and covenant not to sue the Released Parties from any and all claims, demands, actions, causes of action, damages, costs, or expenses arising out of or related to participation in the Activities or use of facilities, studios, equipment, or services.

This release expressly includes claims arising from the NEGLIGENCE of the Released Parties.

9. Medical Representation
I represent that I (and/or my minor child) am physically and mentally capable of participating and have no condition that would increase the likelihood of injury. I understand that the Released Parties do not provide medical insurance coverage and that any medical treatment is at my own expense.

10. Property Damage Responsibility
I agree to be financially responsible for any damage to facilities, studios, equipment, or property caused by me or my minor child, whether intentional or unintentional, and agree to reimburse the Released Parties for reasonable and documented repair or replacement costs.

11. Conduct & Removal
I acknowledge that the Released Parties reserve the right to deny or terminate participation or facility/studio access at any time for unsafe, disruptive, or inappropriate behavior. No refunds will be issued.

12. Indemnification
I agree to indemnify, defend, and hold harmless the Released Parties from any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from my participation or my minor child’s participation in the Activities.

13. Media Release & Authorization
I grant permission to the Released Parties to photograph, video-record, audio-record, livestream, or otherwise capture my image, likeness, name, voice, and/or performance, or that of my minor child, during participation in the Activities.

I authorize use of such media for marketing, promotional, educational, broadcast, podcast, livestream, social media, website, and other lawful purposes, in any format now known or later developed, without compensation. I waive any right to inspect or approve finished media.

14. Third-Party Platforms
I acknowledge that certain Activities may occur on third-party platforms not controlled by the Released Parties, and the Released Parties are not responsible for third-party conduct, content moderation, outages, or technical issues.

15. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Indiana.

PARENT / GUARDIAN CONSENT FOR MINORS (UNDER 18)
I certify that I am the parent or legal guardian of the minor participant and consent to their participation. I agree to all terms of this Agreement on behalf of myself and the minor and release and indemnify the Released Parties, including for claims arising from the NEGLIGENCE of the Released Parties, to the fullest extent permitted by law.
