CLIENT SERVICE AGREEMENT

AVAS BID CLIENT SERVICE AGREEMENT Independent Auction Buying Services 1. Parties This Client Service Agreement (“Agreement”) is entered into between: AVAS BID (“Service Provider”) and Client Name, Address, Phone, and Email filled out by the client in this service agreement. By signing below and submitting payment, Client agrees to all terms contained herein. 2. Nature of Services AVAS BID is an independent vehicle sourcing and auction buying assistance service. AVAS BID provides: • Auction vehicle research guidance • Vehicle sourcing assistance • Bidding representation (when applicable) • Process guidance regarding title, registration, and logistics AVAS BID is NOT a licensed motor vehicle dealer and does not sell vehicles. All vehicles are purchased directly by the Client through third-party auction platforms or sellers. Client acknowledges that AVAS BID does not take ownership of vehicles at any time. 3. NON-REFUNDABLE SERVICE FEE Client agrees to pay a $300 NON-REFUNDABLE SERVICE FEE prior to the commencement of services. The service fee compensates AVAS BID for: • Time allocation • Research and market evaluation • Auction review and analysis • Administrative preparation • Client consultation • Representation services The service fee is earned immediately upon payment. The service fee is not contingent upon: • Successful vehicle purchase • Auction win • Financing approval • Vehicle availability • Client decision to proceed • Client change of mind Client expressly acknowledges that the $300 SERVICE FEE IS NON-REFUNDABLE UNDER ALL CIRCUMSTANCES ONCE PAID. 4. No Guarantees Client understands and agrees: • Auction vehicles are sold “as-is.” • Vehicle condition may vary from listing descriptions. • AVAS BID does not guarantee mechanical condition. • AVAS BID does not guarantee resale value. • Final purchase decisions are solely the Client’s responsibility. Client assumes all risks associated with auction purchases. 5. Licensing & Temporary Tags AVAS BID does not issue temporary tags, dealer plates, or vehicle registrations. Client is solely responsible for: • Vehicle registration • Temporary permits • Insurance • Transportation arrangements AVAS BID does not provide legal or tax advice. 6. Payment Disputes & Chargebacks Client agrees not to initiate a chargeback or payment dispute without first contacting AVAS BID in writing to attempt resolution. Initiating a chargeback after services have been rendered constitutes a breach of this Agreement. Client acknowledges that AVAS BID may provide the following to the payment processor in response to any dispute: • Signed Agreement • IP address logs • Timestamp records • Service activity records • Communication history 7. Limitation of Liability AVAS BID’s total liability under this Agreement shall not exceed the amount of the service fee paid. AVAS BID shall not be liable for: • Vehicle defects • Mechanical failures • Auction listing inaccuracies • Market value changes • Transportation issues • Third-party actions 8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles. 9. ARBITRATION & DISPUTE RESOLUTION Any dispute, claim, or controversy arising out of or relating to this Agreement, the services provided, or payment of the service fee shall be resolved exclusively by binding arbitration administered by the American Arbitration Association. Arbitration shall take place in the State of Wisconsin. Both parties agree: • To waive the right to a jury trial • To waive participation in any class action • That arbitration shall be the exclusive remedy for disputes Exception: Either party may bring an individual claim in small claims court located in Wisconsin for matters within its jurisdiction. Client agrees that venue for any permitted court proceeding shall be exclusively in the State of Wisconsin. Each party shall bear its own attorney’s fees unless otherwise awarded by the arbitrator. 10. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or understandings. No modification shall be valid unless in writing and signed by both parties. Client Acknowledgment By signing below, Client confirms: Understands AVAS BID is NOT a licensed motor vehicle dealer. Understands the $300 SERVICE FEE is NON-REFUNDABLE under all circumstances once paid. Understands auction purchases carry risk. Agrees to binding arbitration in Wisconsin. Authorizes AVAS BID to begin services immediately upon payment.
