  • Preparer Enrollment Agreement

This Program Agreement is made between the ERO and the undersigned preparer which will be herein listed as PARTNER. PARTNER desires to offer tax refund services, including the electronic filing of income tax returns (Returns) and desires to use software and electronic filing and bank product transmission services available through the ERO in connection with the returns. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

The Partner and the ERO agree as follows:

    1. Term

This Agreement begins on the Effective Date and continues through April 30, 2027, unless terminated earlier under Section 10. It covers preparation of tax year 2026 returns during the 2027 tax filing season. The Preparer may access approved training and resources beginning on the Effective Date. Renewal or services beyond this term require a written agreement. Outstanding payment, confidentiality, recordkeeping, and client transition obligations continue after expiration or termination.

    2. Independent Preparer Relationship

The parties intend an independent contractor relationship. The Preparer does not receive an ownership interest in V&B, and this Agreement does not create a legal partnership or joint venture. Subject to applicable law and the compliance and security requirements of this Agreement, the Preparer controls the manner and means of performing their services. The Preparer may not enter into obligations on behalf of V&B without written authorization.

The Preparer is responsible for their applicable taxes and must provide a completed Form W-9 and accurate direct deposit information through V&B’s approved secure process. V&B will issue applicable information returns as required by law.

The parties acknowledge that worker classification depends on the actual working relationship and applicable law.

    3. Software, Training, and Support

V&B will provide approved cloud-based tax preparation software access for tax year 2026 and the previous three tax years, together with an available mobile client onboarding application.

Electronic filing will be provided through V&B’s authorized Electronic Return Originator (“ERO”) arrangement. An ERO is the authorized provider that originates electronic submissions of tax returns.

V&B will provide support during the preseason and tax season for the duration of this Agreement, together with training on basic tax law, return preparation, workflows, due diligence, compliance, and marketing. Training resources are available in the Skool Academy and during tax training.

IRS acceptance, refund timing, and approval of financial products are not guaranteed.

There is no additional login fee for additional PTIN holders approved by V&B. Each approved user must have their own authorized credentials. A PTIN alone does not grant software access or permission to add preparers.

    4. Client Pricing and Commission Payments

The Preparer will receive **70% of the tax preparation fee collected for each return they complete**, and V&B will retain **30%**.

No bank, software, transmitter, administrative, or other fees will be deducted from the tax preparation fee before calculating this split. The split applies to the tax preparation fee, not the taxpayer’s refund or separate third-party charges.

For example, if the tax preparation fee collected is $450, the Preparer will receive $315 and V&B will retain $135.

V&B suggests $450 for a basic tax return. This is a suggested price, not a mandatory minimum. The Preparer must disclose the agreed fee to the client before providing services and follow any pricing schedule separately accepted in writing. Skool pricing materials may provide guidance but do not independently amend this Agreement.

Commission payments will be made by direct deposit after V&B receives the corresponding payment. This applies whether the fee is collected through a financial-product service or directly from the client.

The parties will complete the payment schedule below before signing. V&B will provide a payment statement identifying the relevant returns, fees collected, and commissions paid.

**Agreed Commission Payment Schedule After Receipt of Funds:**

    ____________________________________________________________

     5. Minimum Client Requirement

The Preparer agrees to prepare and file tax returns for **at least 20 distinct clients for tax year 2026 during the 2027 tax filing season, by April 30, 2027**.

An amendment or duplicate submission for the same client does not count as an additional client.

This requirement does not authorize filing an unsupported return, bypassing required review, or filing without taxpayer authorization. This Agreement imposes no automatic monetary penalty or commission forfeiture for failing to meet this requirement.

    6. PTIN and Tax Preparation Responsibilities

Before preparing returns for compensation, the Preparer must obtain and maintain a valid IRS Preparer Tax Identification Number (“PTIN”), including renewal for the calendar year in which services are performed.

The Preparer must meet any other applicable registration or licensing requirements where they perform services and promptly notify V&B if their authorization is restricted, suspended, or revoked.

    The Preparer must:

    - Complete V&B’s applicable compliance and due diligence training before submitting client returns.

    - Verify taxpayer identity and obtain supporting documents.

    - Make required inquiries and document eligibility for claimed tax benefits.

    - Use the correct paid preparer signature and PTIN.

    - Obtain required taxpayer review and signed filing authorization before transmission.

    - Follow V&B’s return review procedures.

    - Provide required copies to clients.

    - Promptly address errors and rejected returns.

    - Maintain records securely for the periods required by applicable law.

    - Promptly notify V&B of material mistakes, suspected fraud, IRS inquiries related to their work, or compliance concerns.

Fabricated income, expenses, dependents, credits, signatures, or documents are prohibited.

     7. Financial Products and Client Choice

Where available, financial products are subject to the participating provider’s disclosures, eligibility rules, approvals, and separate agreements.

The Preparer must accurately explain applicable charges and obtain required client consent. Clients may choose available payment and refund options without a requirement to purchase a financial product.

There is no minimum bank-product percentage or funding-ratio requirement under this Agreement. There is no three-return limit for clients paying their preparation fee upfront and no additional per-return charge triggered by exceeding three such returns.

    8. Confidentiality and Taxpayer Information

The Preparer must protect taxpayer information, identity documents, tax returns, financial records, passwords, software credentials, and V&B’s nonpublic business information.

Such information may be accessed, used, or disclosed only for authorized services and as permitted by law, with required taxpayer consent where applicable. The Preparer may not sell taxpayer information or use it for unauthorized marketing or personal purposes.

Credentials may not be shared. Screenshots, photographs, recordings, and training examples may not expose confidential client information or credentials outside approved secure processes.

These obligations continue after this Agreement ends.

Nothing in this section prohibits lawful reporting to authorities, legally required disclosures, or appropriate confidential consultation with legal or tax advisers.

    9. Data Security

Both parties must protect the information and systems within their control and comply with applicable security duties.

The Preparer must follow V&B’s written information security plan and approved procedures, including secure devices, current protective software, multifactor authentication where available, encrypted transmission and storage, and approved backups.

Client information may not be stored or transmitted through unapproved personal accounts or services.

The Preparer must immediately notify V&B of suspected data loss, unauthorized access, exposed credentials, or a security breach. The Preparer must preserve relevant evidence and cooperate with containment, investigation, and required reporting.

V&B is responsible for its own systems, access controls, and applicable security obligations. Compliance training supplements these duties and does not replace them.

    10. Suspension, Termination, and Pending Work

Either party may terminate this Agreement early by written notice sent to the company email and the Preparer’s email listed above. The notice must identify the effective termination date.

V&B may immediately suspend access when reasonably necessary to protect taxpayers, data, or compliance while concerns are reviewed.

For ordinary performance or compliance concerns, V&B will provide written notice describing the concern and any corrective action required. Serious violations may result in immediate termination.

Suspected fraud will be documented and reviewed. Confirmed fraud is grounds for termination. V&B will report suspected or confirmed fraud to the IRS or other appropriate authorities when warranted or required. Failure to meet ordinary performance expectations alone is not a basis for a fraud report.

V&B will arrange for an authorized preparer to complete pending returns, subject to required taxpayer consent and authorization.

The departing Preparer must securely transfer pending work and required records, stop using V&B credentials and branding, and return or securely remove information as directed, except records lawfully required to be retained. V&B may disable software access at suspension, termination, or expiration.

The Preparer remains entitled to the agreed commission on returns they completed before termination once V&B receives the corresponding payment. Termination does not automatically forfeit those commissions. Payment continues under Section 4.

Any commission for partially completed work transferred to another preparer must be agreed in writing. This Agreement does not assign that commission automatically.

V&B will review affected returns and coordinate necessary corrections, including amended returns where appropriate, using accurate information and required taxpayer authorization. V&B will document corrective action and any required reports.

    11. Third-Party Service Disruptions

V&B will notify the Preparer in writing of a material software, banking, or other third-party disruption affecting services within seven days after learning of it, or sooner when a filing deadline or client interests require it.

V&B will use reasonable efforts to restore services or arrange an appropriate alternative. If the disruption prevents continued performance, either party may terminate this Agreement in writing.

Earned commission and client transition obligations remain in effect.

    12. Governing Law and Changes

This Agreement is governed by the laws of the **State of Florida**, subject to applicable federal law and any mandatory laws that apply to the services or working relationship.

This Agreement and any expressly incorporated signed attachments contain the parties’ agreement on these services.

Changes to fees, commission percentages, the term, or other contractual obligations require a written amendment signed by both parties. An update in Skool alone does not amend this Agreement.

    13. Acceptance and Signatures

By signing, each party acknowledges that they have read and understand this Agreement, have completed its required blanks, and agree to its terms.

Electronic signatures and counterparts may be used to the extent permitted by law.
