1.0 Purpose
The Coalition member agrees to serve in a non-governing capacity, contributing stratgic support to advance the Coalition’s shared goals.
This role is voluntary only and does not confer fiduciary responsibility, governance authority, or decision-making power on behalf of Veterans Collaborative or the Coalition.
2.0 Term and Termination
The HEADS UP Coalition is established as a five (5)-year working coalition, led by Veterans Collaborative, to support sustained collaboration and long-term impact.
The Agreement shall commence on the effective date and shall remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination, the Advisor agrees to cease representing themselves as part of the HEADS UP Coalition.
3.0 Compensation
The Member serves in a voluntary, unpaid capacity. No compensation, benefits, or reimbursements are provided.
4.0 Independent Status
The Member is not an employee, agent, board member, or legal representative of Veterans Collaborative. Nothing in this Agreement creates an employment, partnership, or joint venture relationship.
5.0 Confidentiality
The Advisor agrees to maintain the confidentiality of any non-public or sensitive information shared through Coalition participation, including but not limited to strategy discussions, partner information, draft materials, and internal data.
This obligation survives termination of this Agreement.
6.0 Intellectual Property
- The Member retains ownership of all pre-existing intellectual property.
- Any materials or contributions created at the request of Veterans Collaborative for Coalition purposes may be used by VC to support Coalition activities without restriction.
7.0 Public Representation & Use of Likeness
The Member grants permission for Veterans Collaborative to:
- List the Member’s organization as a HEADS UP Coalition Member;
- Use this information in VC and Coalition materials, including websites, reports, presentations, and communications.
The Advisor may request updates or removal of public-facing information at any time.
8.0 Conflict of Interest
The Member agrees to disclose any actual or potential conflicts of interest that could reasonably be perceived to influence their participation or advice.
9.0 Governing Law
This Agreement shall be governed by, subject to, and construed in accordance with the laws of the Commonwealth of Virginia.
10.0 Entire Agreement
This Agreement represents the full and complete understanding between the parties with respect to the subject matter herein. It supersedes any prior agreements or understandings, whether oral or written.
