COMPETITION, RACING AND TRAINING

WARNING, ASSUMPTION OF RISK, RELEASE OF LIABILITY & INDEMNIFICATION AGREEMENT

PLEASE READ CAREFULLY BEFORE SIGNING. THIS IS A RELEASE OF LIABILITY & WAIVER OF CERTAIN LEGAL RIGHTS

WARNING: The person who is taking part in ski, snowboard, or other winter sport racing, competition, or training activities as an athlete, coach, staff member, spectator or other participant is referred to as “Participant.” I am the Participant or, if the Participant is under 18, I am the Participant’s parent or legal guardian. I understand that skiing, snowboarding, winter sports recreation, race training, competition, ski or snowboard testing, other equipment testing, wax testing, using freestyle terrain or terrain park features, performing any other training or competition related activities, and/or using any of the facilities of the ski area, including but not limited to use of the lifts, ski slopes, trails, and other equipment, for any purpose (the “Activity”), can be HAZARDOUS AND INVOLVE THE RISK OF PHYSICAL INJURY AND/OR DEATH.

ASSUMPTION OF RISK: I understand the dangers and risks of the Activity and that the Participant, as a “skier” and/or “competitor” (as may be defined by statute or other applicable law), ASSUME ALL INHERENT DANGERS AND RISKS.

I expressly acknowledge and assume additional risks and dangers that may result in property damage, physical injury and/or death that may be above and beyond the inherent dangers and risks of the Activity, including but not limited to: Falling or loss of balance; icy, slick or uneven surfaces; avalanches, cornices and crevasses; collisions with natural or man-made objects or other people; bumps, tree wells, downed timber, rocks, drainage channels, holes, debris, and other rugged mountainous terrain; marked and unmarked obstacles; unmaintained or unmarked trails/roads or trail obstructions; the negligence of Participant, Ski Area employees, event officials or organizers, a guide/instructor, or others (including selection of terrain that exceeds Participant’s ability); guests’ failure to comply with signage; collisions with snowmobiles and/or other motor or over-snow vehicles; equipment malfunction, failure or damage; improper use or maintenance of equipment; misloading, entanglements, or falls from ski lifts; varying visibility, storms, lightning, hail, snow and other adverse weather; becoming lost or separated; lack of shelter; limited access to and/or delay of medical attention; Participant’s health condition, physical exertion, exhaustion, dehydration, hypothermia, altitude sickness, or frostbite; and/or mental distress from exposure to any of the above.

I UNDERSTAND THAT THE DESCRIPTION OF THE RISKS IN THIS AGREEMENT IS NOT COMPLETE AND VOLUNTARILY CHOOSE FOR PARTICIPANT TO PARTICIPATE IN AND EXPRESSLY ASSUME ALL RISKS AND DANGERS OF THE ACTIVITY, WHETHER OR NOT DESCRIBED HERE, KNOWN OR UNKNOWN, INHERENT OR OTHERWISE.

Participant assumes the responsibility of maintaining control at all times while engaging in the Activity and for reading, understanding and complying with all signage, including instructions on the use of lifts. Participant must have the physical dexterity and knowledge to safely load, ride and unload the lifts. I understand that a minor Participant may use the ski lifts without an adult present, that snowmobiles, snowmaking equipment, and snow-grooming equipment may be encountered at any time, and that falls, collisions, and injuries occur and are common.

I agree that the Participant is a “competitor” at all times, whether training and practicing for competition or in competition, that Participant shall inspect the training and competition courses prior to participating in the Activity, and that Participant assumes the risk of all course conditions, including but not limited to course construction, layout and obstacles.

RELEASE OF LIABILITY & INDEMNIFICATION: Additionally, in consideration for allowing the Participant to participate in the Activity, I AGREE, TO THE FULLEST EXTENT PERMITTED BY LAW, TO HOLD HARMLESS, RELEASE, INDEMNIFY, AND HOLD HARMLESS, Jay Peak Resort, and each of their affiliated companies, parent companies and subsidiaries, the resort owner or operator, Activity organizer, Activity promoter, and all their respective insurance companies, successors in interest, commercial and corporate sponsors, agents, employees, representatives, assignees, officers, directors, and shareholders (each a “Released Party”) FOR ANY PROPERTY DAMAGE, INJURY OR LOSS TO PARTICIPANT, INCLUDING DEATH, WHICH PARTICIPANT MAY SUFFER, ARISING IN WHOLE OR IN PART OUT OF PARTICIPANT’S PARTICIPATION IN THE ACTIVITY, INCLUDING, BUT NOT LIMITED TO, THOSE CLAIMS BASED ON ANY RELEASED PARTY’S ALLEGED OR ACTUAL NEGLIGENCE OR BREACH OF ANY CONTRACT AND/OR EXPRESS OR IMPLIED WARRANTY.

As a Participant, I hereby authorize Resort to arrange transport by ambulance in the event of emergency medical treatment.

I understand that for the protection of Resort staff members, parents and child attendees that the Resort area is under video surveillance under the direction of the Resort Director of Safety & Risk.

I hereby grant permission to Resort to photograph me or my child/children and use said photographs now and in the future in brochures, internet, multimedia presentations and newspapers concerning programs at Resort. I understand photos may be used without further notice or compensation, and agree that such material will be freely available for download and distribution.

I represent that Participant is in good health and that there are no special problems associated with Participant’s physical or mental condition. I authorize a licensed physician or other medical care provider to carry out any emergency medical care for Participant which may be necessary and agree to be fully responsible for any costs associated with such care or transport to such care.

FORUM SELECTION: I agree that any and all claims for loss, injury and/or death arising from the Participant’s participation in the Activity shall be governed by the law of the state where the alleged incident occurred and that exclusive jurisdiction of any such claim shall be the state or federal court in the state where the alleged incident occurred.

BY SIGNING ON BEHALF OF A MINOR, I REPRESENT THAT I AM THE LEGAL PARENT OR GUARDIAN OF THE PARTICIPANT and acknowledge that Participant is bound by all the terms of this Agreement. I understand that, but for my agreement to the foregoing, the minor Participant would not be permitted to participate in the Activity. By signing this Agreement without a parent or legal guardian’s signature, I represent, under penalty of fraud, that I am at least 18 years old.

I understand that this Agreement is a contract and shall be binding to the fullest extent permitted by law. If any part of this Agreement is deemed to be unenforceable, the remaining terms shall be an enforceable contract between the parties. It is my intent that this Agreement shall be binding upon my assignees, subrogors, distributors, heirs, next of kin, executors and personal representatives. I AGREE TO INDEMNIFY THE RELEASED PARTIES FOR ALL LIABILITY AND CLAIMS, INCLUDING ATTORNEYS’ FEES, ARISING FROM ANY MISREPRESENTATIONS IN OR THE FRAUDULENT EXECUTION OF THIS AGREEMENT.

Acknowledgement of Risks and Hazards, Liability Release and Agreement Not to Sue

The undersigned agrees and understands that participating in a ski and/or snowboard event IS and CAN BE a HAZARDOUS activity that may result in injury or death during his/her participation in this event. Trail conditions vary constantly due to weather changes and use. Natural and manmade, permanent, and temporary objects, including other skiers/snowboarders, workers, and objects on display will exist.

The undersigned hereby ACCEPTS AND ASSUMES ALL RISKS in connection with his/her participation in the Vertical Challenge Event Series (“VC”) and hereby WAIVE AND RELEASE on the undersigned’s behalf, and/or on behalf of the undersigned’s minor child(ren), any and all claims that the undersigned may have, or that the undersigned may hereafter have, whether known or unknown, against The Host Resort (See List of Host Resorts below), Vertical Challenge LLC, and all official sponsors and all their parent, subsidiary, affiliated and successor companies, real and personal property owners, employees, representatives, agents, volunteers, officers and directors, (hereafter Releasees) arising out of or attributable to the undersigned’s participation in the Vertical Challenge Event Series, whether arising out of the ordinary NEGLIGENCE of any Releasees or otherwise, including claims for any and all injury, illness (including without limitation potential exposure to influenza, pneumonia, and/or COVID-19), death or damage resulting from any Releasees’ acts of negligence, that is, their failure to use reasonable care in any and all aspects of the operation of this race, the facilities, equipment and premises, as well as in the grooming, maintenance and selection of the race trail and in the transportation of participants to and from the race and/or competition, or any other person or cause, at all times and under any and all circumstances. The undersigned covenants not to make or bring any such claim against any Releasees, and forever releases and discharges the Releasees from liability under such claims.

Host Resorts: The undersigned agrees that the Host Resort, at which he/she and/or his/her child(ren) participates in the Vertical Challenge, as listed below are, and should be considered as “Releasees” as identified within this document. Those resorts include BigRock Mountain, ME; Saddleback Mountain, ME; Lost Valley, ME; Black Mountain, ME; Tenney Resort & Recreation, NH; Ski Butternut, MA; Jiminy Peak, MA; Catamount Mountain Resort, NY; Berkshire East, MA; Nashoba Valley, MA; Pats Peak, NH; Cannon Mountain, NH; Mount Southington, CT; Bousquet Mountain, MA; Ski Bradford, MA; Ski Sundown, CT; Burke Mountain Resort, VT; Smugglers’ Notch Resort, VT; Bolton Valley Resort, VT; CMBK Resort Holdings, LLC (d/b/a Camelback Resort), PA; Pico Mountain, VT; Bromley Mountain, VT; McIntyre Ski Area, NH; Magic Mountain, VT; and Q Resorts, Inc. d/b/a Jay Peak Resort, VT.

The undersigned agrees to DEFEND, INDEMNIFY and HOLD HARMLESS the Releasees, for any and all loss or damage he/she may cause to person or property while engaged in ski/snowboard and race-related activities. This includes, but is not limited to, any and all claims for personal injury, death, and/or property damage that may in any way arise out of the use of the event venue, race trail, facilities, equipment and premises, regardless of whether such loss or damage be caused to myself or to others. The undersigned agrees with the premise that a participant is, at all times, a competitor, whether practicing for competition, or in competition and that competitive skiing and/or snowboarding is more hazardous than recreational skiing and snowboarding. Furthermore, the undersigned agrees that the competitor is always provided an opportunity to conduct a reasonable physical and visual inspection of the training, race or competition course, and the undersigned agrees to physically, and visually, inspect the course before competing or training. The undersigned agrees and understands that the competitor will be held to assume the risk of all course conditions including, but not limited to, weather and snow conditions, premises, course construction or layout, other competitors, spectators and obstacles and is responsible for his/her safety while participating in the Vertical Challenge and that such responsibility includes participation in the Vertical Challenge only: a) when he/she is both physically and psychologically prepared to participate safely, b) after fully familiarizing himself/herself with the venue before beginning the Vertical Challenge, and c) while using the equipment of a type and condition reasonably necessary to safely participate in the Vertical Challenge, he/she assumes all risks and responsibilities for any injury or loss connected with his/her participation in the Vertical Challenge.

The undersigned further authorizes the Releasees to call for such medical care for the participant or to transport the participant to the appropriate medical provider, if, in the opinion of anyone working at the Vertical Challenge, medical attention is needed for the participant. This authorizes a licensed physician or other recognized First Aid Room staff member to carry out emergency medical care deemed necessary for the participant to any medical facility, clinic, or hospital, and that the Releasees shall not have any further responsibility for the participant.                                         

The undersigned agrees to pay all costs associated with such medical care and related transportation for the participant and indemnify and hold harmless the Releasees from any costs incurred therein. Participants who have medical conditions that may be hazardous to their health while participating in this event such as a heart condition or pregnancy, will participate at their own risk and acknowledge this with their signature below.                                              

The applicable laws of the state in which the Host Resort resides govern this agreement. I hereby agree that any claim or suit that the undersigned or any of undersigned’s heirs file against the Releasees must be submitted to the jurisdiction of the State or Federal Courts of the state in which the Host Resort resides. I further agree that should the undersigned or any of undersigned’s heirs file claim or suit against Vertical Challenge LLC, its owners, agents, or employees such claim or suit must be submitted to the jurisdiction of the State or Federal Courts of New Hampshire.                                                                         

The undersigned hereby grants permission to the Releasees to use undersigned’s, or undersigned’s child(ren)’s, image(s), picture, or other likeness(es), (collectively, “Image”), whether video, digital or print, for commercial purposes or otherwise, without restriction as to frequency, duration or medium in connection with these activities. The undersigned also understands that, and grants permission to Releasees’ to list the undersigned and/or the undersigned’s child(ren)’s name(s) on the results sheet, which may be posted following the event at the Host Resort, and online. The undersigned also grants permission to Releasees to utilize undersigned’s email address for information from the Vertical Challenge LLC, and all Vertical Challenge LLC sponsors. At any time, you may update your preferences and/or opt out of any email messages.      

As parent/guardian with legal responsibility for a minor participant, I am authorized to sign this agreement for the child. I consent and agree for the minor child to be bound by this agreement and I hereby defend, indemnify, and hold harmless Releasees for all awards, legal expenses, and settlements arising out of the child’s participation in the Vertical Challenge and use of the ski area facilities, equipment, and premises.                                     

WARNING: Vertical Challenge (VC), its sponsors and host resorts encourage participants in the VC to ski/snowboard under control, to employ prudent skiing/snowboarding practices, and to ski/snowboard within the limits of their ability AT ALL TIMES. It is the sole responsibility of each participant to know the limit of his/her ability, to ski/snowboard within that limit and, at all times, to adhere to the Responsibility Code.

I, the undersigned, acknowledge that I have carefully read this Agreement and Release of Liability and understand its contents. I understand that my signature below expressly waives any rights I may have to bring a claim against or sue the Releasees for any injuries, death and/or damages. I further understand that this is a contract that limits my legal rights and that it is binding upon me, my heirs, and legal representatives. If any part of this agreement is determined to be unenforceable, all other parts shall be given full force and effect. I intend this document to be interpreted as broadly as permissible under the laws of the state in which the Host Resort is located, and I understand that it is not intended to assert any claims or defenses prohibited by law.
