1. SERVICES PROVIDED
Service Provider agrees to provide Instagram management and content services as outlined in the Client’s selected package.
2. CONTENT CREATION SESSIONS
If the Client’s package includes content shoots:
Sessions will occur once per month unless otherwise agreed
Session duration: up to _1-3 hours depending on package
Client agrees to provide location access, products, staff, and readiness
Rescheduling requires at least 48 hours’ notice
Late arrival may reduce session time
3. CLIENT RESPONSIBILITIES
Client agrees to:
Provide timely access to social media accounts
Supply brand assets, logos, guidelines, and information
Respond to content approvals within _2-3_ business days
Ensure all provided materials are owned or properly licensed
Maintain professional communication
Delays in communication may result in posting delays and do not constitute breach of contract by Service Provider.
4. TERM & RENEWAL
This Agreement begins on the above contract start date and continues on a month-to-month basis.
A minimum commitment of three months is required.
After the minimum term, the Agreement will automatically continue monthly until terminated by either party.
5. FEES & PAYMENT
Monthly fee:
-Package 1 $600/month
-Package 2 $1200/month
-Package 3- Premium Brand Partner $2000/month
Payment is due on the contracted start date, and then monthly after that
Services will not begin or continue until payment is received
Late payments may result in suspension of services
All fees are non-refundable once services have begun for the billing period.
7. RESULTS DISCLAIMER
Client understands that social media performance, including follower growth, engagement, inquiries, or revenue, cannot be guaranteed.
Service Provider agrees to perform services professionally but makes no promise of specific outcomes.
8. CONTENT OWNERSHIP & USAGE
Upon full payment, Client receives rights to use delivered content for their business marketing purposes.
Service Provider retains the right to use created content for portfolio, website, social media, and promotional purposes unless otherwise agreed in writing.
9. INDEPENDENT CONTRACTOR
Service Provider is an independent contractor and not an employee, partner, or agent of the Client.
10. LIMITATION OF LIABILITY
Service Provider shall not be liable for indirect or consequential damages related to social media performance, platform changes, technical issues, or business outcomes.
11. TERMINATION
Either party may terminate this Agreement with 30 days written notice after the minimum commitment period.
No refunds will be issued for work completed or scheduled prior to termination.
12. ENTIRE AGREEMENT
This document constitutes the entire agreement between the parties and supersedes all prior discussions. Any modifications must be made in writing and signed by both parties.
