1. Payment Terms: Client agrees to pay 50% non-refundable retainer due upon signing. The project date will not be reserved until the retainer is received. The retainer compensates Company for reserving the production date and turning away other work. It is non-refundable. Final edited deliverables will not be released until full payment is received. Late payments exceeding 7 days may incur a late fee of $100 per month.
2. Revisions: Client is entitled to two (2) rounds of reasonable revisions. Additional revisions beyond the included rounds will be billed at $85 per hour. Revisions do not include complete project re-edits or changes to scope. Any services not specifically listed on this document are not included in this Agreement.
3. Cancellations & Rescheduling: If Client cancels the project, the retainer remains non-refundable. If cancellation occurs within 72 hours of the scheduled shoot, Client may be responsible for any non-recoverable expenses incurred. Rescheduling is subject to Company availability.
4. File Retention Terms: Harrison Media LLC will keep the original master video files (“masters”) for 18 months (1.5 years) after the date of your shoot. Master video files are recorded directly from the camera, and may exceed 1 terabyte per project. If you wish to keep a copy of the masters beyond 18 months, you must contact Harrison Media LLC within 18 months after the shoot to request them and pay an additional storage fee. If no request is made within 18 months, the masters may be deleted. This is to ensure efficient storage management.
5. Ownership & Usage Rights: Harrison Media LLC retains ownership of all original footage and project files created during production. Upon full payment, the Client is granted a perpetual, non-exclusive license to use the final edited video(s) for any personal or business purpose, including marketing, social media, websites, advertising, and internal use.
In simple terms: You can use your finished video however you need. You do not need ongoing permission from us to use it.
We keep the original raw files and editing project files. Raw footage is not included unless separately requested under File Retention Terms.
Harrison Media LLC may display portions of the finished work in portfolios, websites, or promotional materials unless otherwise agreed in writing.
7. Client Responsibilities:
Client is responsible for:
Securing all necessary permissions and location releases.
Obtaining consent from individuals being filmed.
Providing timely feedback.
Ensuring access to locations and subjects.
Company is not responsible for missed content due to restrictions, delays, or lack of access.
8. Limitation of Liability: Company will take reasonable steps to ensure professional production standards. However, in the event of unforeseen circumstances, equipment failure, data loss, or events beyond Company’s control, Company’s total liability shall not exceed the total amount paid under this Agreement. Company shall not be liable for indirect, incidental, or consequential damages.
9. Indemnification: Client agrees to indemnify and hold harmless Company from any claims, damages, or liabilities arising from:
Unauthorized use of the final video
Failure to obtain proper permissions
Inaccurate information provided by Client
10. Force Majeure: Company shall not be liable for delays or failure to perform caused by events beyond reasonable control, including but not limited to acts of God, weather, illness, equipment failure, government restrictions, or emergencies.
11. Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of the State of Colorado.
12. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions. By signing this agreement, both parties agree to the terms above, as well as standard contract provisions including: mutual respect, clear communication, timely delivery of materials, and compliance with applicable laws. Any changes to this agreement must be made in writing and signed by both parties.
