This Inventory Stocking Agreement ("Agreement") is made between:

1. The Customer contracts with VIP Supplyco LLC ("VIP") to manufacture and warehouse the item(s) described above, up to the Maximum Commitment listed for each item.
2. Customer agrees to pay VIP for each case stocked under this Agreement, whether or not it is taken by the Customer before expiration of the free stocking period.
3. Customer agrees that VIP may invoice for all stocked items under this Agreement and guarantees full payment of all invoices according to the agreed payment terms.
4. Either party may terminate this Agreement upon written notice; upon termination, all remaining inventory will be invoiced at the pricing in effect at the time of termination and must be accepted and paid for by the Customer.
5. All shipments made under this Agreement must meet the terms, conditions, and minimum order quantities outlined in the corresponding quotation or order confirmation.

VIP will store all printed items free of charge for 60 days from the date items are received at the VIP warehouse.
After 60 days, remaining inventory will be subject to:
• $25 per pallet per month for storage fees; and
• $20 per delivery charge for each shipment made after the initial 60-day free period.
Customers are encouraged to schedule deliveries in a timely manner to avoid incurring additional charges.
