  • Indemnification and Hold Harmless Provision

    Grant Recipient agrees to defend, indemnify, and hold harmless CivicLex, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Grant Recipient's negligent acts or omissions in planning, organizing, or conducting the funded community event; (b) Grant Recipient's failure to comply with applicable laws, regulations, or permit requirements; (c) Any personal injury or property damage occurring during the funded event, except to the extent caused by CivicLex's gross negligence or willful misconduct.

    Grant Recipient shall maintain appropriate insurance coverage and shall provide proof of such coverage upon request. This provision shall survive the completion of the funded event.
