Team ONE® Partnership Expectations & Terms

Outlined below are general terms of an agreement between yourself and Global Protection (parent company of ONE®) for participation in our “Team ONE®” program. This program is designed to introduce our consumers to new social and intramural sports organizations in their areas in exchange for promotion of our brand, ONE® Condoms. As part of the agreement, both parties agree to the following:
ONLINE PROFILE: Global Protection has a section of OneCondoms.com to highlight and promote Team ONE® partners ("Teams"). Teams will have their own public profile on the site that will include the following elements to be provided to Global Protection: team photo(s), (which shall not include identifiable images of individual players without their written consent), type of sport, description/bio of team, a list of upcoming events, link to website and social media profiles (Instagram, TikTok, YouTube, etc.).*

SOCIAL MEDIA CROSS-PROMOTION & BRAND VISIBILITY: Team agrees to feature products as part of their table display at events and distribute products to team members or the public on behalf of ONE®. Team agrees to create at least one social media post or video during the first month of partnership using the provided brand messaging. Team represents and warrants that all social media posts and promotional content will comply with any applicable league, association, or governing body rules and regulations, including any sponsorship or advertising restrictions.*

SAMPLE TINS & PRODUCT: Global Protection will provide the Team with custom printed tins to be distributed at each meetup, game, or event. Each tin will contain two ONE® condoms and instructions, and will be customized with the Team's logo or message of choice. The exact quantity of tins will be determined based on frequency of events. Team agrees to discuss events with Global Protection on a quarterly basis in order to determine the appropriate amount of product. All products will be shipped to the Team directly. Team agrees to provide a physical mailing address in the United States or Canada for the product to be shipped to.*

GRANT OF RIGHTS: Team agrees that Global Protection has the right to use the Team name, likeness, and logos in any and all known media, including social media, television, radio, print, point of sale, internet, outdoor, direct mail, cinema, publicity (press releases, TV, online and print interviews), promotional and sales material Team represents and warrants that it has the authority to grant the rights set forth in this section and that such grant does not violate any agreement with any league, association, governing body, or third party. Team agrees not to grant the right to use the Team's name and likeness to anyone other than Global Protection in connection with the advertisement and promotion of condoms and related products. It is understood that Global Protection may not use the Team's name, likeness, and logos in connection with any items for sale or resale other than the products as specified herein. Each Party agrees that they will not acquire any rights in the other Party’s intellectual property.*

TEAM REPRESENTATIONS AND WARRANTIES: Team represents and warrants that: (a) it is a duly organized sports team or organization with the authority to enter into this Agreement; (b) the execution and performance of this Agreement does not violate any rules, regulations, or bylaws of any league, association, or governing body to which Team is subject; (c) it has obtained or will obtain all necessary consents from individual players whose names, likenesses, or images may be used in connection with this Agreement; and (d) all intellectual property provided by Team to Global Protection is owned by or properly licensed to Team and does not infringe the rights of any third party.*

INDEMNIFICATION: Team agrees to indemnify, defend, and hold harmless Global Protection from and against any and all demands, claims, suits, cause or causes of action, whether at law or in equity, as well as costs, expenses and attorneys' fees and any liability to Global Protection, arising from (a) Global Protection’s permitted use of Team's name, likeness, logos, and other intellectual property in connection with the “Team ONE®” program , or (b) any claim by an individual player, league, association, or third party arising from Team's breach of any representation or warranty in this Agreement. Global Protection agrees to indemnify, defend and hold harmless Team from and against any and all demands, claims, suits, cause or causes of action, whether at law or in equity, as well as costs, expenses and attorneys' fees and any liability to Team, arising from Team's permitted use of Global Protection’s intellectual property in connection with the “Team ONE® ” program.*
