TBT Solutions Virtual Membership Business Address and Registered Agent Agreement

This Virtual Membership and Registered Agent Agreement (“Agreement”) is entered into by and between TBT Office Solutions, a subsidiary of Tamia Barnes Tomasek Counseling, LLC (“Provider”), and the individual or business completing and signing this Agreement (“Member”).

Services Provided

Provider agrees to offer the following services to Member under the virtual office membership:

• Mail Services: Member may receive mail at Provider’s address - 8609 Second Ave #404B Silver Spring, MD 20910. Provider will forward all mail to the address provided by Member below.
• Registered Agent: Provider’s address may be used as Member’s registered agent with the Maryland Medical Board, or any other entities required. 
• Marketing Opportunity: Member’s practice will be highlighted periodically in the TBT Solutions Newsletter.

Fees

Invoices will be issued on the first day of each month for the current month's membership dues. Any postage or mail forwarding charges incurred on the member's behalf will be included on the same invoice. The member agrees to pay a monthly membership fee of $82.00. All invoices will be sent through our online billing system. 

Term and Termination

This Agreement shall commence on the date first written below and shall continue on a month-to-month basis until terminated by either party with 5 days written notice.

Mail and Subpoena Acceptance

Member grants Provider the authority to receive mail and subpoenas on behalf of Member's business.

Limitation of Liability

Provider shall not be liable for any damages arising out of or related to this Agreement, except in cases of gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.

No Affiliation

Nothing in this Agreement shall create or imply any affiliation between Member’s practice and Tamia Barnes Tomasek Counseling, LLC.

By signing below, you acknowledge that you have read and agree to the terms and conditions of the Virtual Membership Business Address & Registered Agent Agreement with TBT Solutions, a subsidiary of Tamia Barnes Tomasek Counseling, LLC, effective as of the date signed below.

You also grant TBT Solutions, a subsidiary of Tamia Barnes Tomasek Counseling, LLC, the authority to receive business mail and legal correspondence, including subpoenas, on behalf of your business.
