By signing below, I agree with the following statements

1. Confidentiality: The Customer acknowledges and agrees that the funds were inadvertently transferred to the Customer’s account during PayPal efforts to secure the Customer’s account. The fact of the transfer, the quantum of the Funds, the circumstances surrounding the transfer, the procedure for restitution, and all related communications and documentation (collectively, the “Confidential Information”) shall be held in strict confidence by the Customer. The Customer shall not disclose, publish, disseminate or otherwise make available any Confidential Information to any third party without the prior written consent of PayPal, except to the extent such disclosure is compelled by law or by a court or governmental authority (provided that the Customer gives PayPal prompt written notice and reasonably cooperates with PayPal to seek protective measures).2. Nature of the Transaction: Trust Relationship: The Customer hereby acknowledges that the transfer constituted an erroneous payment that was not intended as a transfer of title or as consideration for any obligation of PayPal. The Customer further acknowledges that the Funds are held by the Customer in constructive trust for the benefit of PayPal and that the Customer has no equitable or legal right, title, or interest in the Funds other than as a fiduciary custodian pending return.3. Obligation to Return Funds: Time Is of the Essence: By executing this Agreement, the Customer expressly acknowledges receipt of the erroneous funds and covenants and agrees to return the entire amount of the Funds to PayPal by a secure payment mechanism approved by PayPal (e.g., wire transfer, PayPal reversal) within one (1) Business Days following the Effective Date, unless a different date is expressly agreed in writing. Time is of the essence with respect to the Customer’s obligations hereunder. The Customer shall be responsible for any transfer fees, bank charges, or other costs incurred in connection with the return unless PayPal agrees otherwise in writing.4. Consequences of Breach: The Customer acknowledges that any breach of this Agreement or any failure to return the Funds may cause irreparable harm for which monetary damages may be an insufficient remedy. Accordingly, in addition to any and all other rights and remedies available at law or in equity, PayPal shall be entitled to seek injunctive relief, specific performance, disgorgement, recovery of the Funds, and any damages, costs, interest, and attorneys’ fees incurred as a result of such breach. PayPal's remedies hereunder are cumulative and not exclusive. The Customer further acknowledges PayPal may report the matter to law enforcement or regulatory authorities where appropriate.5. Indemnification: The Customer shall indemnify, defend and hold harmless PayPal and its affiliates, officers, directors, employees and agents (collectively, the “Indemnified Parties”) from and against any and all losses, liabilities, claims, demands, damages, costs and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to the Customer’s failure to return the Funds, any unauthorized disclosure of Confidential Information, or any breach by the Customer of this Agreement. The indemnification obligations set forth herein shall survive termination or completion of this Agreement.6. Acknowledgement: The Customer acknowledges that the Customer has read, understands and voluntarily accepts the terms of this Agreement and that the obligations herein are binding and enforceable. The Customer agrees that return of the Funds may be effected by third-party payment services (including, without limitation, wire transfer or other remittance services) as directed by PayPal. This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one instrument.
