Vendor Approval and Right of Refusal.
Notwithstanding any other provision of this Agreement, (FOF) reserves the sole and absolute discretion to approve, condition, or reject any vendor, subcontractor, supplier, or service provider proposed in connection with the services contemplated herein. Such approval may be withheld, conditioned, or revoked for any lawful reason, or for no reason, in (FOF)’s discretion, provided such action does not violate applicable Georgia law or public policy.
No vendor shall be deemed approved unless and until (FOF) issues express written authorization. No prior course of dealing, partial performance, or verbal communication shall constitute approval or waiver of this provision unless set forth in a written instrument executed by (FOF).
