  • SARAH LILLY MEDIA CLIENT AGREEMENT
    This Agreement (the "Agreement") is made and entered into on the date of signature by and between you (the "Client") and Sarah Lilly from Sarah Lilly Media ("Sarah Lilly Media").

    Sarah Lilly Media agrees to provide User Generated Content (UGC) creation services as outlined in the Client’s proposal, invoice, or email correspondence. These services are designed to create authentic, engaging content for use across the Client’s marketing channels.

    By signing this agreement, the Client agrees to the following terms and conditions.


    1. Payment
    The Client agrees to make a 50% deposit to secure their UGC space. The remaining payment will be due 2 days after the delivery of the content.

    Due to the nature of creative services and time allocation, all payments are non-refundable.

    Work will not begin until deposit has been received.


    2. Scope of Services
    Sarah Lilly Media will provide UGC services as outlined in the agreed deliverables. This may include:

    • Short-form video content (e.g. reels, TikToks)
    • Photography or visual assets
    • Scriptwriting or blog posts
    • Final deliverables, quantity of content, format, and deadlines will be confirmed prior to commencement.

    This service includes content creation only and does not include posting, ad management, or ongoing strategy unless otherwise agreed in writing.


    3. Revisions
    The Client is entitled to a set number of revisions as outlined in the proposal (1–2 rounds).

    Revisions must be requested within 3 business days of content delivery.

    Any additional revisions beyond what is agreed may incur an additional fee.

    Revisions do not include complete reshoots or changes to the original brief unless agreed and paid for separately.


    4. Client Responsibilities
    The Client agrees to:

    • Provide a clear brief, expectations, and any required messaging or brand guidelines
    • Supply products (if required) in a timely manner
    • Provide feedback and approvals within a reasonable timeframe
    • Delays in communication or product delivery may impact timelines. Sarah Lilly Media is not responsible for delays caused by the Client.


    5. Content Usage & Licensing
    Unless otherwise agreed in writing, the Client is granted a non-exclusive license to use the content for organic social media and marketing purposes.

    Paid advertising usage or extended usage rights must be agreed upon in advance and may incur additional fees.

    Sarah Lilly Media retains the right to use created content for portfolio, marketing, and promotional purposes unless otherwise agreed.


    6. Social Media & Testimonials
    The Client grants Sarah Lilly Media permission to share completed content, results, or insights for marketing purposes (including website and social media). Results and insights will always be kept anoymous.

    Sarah Lilly Media may request a testimonial following completion of the project. The Client may choose whether or not to provide one. Any identifying testimonial content will only be shared with permission.


    7. Results & Liability
    The Client understands that while content is created with strategy and best practices in mind, specific results (including engagement, reach, conversions or sales) cannot be guaranteed.

    Sarah Lilly Media is not responsible for the performance of content once it has been delivered.

    The Client remains responsible for how the content is used, implemented, and distributed.

    Sarah Lilly Media is not liable for any direct or indirect loss resulting from the use of the content.


    8. Intellectual Property
    All raw, unedited content remains the property of Sarah Lilly Media unless otherwise agreed.

    Final delivered content is licensed to the Client as outlined in Section 5.

    The Client agrees not to resell, redistribute, or alter the content beyond its intended use without prior written consent.
