  • INDEPENDENT SALES AGENT AGREEMENT


    This Agreement is entered by and between AT Solutions (acting as an authorized Partner/Distributor Store Agent for the Digitlink network, herein referred to as the "Company") and the registering party (the "Sales Agent").

    RECITALS
    A. The Company operates a digital sweepstakes platform (“Platform”) and acts as the operational liquidity provider for said Platform.
    B. The Sales Agent desires to promote the Platform and acquire players at the Sales Agent’s designated physical location(s) or digital channels.
    C. The parties agree to enter into this relationship as independent contractors under the terms set forth below.

    SECTION 1: OPERATING MODEL & RELATIONSHIP
    1.1. The Company's Role: The Company handles 100% of player deposits, player redeems (winnings), and payment processing. Because the Company manages these financial logistics, the Sales Agent carries zero out-of-pocket financial risk, even if players win massive prizes.
    1.2. The Sales Agent's Role: The Sales Agent acts strictly as an independent marketing partner. The Sales Agent's sole responsibility is to promote their assigned links to acquire players. The Sales Agent shall not collect cash directly from players or issue payouts.
    1.3. Independent Contractor Status: Nothing in this Agreement shall be construed to create an employer-employee, partnership, or joint venture relationship. The Sales Agent is solely responsible for all taxes, withholdings, and insurance related to their operations.

    SECTION 2: REVENUE DEFINITIONS & DEDUCTIONS We operate on a transparent "TotalNet" revenue-sharing model. Compensation is calculated based on the net revenue generated specifically by the Sales Agent’s players. Operational costs are deducted from the Gross Profit before any revenue is split.

    • Gross Profit: Total Credits Played minus Total Winnings (Redeems).
    • Operational Deductions: Before the profit is split, the following costs are deducted from the Gross Profit:
      1. Processing Fee (2%): Covers the transactional costs of moving deposits.
      2. Platform & Handling Fee (20%): Covers software licensing, server costs, and winnings management.
      3. Promotional Score: The cost of the default Signup Bonus given to new players, plus any Daily Promotions utilized by the Sales Agent’s players.
    • TotalNet: The final splittable revenue, calculated as Gross Profit minus the Operational Deductions.


    SECTION 3: COMMISSION SPLITS & PAYOUTS Once the operational costs are deducted, the TotalNet is distributed as follows:
    3.1. Sales Agent Share (70%): The Sales Agent receives 70% of the TotalNet.
    3.2. Company Share (30%): The Company retains 30% of the TotalNet to cover operational liquidity, administrative labor, and platform management.
    3.3. Settlement Schedule: The reporting week runs from Monday 00:00 to Sunday 23:59. Settlements are processed weekly. Funds are remitted to the Sales Agent every Monday via the dlink system or another mutually agreed method.
    3.4. Negative Carryover: While the Sales Agent carries no out-of-pocket risk for jackpots, in the event that Player Winnings exceed Player Deposits in a given week (resulting in a negative TotalNet), no commission shall be paid for that week. The negative balance will carry forward to offset future net revenue.

    SECTION 4: SUBAGENT REFERRAL OVERRIDES If the Sales Agent was referred to the Company by an authorized Subagent, the Company pays that Subagent a private referral commission. This override is paid entirely out of the Company’s retained 30% share and does not reduce or affect the Sales Agent’s 70% commission in any way.

    SECTION 5: GENERAL RESPONSIBILITIES & COMPLIANCE
    5.1. Compliance: The Sales Agent agrees to operate in full compliance with all applicable local, state, and federal laws. The Sales Agent shall not make any false or misleading representations regarding the Platform or the odds of winning.
    5.2. Player Support: The Sales Agent shall act as the primary point of contact for their players regarding basic account access and inquiries.
    5.3. Confidentiality: The Sales Agent acknowledges that player data, software algorithms, and commission structures are proprietary. The Sales Agent agrees not to disclose this information to third parties during or after the term of this Agreement.

    SECTION 6: TERM, TERMINATION, AND LIABILITY
    6.1. Termination: Either party may terminate this Agreement at any time, with or without cause, upon providing seven (7) days' written notice. The Company may terminate this Agreement immediately if the Sales Agent engages in fraudulent activity, violates the law, or breaches confidentiality.
    6.2. Limitation of Liability: While the Company acts as the Liquidity Provider for player winnings, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the Sales Agent's marketing activities or business operations.
    IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.
