  • This Agreement is made and entered into on this day by and between:

  • 1. Purpose and Authorization

  • Buyer expresses interest in exploring the potential acquisition of one or more businesses ("Business" or "Businesses") introduced by ABS. Buyer authorizes ABS to assist in identifying suitable opportunities, providing advice, and granting access to confidential business information. Buyer acknowledges responsibility for conducting independent verification and due diligence.

  • 2. Agency and Representation

  • ABS acts exclusively as a marketing agent and representative of business sellers. Buyer will deal solely through ABS for any Business introduced by ABS. ABS may represent multiple sellers or buyers concurrently.

  • 3. Fee Structure

  • No fee shall be payable by Buyer to ABS if the Business purchased is listed with ABS. Buyer acknowledges that ABS is compensated by the Seller at closing.

  • 4. Exclusive Dealings

  • a. Buyer will not enter into negotiations with any Seller, their employees, or representatives concerning any Business introduced by ABS, except through ABS.
    b. For a period of two (2) years after Buyer ceases to use ABS's services, Buyer shall not use the services of any other intermediary for any Business introduced by ABS.
    c. Buyer acknowledges this Agreement does not restrict ABS from representing other parties or providing listings to other potential buyers.

  • 5. Confidentiality and Non-Circumvention

  • a. Information provided by ABS is confidential and proprietary to ABS and the Seller. Buyer agrees not to disclose such information to any third party except to Buyer's legal, accounting, or financing professionals.
    b. Buyer agrees not to contact or attempt to contact, directly or indirectly, any owners, employees, suppliers, or customers of such Business except through ABS.
    c. Buyer agrees not to purchase, invest in, or in any way become affiliated with a Business introduced by ABS without ABS's participation.
    d. If Buyer circumvents ABS or interferes with ABS's right to its commission, Buyer shall be liable for the full brokerage fee and related costs, including attorney's fees.

  • 6. Buyer's Responsibility

  • ABS and its agents rely on information supplied by the Seller, including but not limited to financials, leases, and tax returns. ABS makes no warranty as to the accuracy of such information. Buyer accepts full responsibility for verifying all data and making all purchase decisions based solely on its own due diligence.

  • 7. Leasing Clause

  • If Buyer elects to lease rather than purchase a Business introduced by ABS, Buyer agrees that ABS shall receive a leasing commission equal to the greater of $10,000 or 10% of the total lease price, payable upon execution of the lease.

  • 8. Hold Harmless

  • Buyer shall hold ABS and its agents harmless from any claims, losses, or misrepresentations made by a Seller or any third party.

  • 9. Non-Compete / No Co-Brokerage

  • Buyer affirms that Buyer is not a broker, agent, or intermediary and is registering as a principal buyer. Confidential information provided by ABS shall not be used for any purpose other than evaluating a potential purchase. If Buyer is an agent or intermediary, Buyer agrees to pay ABS a non-refundable fee of $5,000 per business address released and accepts personal liability for this payment.

  • 10. Arbitration

  • This Agreement shall be governed by the laws of the State of Delaware. Any claim or dispute shall be resolved by binding arbitration through Arbitration Services, Inc.. Venue shall be in the Office of Superior Court, 414 Federal Street, Dover, DE 19901, Kent County, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

  • 11. Miscellaneous

    • This Agreement may be executed in counterparts, and faxed or scanned signatures shall be considered originals.
    • This is the entire Agreement between the parties and supersedes all prior understandings.
    • This Agreement shall be binding on the parties' heirs, successors, and assigns.
