This Embryo Transfer Acknowledgment and Consent Agreement ("Agreement") is entered into by and between De Cillo Equine Clinic ("Clinic") and "Client". By signing this Agreement, the Client acknowledges and agrees to the following terms and conditions:

The Client represents and warrants that they are the legal owner or authorized agent of the following mare:

1. No Guarantee of Pregnancy The Client understands and acknowledges that an embryo transfer procedure does not guarantee a positive pregnancy outcome.

2. Standard of Care The Client acknowledges that the Clinic has made all reasonable and professional efforts to prepare the recipient mare for embryo transfer in accordance with accepted veterinary standards and best practices.

3. Fees and Payment The Client understands and agrees that the fee for preparation of the recipient mare and the embryo transfer procedure remains the same regardless of the outcome, including both positive and negative pregnancy results.

4. Success Rate of Frozen ICSI Embryos The Client acknowledges that a frozen Intracytoplasmic Sperm Injection (ICSI) embryo has an approximate 60% chance of resulting in a positive pregnancy.

5. Risk of Negative Outcome The Client understands and accepts that there is an approximate 40% chance that, despite proper preparation and embryo transfer, the recipient mare may not become pregnant.

6. Client Responsibility in Case of Veterinary Recommendation (Recipient Suitability) In the event that the Clinic determines that the Client's mare is not an ideal candidate to serve as a recipient, and the Client elects to proceed with the embryo transfer against veterinary recommendation, the Client assumes full responsibility for the outcome of the procedure.

7. Client Responsibility in Case of Veterinary Recommendation (Cycle Suitability) The Client understands that, in some cases, the veterinarian may recommend skipping a cycle if it is not considered ideal for embryo transfer. If the Client elects to proceed with the embryo transfer against such recommendation, the Client assumes full responsibility for the outcome of the procedure.

To the fullest extent permitted by law, the Client agrees to release, waive, and discharge the Clinic, its veterinarians, employees, agents, and affiliates from any and all liability, claims, demands, damages, or causes of action arising out of or related to the embryo transfer procedure, including but not limited to failure to achieve pregnancy, loss of embryo, complications with the recipient mare, or any unforeseen outcomes.

The Client acknowledges that veterinary procedures involve inherent risks and uncertainties, and that no guarantees have been made regarding the success of the procedure. The Client further agrees that the Clinic shall not be held liable for any indirect, incidental, or consequential damages resulting from the procedure or its outcome.

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

The Client agrees that all fees associated with the embryo transfer procedure, including but not limited to mare preparation, medications, veterinary services, and the embryo transfer itself, are due at the time services are rendered, unless otherwise agreed in writing by the Clinic.

• The Clinic reserves the right to withhold non-emergency services until payment is received.
• The Client acknowledges that no refunds will be issued based on the outcome of the procedure, including failure to achieve pregnancy.

This Agreement contains the entire understanding between the parties and supersedes all prior oral or written agreements. No amendment shall be valid unless made in writing and signed by both parties.

By signing below, the Client confirms that they have read, understood, and agree to all terms outlined in this Agreement.
