IMPORTANT SERVICE TERMS (summary)
- RHRE works during normal business hours only. Messages after hours are handled next business day.
- Agent is responsible for deadlines, signatures after hours, earnest money, and lender-related repair documentation.
- RHRE does not send wire instructions.
TERM OF AGREEMENT
This agreement shall remain in effect for a period of one (1) year from the date of execution and will automatically renew for successive one-year terms unless terminated by either party with seven (7) days written notice.
SCOPE OF SERVICES
RHRE provides administrative contract-to-close and listing coordination services only. RHRE does not provide legal advice, negotiate contract terms, communicate agency representation, or perform duties requiring a licensed real estate broker or agent. The Agent remains solely responsible for all client relationships, negotiations, deadlines, earnest money handling, and brokerage compliance.
REPAIRS, AMENDMENTS & LENDER COMMUNICATION
The Agent is solely responsible for all repair negotiations, repair agreements, completion verification, and any required disclosure of repairs to lenders, closing attorneys, or other parties. RHRE transmits documents only as directed by the Agent and does not determine whether repairs, concessions, or amendments must be provided to a lender. The Agent assumes full responsibility for the content, timing, and delivery of all repair-related documentation and for ensuring consistency between all executed agreements.
AGENT RESPONSIBILITIES
The Agent retains full responsibility for the following:
• All client relationships and communications
• Negotiation of contract terms and counteroffers
• Selection of contract forms and legal content
• Review and approval of all documents prior to submission
• Monitoring and meeting all contract deadlines
• Earnest money delivery and verification
• Obtaining all required signatures, including after business hours
• Providing complete and accurate client contact information
• Providing accurate commission, referral, and compensation instructions
• Brokerage file compliance and broker-required documentation
• Verification of settlement statements and commission disbursements
• Communication with lenders, closing attorneys, inspectors, and appraisers
• Showing property without an executed Buyer Brokerage Agreement or Customer Agreement at their own risk
• Timely delivery of requested corrections or missing documents
• Verification of wire instructions directly with the closing attorney
RHRE provides administrative coordination only and does not assume responsibility for any of the above duties.
BUSINESS HOURS & TURNAROUND CLARIFICATION
RHRE operates during normal business hours and does not process files, monitor email, text messages, or voicemail outside of business hours, on weekends, or on federal holidays, Christmas Eve or Black Friday. Messages received after business hours will be reviewed on the next business day in the order received.
Turnaround times begin only after all required information and documentation have been received. One (1) business day means that items received at 3:00 p.m. on Thursday will be handled before 3:00 p.m. on Friday. Typical turnaround during business hours is one (1) to three (3) hours but may be longer on Mondays, following holidays, or during peak real estate seasons.
The Agent is responsible for all time-sensitive matters, including obtaining signatures after business hours, monitoring deadlines, and protecting earnest money.
BILLING & PAYMENT TERMS
Contract-to-Close fees are earned upon performance of services and are not contingent upon the Agent receiving payment from their brokerage.
If RHRE requests required corrections or missing documentation three (3) times and the Agent fails to provide the requested items, responsibility for the incomplete file transfers to the Agent and the full Contract-to-Close fee will be due within three (3) business days of closing.
Fees are typically paid at closing through the closing attorney. If payment is not received at closing, the Agent is responsible for confirming delivery of payment within three (3) business days. Failure to do so may result in late fees and may delay future services.
Add-on services, Buyer Success, Seller Success, termination fees, Coming Soon duplicate entry fees, and other per-file charges will be billed to the card on file at the time the service is requested or completed.
Contract-to-Close fees may be charged to a credit card only if the Agent elects to pay by card and agrees to the additional three percent (3%) processing fee. Add-on services and termination fees charged to the card on file will not incur a processing fee.
LATE FEES
Invoices not paid within three (3) business days of the invoice date may be subject to a late fee of $25.
If payment for a closing is not received and the Agent fails to confirm delivery of payment within three (3) business days, the late fee may be charged to the card on file.
Late fees may also apply to unpaid termination fees, add-on services, and any balance not paid within the required timeframe.
RHRE reserves the right to pause new file intake and services for Agents with outstanding balances until all past due amounts, including late fees, are paid in full.
FILE ACTIVATION & AGENT RESPONSIBILITIES
A file is considered opened when RHRE begins work after receiving a contract, listing request, or service order from the Agent.
The Agent is responsible for the accuracy and completeness of all information provided to RHRE, including client contact information, commission instructions, referral fees, brokerage requirements, and settlement statement details. RHRE is not responsible for errors resulting from incorrect or incomplete information provided by the Agent.
The Agent remains responsible for all deadlines, client communications, earnest money delivery, and brokerage-required documentation.
NON-GUARANTEE OF CLOSING
RHRE provides administrative coordination services only and does not guarantee that any transaction will close. Fees are for services performed and are not dependent on closing, funding, or commission disbursement.
INDEPENDENT CONTRACTOR RELATIONSHIP
RHRE is an independent contractor and is not a brokerage, employer, or supervisor of the Agent. The Agent remains solely responsible for compliance with all licensing laws, brokerage policies, and regulatory requirements.
RHRE personnel may perform services remotely from various locations, and the Agent acknowledges that physical presence in a specific office is not required for service delivery.
LIMITATION OF LIABILITY
RHRE provides administrative coordination services only. The Agent remains solely responsible for all brokerage compliance, deadlines, client communications, earnest money handling, contract terms, and transaction outcomes.
RHRE shall not be liable for any indirect, consequential, special, or punitive damages, including loss of commission, lost business opportunities, or brokerage penalties.
To the fullest extent permitted by law, RHRE’s total aggregate liability for any claim arising out of services provided shall be limited to the amount of fees actually paid to RHRE for the specific transaction giving rise to the claim.
RHRE shall not be liable for delays, errors, or failures caused by Agents, clients, lenders, closing attorneys, inspectors, appraisers, or other third parties, or by incomplete, inaccurate, or late information provided by the Agent.
CONFIDENTIALITY & DATA USE
RHRE will maintain the confidentiality of all transaction and client information and will use such information solely for the purpose of providing contracted services. RHRE does not enter Agent client data into any CRM or marketing system.
RHRE personnel access Agent systems solely for the purpose of providing contracted services and will not use Agent data for marketing, solicitation, or any purpose outside the scope of this agreement.
LICENSED TC CONFIDENTIALITY & NON-COMPETE POSITION
Some RHRE transaction coordinators may hold an active real estate license. Any licensed RHRE personnel agree to maintain strict confidentiality regarding all transaction, client, and brokerage information.
Licensed RHRE personnel do not actively market themselves as real estate agents, do not solicit clients from RHRE Agent partners, and do not use RHRE file information for personal real estate activity. Any personal real estate activity is limited to immediate friends and family and is conducted outside of RHRE services.
RHRE is brokerage-agnostic and provides services to agents affiliated with multiple brokerages. RHRE will not share brokerage-specific policies, proprietary processes, internal documents, or operational information with agents outside of that brokerage.
All brokerage information received in the course of providing services will be kept confidential and used solely for the purpose of completing the assigned transaction.
RHRE SYSTEMS & INTELLECTUAL PROPERTY
All RHRE workflows, templates, checklists, communications, and proprietary processes are the intellectual property of RHRE and may not be copied, distributed, or used to create competing services.
RHRE TEAM ASSIGNMENT & SYSTEM ACCESS
Agent acknowledges that RHRE operates as a team-based service. Files may be assigned, reassigned, or supported by any RHRE transaction coordinator or staff member to ensure continuity of service, coverage during absences, training, or quality control.
Agent agrees to provide and maintain accurate login credentials, shared access, or delegated permissions for required systems necessary for RHRE to perform services.
Agent understands that certain platforms require two-factor authentication (2FA) and agrees to provide one-time access codes when requested for service-related logins.
RHRE utilizes commercially reasonable security practices, including secure password management tools and VPN access when working remotely or while traveling, to safeguard Agent system access.
ERRORS & OMISSIONS INSURANCE
RHRE maintains Errors and Omissions (E&O) insurance coverage for transaction coordination services. Coverage is limited to services performed within the scope of this agreement.
NO LEGAL OR CONTRACTUAL INTERPRETATION
RHRE provides administrative and coordination services only and does not provide legal advice, brokerage supervision, or contract interpretation.
All questions regarding contract terms, negotiation strategy, legal meaning, brokerage policy, or risk management must be directed to the Agent’s managing broker, closing attorney, or appropriate licensed professional.
WIRE FRAUD PREVENTION & PAYMENT INSTRUCTIONS
RHRE does not prepare, send, receive, or transmit wire instructions under any circumstances.
RHRE will not deliver buyer or seller wire instructions, and RHRE will not send agent commission wire instructions to closing attorneys.
All wire instructions must be obtained directly from the closing attorney or brokerage through verified channels. The Agent is solely responsible for communicating wire procedures to clients and for verifying all wiring instructions.
RHRE assumes no liability for wire fraud, misdirected funds, or payment errors related to wiring instructions.
INDEPENDENT CONTRACTOR STATUS & BRANDING
RHRE is an independent contractor and is not an employee of the Agent, the Agent’s team, or the Agent’s brokerage. Nothing in this agreement creates an exclusive relationship, and RHRE may provide services to other agents, teams, and brokerages.
Any email signatures, marketing materials, or templates created by RHRE will clearly identify RHRE as an independent transaction coordination service.
NON-SOLICITATION OF RHRE PERSONNEL
The Agent agrees not to solicit, hire, or contract directly with any RHRE transaction coordinator or staff member during the term of this agreement and for a period of twelve (12) months following termination.
TRANSITION OF SERVICES
The Agent agrees to notify RHRE prior to transitioning to another transaction coordinator service. RHRE will complete any active files already in process unless otherwise agreed in writing.
TC COVERAGE & VACATION MODEL
If a transaction coordinator assigned to the Agent takes a personal day, RHRE staff will handle new contract submissions and mandatory tasks that cannot be delayed. When a transaction coordinator is on a full-week vacation, RHRE staff will provide full coverage for all transaction coordination tasks during that period.
PRICING & FEE ADJUSTMENTS
RHRE may update service pricing, add-on fees, and package structures with reasonable written notice to the Agent. Price changes will apply to new files submitted after the effective date of the updated pricing. Files already in progress at the time of notice will continue under the pricing in effect when the contract was submitted to RHRE.
RHRE reserves the right to introduce new services, modify existing services, or discontinue services at any time with reasonable notice.
RIGHT TO PAUSE FOR NONPAYMENT
RHRE reserves the right to decline new files or pause services for Agents who are not in good financial standing or who have outstanding balances.
SOCIAL MEDIA, IDX & MARKETING CONSENT
Agent grants RHRE permission to share the Agent’s active listings, pending transactions, closings, and publicly available social media content for marketing purposes on RHRE platforms.
Upon the launch of RHRE’s affiliated brokerage and IDX website, Agent grants RHRE permission to display Agent’s active listings through IDX feeds in accordance with MLS rules.
This consent applies prospectively and may be revoked at any time with written notice. Revocation will apply to future marketing only and will not require removal of previously published content.
USE OF TRANSACTION DATA FOR STATISTICS
Agent grants RHRE permission to use transaction data in aggregated, anonymized form for internal tracking and for marketing, presentations, and industry reporting. No personally identifiable client information or confidential terms will be disclosed.
RHRE CLIENTS ON BOTH SIDES OF A TRANSACTION
Agent acknowledges that RHRE may provide services to multiple agents involved in the same transaction, including agents representing opposing parties.
RHRE will maintain administrative separation of each agent’s file and will not share confidential client information, negotiation strategy, or non-public details between agents. RHRE’s role in such transactions is limited to neutral administrative coordination.
FORCE MAJEURE
RHRE shall not be deemed in breach of this agreement for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, power outages, internet or system failures, MLS outages, brokerage platform failures, government actions, labor disruptions, illness, or other unforeseen events.
SEVERABILITY
If any provision of this agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
ENTIRE AGREEMENT
This agreement constitutes the entire understanding between the parties and supersedes all prior discussions, representations, or agreements, whether written or oral. Any modifications must be made in writing and signed by both parties.
GOVERNING LAW
This agreement shall be governed by the laws of the State of Georgia, with venue in Cobb County, Georgia.
ELECTRONIC SIGNATURE
The Agent acknowledges that electronic signature of this agreement is binding and that initials indicate review and acceptance of the corresponding sections.
