  • Independent Contractor Agreement

    By checking this box and submitting this form, I acknowledge, understand, and agree that this constitutes a legally binding agreement between myself and Millers Jump Time Entertainment. I further agree to the following terms:
  • Independent Contractor Status:

     

    • I am an independent contractor and not an employee, partner, or agent of Millers Jump Time Entertainment. I am solely responsible for my own business operations, taxes, staff, and services.

     

    • I acknowledge that Millers Jump Time Entertainment does not control the manner or means of my work and is not responsible for my performance or operations.
  • Indemnification:

     

    • I agree to indemnify, defend, and hold harmless Millers Jump Time Entertainment, its owners, employees, contractors, and affiliates from any and all claims, liabilities, damages, losses, and expenses, INCLUDING ATTORNEYS’ FEES, arising out of or related to my services, actions, or omissions.
  • Non-Solicitation:

     

    • I agree not to solicit or accept direct bookings from clients obtained through Millers Jump Time for a period of 12 months following the event.

     

    • I agree not to bypass, circumvent, or interfere with Millers Jump Time Entertainment in order to work directly with referred clients.
  • Conduct and Professionalism:

     

    • I agree to maintain professional conduct, abstain from drugs/alcohol during events, and represent the Millers Jump Time brand appropriately.

     

    • I agree to maintain a high level of professionalism at all times, including appropriate attire, behavior, communication, and interaction with clients and guests. No drugs or alcohol are permitted while performing services.

     

    • I agree to arrive on time and be fully prepared to perform all confirmed services. I understand that lateness, delays, or unpreparedness may result in removal from the event and financial responsibility for any resulting damages or client dissatisfaction.
  • Equipment Responsibility:

     

    • I am solely responsible for the safety, setup, operation, and security of my equipment during events.

     

    • Any equipment failure, malfunction, or inability to perform will be my sole responsibility.
  • Maintain Agreed Commerical Liability Insurance Requirements:

     

    • I agree to maintain active insurance at all times and provide updated documentation upon request.
  • Cancellation and No-Show Policy:

     

    • I understand that cancellations within 7 days of an event or no-shows may result in penalties, withheld payment, and potential removal from future events.

     

    • I acknowledge that I may be held financially responsible for damages, cancellations, failure to perform, or any actions that negatively impact the client experience or the company’s reputation.

     

  • Payment Terms:

     

    • I acknowledge that payment will be issued after successful job completion and may be reduced or withheld for performance issues, damages, or policy violations.

     

    •  I understand that Millers Jump Time Entertainment controls all pricing presented to clients and may include a markup or commission on vendor services.

     

    • I agree that my payout for each event will be the agreed-upon vendor rate and is separate from the total amount charged to the client.

     

    • I understand that Millers Jump Time Entertainment may retain a portion of the total booking amount as a service fee or commission. 

     

    • I agree not to disclose my payout rate, pricing structure, or internal business practices to clients or other vendors. I understand that all payments must be processed through Millers Jump Time Entertainment unless otherwise approved in writing.

     

    • I agree that any attempt to bypass, undercut, or interfere with the company’s pricing, payment structure, or client relationships may result in immediate removal and financial liability.
  • Force Majeure:

     

    • Neither party shall be liable for delays or failures due to events beyond reasonable control, including natural disasters, government actions, or other unforeseeable circumstances.
  • Termination:

     

    • Millers Jump Time reserves the right to terminate this agreement at any time for any reason.
  • Policies and Timelines:

     

    • I agree to follow all Millers Jump Time company policies and event timelines as communicated.
  • I acknowledge that my electronic signature and submission of this form constitutes my full agreement to these terms and is legally binding.
