Contract Terms and Conditions
1. ENTIRE AGREEMENT OVERVIEW: This agreement expresses the full and complete understanding and agreement between Catie & Kate and PARENT name above (hereafter referred to as "THE CLIENT"). It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all relevant parties.
2. RESERVATION: Upon your signature and payment, Catie & Kate will reserve the time and date agreed upon, and will not make any other reservations for that time and date. The total package price is non-refundable if THE CLIENT cancels but can be used towards a future session. THE CLIENT understands and agrees that the entire amount owed for the photography package described in the contract is due upon signing. Client can add coverage and albums to this session package, but services in the initial contract cannot be removed or exchanged. Any additional payments for services not included in initial contract are to be paid in full when the order is placed. If the session goes over the time THE CLIENT booked, THE CLIENT will be charged an additional hourly rate of $650.
I understand that the total package price is due upon signing and is non-refundable.
3. CANCELLATION POLICY: A session is deemed cancelled if THE CLIENT arrives 15 minutes past the scheduled session time. The session fee is forfeited and a reschedule is not allowed without payment of a new session fee. Catie & Kate reserves the right to reschedule due to illness, equipment malfunction, or other circumstances beyond her control. In this case, the session fee will be applied to another session with the client. All cancellations must be in writing. The fee for postponed sessions is subject to change.
4. COOPERATION: The parties agree to positive cooperation and communication for the best possible result within the definition of this assignment. Catie & Kate will make decisions based upon lighting and artistic and professional discretion. Catie & Kate is not responsible for key individuals' failure to be present or to cooperate during photography sessions, neither for missed images due to details not revealed to Catie & Kate.
5. DELIVERY: After the session, Catie & Kate will provide THE CLIENT with an online gallery containing the specified number of high-resolution, edited images. A private pin number will be given to THE CLIENT to download the gallery up to a total of two times. Once that pin number has been used twice, the downloading function will be turned off. The gallery with the final images will be delivered no more than five days after the date of the session. All photographs will have a copyright embedded, prohibiting unauthorized use. Catie & Kate reserves the right to use her artist and professional judgment when selecting final images for THE CLIENT and will not release unedited or RAW files at anytime. Upon receipt of the online gallery, THE CLIENT accepts all responsibility for archiving and protecting the photographs. Catie & Kate does not permanently archive image files and is not responsible for the lifespan of any digital media provided or for any future changes in digital technology/media readers that might result in an inability to read files provided. It is THE CLIENT'S responsibility to make sure that digital files are copied to new media as required.
6. DIGITAL NEGATIVES, PRINTS and COPYRIGHTS: The photographs, digital negatives or prints produced by Catie & Kate are protected by Copyright Law (all rights reserved) and may not be reproduced in any manner without Catie & Kate's explicit written permission. Upon final payment by THE CLIENT, limited copyright ownership of the resulting images will be transferred to THE CLIENT under the following conditions: The digital images are the property of THE CLIENT for personal use and for the purposes of the reproduction and distribution of photographs as gifts to friends and relatives. They may be used for personal printing and online display. The photographs may NOT be edited or altered in any manner without written consent from the photographer, including applying Instagram filters. THE CLIENT must obtain written permission from and compensate Catie & Kate prior to an event where THE CLIENT, THE CLIENT'S friends or relatives publish or sell the photographs for profit. This includes contests, giveaways, etc. Unless agreed upon prior to any editing work, images may contain a mixture of color and black and white images. Retouching: standard editing of the photos includes color correction, contrast, softening/sharpening and burning and dodging. Catie & Kate is not responsible for any ill-fitting clothing, tan lines, scars, etc. or objects that are beyond the control of Catie & Kate, such as signs, vehicles, pedestrians, bottles, hanging pictures, music systems, waiters, guests' flashes and cameras. Retouching of the aforementioned is performed at an additional cost at the rate of $90/hour. Retouching of blemishes, scars, and removal of exit signs is included in all album design. Photographer is not responsible for any prints that are not ordered directly from her. For best results, clients with the high-resolution digital files should order their prints through a reputable lab. Catie & Kate recommends using the lab linked with THE CLIENT'S online photo gallery. All image sizes are approximate. The photographer will provide a pleasing color balance but cannot guarantee exact color matching. It is sometimes not possible to record on film or in print the exact color as seen by the human eye. There is no right to reject on the basis of style or composition.
7. PRINT PRODUCTS: Catie & Kate does offer print services through a professional printer. Prints, albums and canvases are available at an additional charge. THE CLIENT is responsible for ordering any prints or albums that are included in a photography package with Catie & Kate no later than 6 weeks after the session date. After that time there will be an additional fee to order and collect any products.
8. METHOD OF REMUNERATION: Payment will be made upon booking.
9. MODEL RELEASE: THE CLIENT hereby assigns and grants Catie & Kate and its legal representatives the irrevocable and unrestricted right to use and publish photographs of THE CLIENT or in which THE CLIENT may be included, for editorial, trade, advertising or any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. THE CLIENT hereby releases Catie & Kate and its legal representatives and assigns from all claims and liability relating to said photographs. It is agreed that Catie & Kate may display and use the photographs taken for company advertising including but not limited to website display, online and printed marketing material, company social media platforms, and may be submitted and displayed on blogs.
10. LIMIT OF LIABILITY: In the unlikely event of severe medical, natural, or other emergencies, it may be necessary to retain an alternative photographer. Catie & Kate will make every effort to secure a replacement photographer able and/or willing to provide a similar package as chosen in this contract at the same/similar tariff. If such a situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the event package. Catie & Kate takes the utmost care with respect to exposure, transportation and processing of photographs; including using professional grade equipment and professional grade backup equipment. However, in the unlikely event of THE CLIENT'S photographs being lost, stolen or destroyed for reasons within or beyond Catie & Kate's control, the latter's liability is limited to the return of all payments received for the event package. The limit of liability shall not exceed the contract price stated herein. The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost based on the percentage of total number of originals.
11. COLLECTION CHANGES: THE CLIENT may add additional coverage or printed goods to the photography package at any point until the session day, but the services listed below in the photography package details cannot be removed, exchanged, or refunded. Any additional services or products added on at a later time are to be paid in full when the order is placed or additional coverage is added.
12. NON-GUARANTEE: Although every possible care will be taken to produce photographs of all important and special events during the session, Catie & Kate cannot place an unconditional guarantee on the above. Catie & Kate will not be held responsible for any ruined photographs due to inclement or undesirable weather conditions, guests' (or any other) flashes; or any other ruined photographs due to any other cause in or outside of Catie & Kate's control.
13. PUBLIC HEALTH AND SAFETY POLICY: If the state of California, or any state in which a booking is to occur, or the Federal Government announce any health or safety guidelines or other rules limiting public gathering or otherwise preventing Catie & Kate from safely performing the services contemplated herein then THE CLIENT may reschedule the session date without any additional fees or penalties. The rescheduled date must be within one year of the date of the original session date. If THE CLIENT chooses not to reschedule the original booking date despite such health and safety considerations, Catie & Kate will treat this as a cancellation of services. In the event THE CLIENT is cancelling as contemplated in this Section 20, the non-refundable session fee will not be returned, but no further payment will be required. I agree to observe and obey all posted rules and warnings, and further agree to follow any oral instructions or directions given by Catie & Kate, or the employees, representatives or agents of Catie & Kate. I assume full responsibility for personal injury to myself and (if applicable) my family members, and further release and discharge Catie & Kate for injury, loss or damage arising out of my or my family's participation in the portrait session, whether caused by the fault of myself, my family, Catie & Kate or other third parties. I agree to indemnify and defend Catie & Kate against all claims, causes of action, damages, judgments, costs or expenses, including attorney fees and other litigation costs, which may in any way arise from my or my family's participation in the portrait session. Any legal or equitable claim that may arise from participation in the above shall be resolved under law.
