This Membership Agreement ("Agreement") is entered into by and between:

THE DOWNTOWN DIY

$95 Annual Maintenance Fee

• The Annual Maintenance Fee is charged at the time of enrollment and renews on the same date annually, as long as membership is active.
• The Annual Maintenance Fee is non-refundable, is not prorated, and has no cash value if membership is terminated.

$95 Monthly Dues

• The Member's first monthly dues will be charged on the first (1st) day of the Member's initial membership month, then subsequently on the first calendar day of each month, as long as the membership is active.
• The Monthly Dues are non-refundable, not prorated, and have no cash value if membership is terminated

Fees & Dues include the benefits outlined at time of enrollment (see Section 4). However, the Studio reserves the right to modify membership benefits and pricing with at least 30 days of notice before the next scheduled renewal. Notices will be sent to the email address provided on the Member's application.

• Memberships begin on the first day of the calendar month following the date of enrollment, unless enrollment occurs on the first day of the month, in which case membership will begin immediately.
• This structure is designed to allow Members to fully utilize their monthly Studio Pass benefits.
• Memberships are structured on a month-to-month basis and automatically renew each month unless canceled in accordance with this Agreement.
• The Studio reserves the right to modify membership benefits and pricing with at least 30 days of notice before the next scheduled renewal. Notices will be sent to the email address provided on the Member's application.

By signing this Agreement, Member authorizes The Downtown DIY to charge the payment method on file for:

• Annual Maintenance Fee
• Monthly Member Dues
• Retail & Product Purchases
• Damage Fees
• NFS or other banking fees associated with late or returned payments

Late or declined payments may result in suspension of membership privileges

Studio Access

Three (3) Studio Passes per month to be used toward Member's choice of Member Eligible events

• Member Eligible events are determined by The Downtown DIY and may vary by event
• Studio Passes may be shared with guests as long as member is present
• Unused passes do not rollover, are not refundable, and have no cash value
• Cancellations less than 48 hours before a reserved event, or "no-shows" do not qualify to reschedule and forfeit the passes

Loyalty Rewards

Earn 10% of all purchases in Member Reward Points, including annual and monthly fees

• Points do not expire as long as membership remains active
• Points are not refundable and have no cash value

Exclusive Coupons & Member Only Events

• Annual birthday coupon for a complimentary class, workshop or special event
• Member only coupons and events

The Studio reserves the right to modify membership benefits and pricing with at least 30 days of notice before the next scheduled renewal. Notices will be sent to the email address provided on the Member's application

Members agree to:

• Follow all posted safety rules
• Use tools and equipment only as instructed
• Maintain a clean and safe workspace
• Show respect to staff and other members

The Studio reserves the right to suspend or terminate membership for unsafe conduct, harassment, property misuse, or policy violations.

Member understands and acknowledges that participation in activities at The Downtown DIY involves inherent risks, including but not limited to:

• Use of hand tools and power tools
• Sharp instruments and cutting devices
• Heat tools and hot surfaces

• Exposure to paints, adhesives, chemicals, and airborne particles
• Lifting heavy materials
• Slips, trips, falls, and other accidents

Member voluntarily and knowingly assumes ALL RISKS, known and unknown, even if arising from the NEGLIGENCE OF THE STUDIO.

TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, MEMBER HEREBY RELEASES, WAIVES, AND DISCHARGES THE DOWNTOWN DIY, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, VOLUNTEERS, AND AGENTS FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, OR EXPENSES ARISING FROM OR RELATED TO ANY INJURY, ILLNESS, PROPERTY DAMAGE, OR LOSS SUSTAINED WHILE PARTICIPATING IN STUDIO ACTIVITIES, INCLUDING CLAIMS ARISING FROM THE NEGLIGENCE OF THE STUDIO.

Member agrees to indemnify and hold harmless The Downtown DIY from any claims, damages, liabilities, costs, or expenses (including attorney's fees) arising from:

• Member's participation
• Member's misuse of equipment
• Member's violation of studio rules
• Injury or damage caused to third parties by Member

In the event of emergency, Member authorizes The Downtown DIY to obtain medical treatment. Member accepts full responsibility for all related costs.

If any portion of this release is deemed unenforceable under Texas law, the remaining provisions shall remain in full force and effect.

• Members are responsible for damage to studio equipment, tools, furnishings, or property caused by negligence, misuse, or intentional actions.
• Normal wear and tear is excluded.

The Studio reserves the right to charge the Member's payment method on file for repair or replacement costs.

Members may cancel by providing 30 days notice prior to the next scheduled renewal. Notification may be emailed to email@thedowntowndiy.com.

• No refunds will be issued for partial billing periods unless required by law.
• Memberships may not be paused or temporarily suspended without prior written authorization from the Studio

The Studio may terminate membership immediately for:

• Non-payment
• Safety violations
• Disruptive behavior
• Illegal activity

I authorize The Downtown DIY to use photographs or video taken during studio activities for marketing and promotional purposes.

This Agreement shall be governed by the laws of the State of Texas. If any provision is deemed unenforceable, the remainder shall remain in effect.

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.
