This Membership Agreement ("Agreement") is entered into by and between:

Membership Selection
The Member has selected the membership plan indicated on this Enrollment Form. The applicable Annual Maintenance Fee, Monthly Dues, and membership benefits are those associated with the selected membership at the time of enrollment.

Annual Maintenance Fee
The Annual Maintenance Fee is charged at the time of enrollment and renews annually on the anniversary of the Member's enrollment date while membership remains active.

The Annual Maintenance Fee is non-refundable, non-prorated, and has no cash value.

Monthly Dues
Monthly Dues begin on the first (1st) day of the Member's initial membership month and are automatically charged on the first calendar day of each month thereafter while membership remains active.

Monthly Dues are non-refundable, non-prorated, and have no cash value.

 

Fees & Dues include the benefits outlined at time of enrollment (see Section 4). However, the Studio reserves the right to modify membership benefits and pricing with at least 30 days of notice before the next scheduled renewal. Notices will be sent to the email address provided on the Member's application.

• Memberships begin on the first day of the calendar month following the date of enrollment, unless enrollment occurs on the first (1st) day of the month, in which case membership begins immediately.

• This structure allows Members to receive and fully utilize the Monthly Credits and benefits included with their selected membership.

• Memberships are offered on a month-to-month basis and automatically renew each month until canceled in accordance with this Agreement.

• Annual Maintenance Fees renew annually on the Member's enrollment anniversary while membership remains active.

• The Studio reserves the right to modify membership benefits and pricing with at least 30 days of notice before the next scheduled renewal. Notices will be sent to the email address provided on the Member's application.

By signing this Agreement, the Member authorizes The Downtown DIY to charge the payment method on file, as applicable, for:

• Annual Maintenance Fee associated with the selected membership
• Monthly Dues associated with the selected membership
• Retail purchases
• Product purchases
• Damage, repair, or replacement fees as permitted under this Agreement
• NSF, returned payment, chargeback, or other applicable banking fees

 

The Member is responsible for maintaining a current and valid payment method on file.

If a scheduled payment is declined or otherwise cannot be processed, The Downtown DIY may suspend membership benefits until the account is brought current. Continued non-payment may result in cancellation or termination of membership in accordance with this Agreement.

Membership benefits are determined by the Member's selected membership plan and remain available only while membership is active and in good standing.

General Membership Policies

• Monthly Credits are issued according to the Member's selected membership.
• Monthly Credits have no cash value, are non-refundable, and may not be exchanged for cash.
• Member Eligible offerings are designated by The Downtown DIY and may change at any time.
• Reservations canceled fewer than forty-eight (48) hours before the scheduled start time, or reservations for which the participant does not attend ("No-Shows"), will result in the forfeiture of any Monthly Credits used for that reservation unless otherwise approved by The Downtown DIY.
• Membership benefits are intended solely for the Member except where shared credits are specifically permitted under the Member's selected membership.

The Founder's Membership

• Three (3) Monthly Credits redeemable toward Member Eligible offerings priced at $30 or more.
• All Monthly Credits may be shared with guests. Member attendance is not required.
• One (1) unused Monthly Credit may roll over each month while membership remains active.
• Unlimited participation, at no additional charge, in:Member Eligible offerings priced under $30
• Inky Pinky offerings
• Same Day Seats, subject to availability
• Exclusive quarterly Founding Member events

Studio Membership

• Two (2) Monthly Credits redeemable toward any single Member Eligible offering, regardless of retail price.
• One (1) Monthly Credit per month may be shared with a guest, provided the Member is registered for and attends the same offering.
• Same Day Seats for $10 per reservation, subject to availability.
• Exclusive member discounts on eligible retail products.

Inky Pinkies Membership

• Four (4) Monthly Credits redeemable toward Inky Pinky offerings.
• Up to two (2) Monthly Credits per month may be shared with guests, provided the Member is registered for and attends the same offering.
• Exclusive discounts on eligible new paper crafting product releases.
• One (1) complimentary Monthly Craft Pack per membership month.

Members agree to:

• Follow all posted safety rules
• Use tools and equipment only as instructed
• Maintain a clean and safe workspace
• Show respect to staff and other members

The Studio reserves the right to suspend or terminate membership for unsafe conduct, harassment, property misuse, or policy violations.

Member understands and acknowledges that participation in activities at The Downtown DIY involves inherent risks, including but not limited to:

• Use of hand tools and power tools
• Sharp instruments and cutting devices
• Heat tools and hot surfaces

• Exposure to paints, adhesives, chemicals, and airborne particles
• Lifting heavy materials
• Slips, trips, falls, and other accidents

Member voluntarily and knowingly assumes ALL RISKS, known and unknown, even if arising from the NEGLIGENCE OF THE STUDIO.

TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, MEMBER HEREBY RELEASES, WAIVES, AND DISCHARGES THE DOWNTOWN DIY, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, VOLUNTEERS, AND AGENTS FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, OR EXPENSES ARISING FROM OR RELATED TO ANY INJURY, ILLNESS, PROPERTY DAMAGE, OR LOSS SUSTAINED WHILE PARTICIPATING IN STUDIO ACTIVITIES, INCLUDING CLAIMS ARISING FROM THE NEGLIGENCE OF THE STUDIO.

Member agrees to indemnify and hold harmless The Downtown DIY from any claims, damages, liabilities, costs, or expenses (including attorney's fees) arising from:

• Member's participation
• Member's misuse of equipment
• Member's violation of studio rules
• Injury or damage caused to third parties by Member

In the event of emergency, Member authorizes The Downtown DIY to obtain medical treatment. Member accepts full responsibility for all related costs.

If any portion of this release is deemed unenforceable under Texas law, the remaining provisions shall remain in full force and effect.

• Members are responsible for damage to studio equipment, tools, furnishings, or property caused by negligence, misuse, or intentional actions.
• Normal wear and tear is excluded.

The Studio reserves the right to charge the Member's payment method on file for repair or replacement costs.

Members may cancel by providing 30 days notice prior to the next scheduled renewal. Notification may be emailed to email@thedowntowndiy.com.

• No refunds will be issued for partial billing periods unless required by law.
• Memberships may not be paused or temporarily suspended without prior written authorization from the Studio

The Studio may terminate membership immediately for:

• Non-payment
• Safety violations
• Disruptive behavior
• Illegal activity

I authorize The Downtown DIY to use photographs or video taken during studio activities for marketing and promotional purposes.

This Agreement shall be governed by the laws of the State of Texas. If any provision is deemed unenforceable, the remainder shall remain in effect.

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.
