    MEMORANDUM OF UNDERSTANDING (MOU)


    This Memorandum of Understanding (“MOU”) outlines the terms, conditions, and mutual expectations between Prints Charming Graphics (“Designer”) and the client (“Customer”) regarding graphic design services and/or print orders.

    By placing an order or submitting a design request, the Customer acknowledges and agrees to the following: 

    1. Scope of Services

    The Designer agrees to provide graphic design services and/or printed materials as requested by the Customer. The specific scope, deliverables, and timelines will be agreed upon prior to the start of the project.

    2. Payment Terms

    • A non-refundable deposit is required before any work begins.
    • The deposit amount will be communicated prior to project initiation.
    • The remaining balance is due upon completion of the design and prior to final delivery.

    3. Payment Deadline

    • All invoices must be paid by the agreed-upon due date.
    • Failure to meet payment deadlines may result in project delays or cancellation.

    4. Project Timeline & Design Due Date

    • A design timeline will be established at the start of the project.
    • Delays caused by the Customer (e.g., late responses, missing information) may extend the delivery date.
    • The Designer is not responsible for missed deadlines due to delayed Customer communication or approval. 

    5. Printing Responsibility

    • The Customer must specify whether:
      • The Designer will handle printing, or
      • The Customer will handle printing independently
    • If the Customer chooses to print independently, the Designer is not responsible for print quality, color discrepancies, or production errors.

    6. Confidentiality

    • Both parties agree to maintain confidentiality regarding any proprietary or sensitive information shared during the project.
    • The Designer reserves the right to showcase completed work in portfolios or marketing materials unless otherwise agreed in writing.

    7. Rights and Ownership

    • The Designer retains ownership of all preliminary designs, concepts, and drafts.
    • Final artwork ownership is transferred to the Customer only after full payment is received.
    • The Designer retains the right to use completed work for promotional purposes unless restricted by written agreement.

    8. Delayed or Non-Payment

    • No work will begin until the required deposit has been received.
    • Final files, designs, or print-ready artwork will not be released until full payment is made.
    • Late payments may incur additional fees or suspension of services.

    9. Cancellation & Refund Policy

    • Deposits are non-refundable once work has commenced.
    • If the Customer cancels the project after work has begun, no refunds will be issued for completed work.
    • Any additional work completed beyond the deposit value may be billed accordingly.

    10. Revisions

    • A specified number of revisions may be included in the project scope.
    • Additional revisions beyond the agreed amount may incur extra charges.

    11. No Warranty

    • All services and deliverables are provided “as is” without warranties of any kind, either express or implied.
    • The Designer does not guarantee specific outcomes from the use of the design.

    12. Indemnification

    • The Customer agrees to indemnify and hold harmless the Designer from any claims, damages, or liabilities arising from:
      • The use of the final design
      • Any materials provided by the Customer (including logos, images, or content)
    • The Customer confirms they have the legal right to use all materials provided.
