AUTHORITY
The individual signing this agreement represents and warrants that they are duly authorized to execute this binding Agreement on behalf of the sponsoring/exhibiting company.
PAYMENTS, CANCELLATIONS & REFUNDS
Sponsor/exhibitor must remit 100% percent of the total fee within 30 days of receipt of an invoice from WERC and no later than 15 business days prior to the event date. If Sponsor fails to pay in full by the payment due date, WERC reserves the right to release and resell the sponsorship/exhibit.

CANCELLATION BY SPONSOR/EXHIBITOR
Cancellation by Sponsor/Exhibitor must be directed via email to the Sponsorship Contact within 14 days of the event date. For cancellations received before 28 April 2026, WERC will apply any payments to the same event occurring in the following calendar year, minus any expenses incurred to date. For cancellations received after 28 April 2026, WERC will retain 100 percent of any payments as a cancellation penalty.
CANCELLATION BY WERC
In the event of cancellation of the event, or the Sponsor’s/exhibitor's allocated session by WERC for whatever reason not attributable to the Sponsor, WERC shall issue the Sponsor/exhibitor with a full refund of fees paid by the Sponsor/exhibitor within 14 days from the date of cancellation. As a condition of being permitted by WERC to be a Sponsor/exhibitor of the event, Sponsor/exhibitor agrees to indemnify, defend, and hold harmless WERC, its directors, officers, employees, agents, and subcontractors from any and all loss which Sponsor/exhibitor may suffer as a result of the event duration, delay, or other alterations or changes caused in whole or in part by any reason outside of WERC control.
ELIGIBILITY TO SPONSOR
WERC reserves the right to determine the eligibility of any Sponsor/exhibitor for inclusion in the event.
PROMOTIONAL ACTIVITIES
Sponsor/exhibitor shall not engage in any promotional activities which WERC determines to be outside the purpose and/or character of the event as determined by WERC.
INTELLECTUAL PROPERTY
Sponsor/exhibitor represents and warrants to WERC that no materials used in or in connection with its sponsorship/exhibit infringe the trademarks, copyrights (including, without limitation, copyrights in music and other materials used or broadcast by Sponsor/exhibitor) or other intellectual property rights of any third party.
PROMOTION & ENDORSEMENT
Participation by Sponsor/exhibitor in the Event does not entitle Sponsor/exhibitor to use names or logos, except that Sponsor/exhibitor may reference the Event and use the Event logo with reference to Sponsor’s/exhibitor's participation as a Sponsor/exhibitor at the Event. Participation in the Event does not imply endorsement or approval by WERC of any product, service, or participant and none shall be claimed by any participant.
INDEMNIFICATION
Sponsor/exhibitor remains solely responsible for the safety, damage, or loss of its property at all times during the Event, including transit to and from the facility, and hereby waives and releases any claim against WERC, its directors, officers, employees, agents, or subcontractors.
GENERAL
Sponsor/exhibitor must abide by all event local statutes and regulations, as well as all general policies, rules, and regulations of the facility. Sponsor/exhibitor shall be responsible for compliance with the U.S. Americans with Disabilities Act.
Sponsor/exhibitor consents to and grants WERC, and its affiliates the unrestricted, perpetual, worldwide, royalty-free and transferable right and license to use (and grant others the right to use) the images (photographs of the event) worldwide without any compensation. Sponsor/exhibitor acknowledges that WERC is the sole and exclusive owner of all rights in the images and hereby waives (a) any and all rights in and to such images, and (b) any and all claims Sponsor/exhibitor and its representatives may have relating to or arising from the images or their use.
Music used by the Sponsor in conjunction with the Event is subject to applicable copyright and licensing fees. It is the sole responsibility of Sponsor/exhibitor to pay applicable fees.
ATTENDEE LIST
Any attendee list shared from the event shall only be used for mailings of promotional material relating to Sponsor/exhibitor and shall not be reproduced, transferred, sold, or used in any other manner. In using such lists for mailings, Sponsor/exhibitor must ensure compliance with all country, state and local laws and regulations including, but not limited to, the European Union’s General Data Protection Regulations (GDPR) and the California Consumer Privacy Act (CCPA).
BADGES
Sponsor/Exhibitor badges are for Sponsor/Exhibitor’s full- and part-time employees or contractors. Any misuse of Event badges is prohibited. Forms of misuse include without limitation: allowing someone else to use your badge, counterfeit badges, copying or tampering with a badge, using a badge from a previous event, etc. WERC may confiscate any badges that WERC suspects are violating this policy and bar Sponsor from participating in future events.
ENFORCEMENT
This Agreement is governed by Illinois law and Sponsor/exhibitor consents to the exclusive jurisdiction of the State and Federal courts seated in Cook County, Illinois, USA with respect to any action arising out of this Agreement. The parties explicitly acknowledge and agree that the provisions of this Agreement are both reasonable and enforceable. However, the provisions of this Agreement are severable and, as such, the invalidity of any one or more provisions shall not affect or limit the enforceability of the remaining provisions. Should any provision be held unenforceable for any reason, then such provision shall be enforced to the maximum extent permitted by law. This Agreement will be binding on the Sponsorship’s/exhibitor's heirs, successors and assigns.
LIMITATION OF LIABILITY
IN NO EVENT SHALL THE FACILITY, WERC, ITS OWNERS, MANAGERS, OFFICERS OR DIRECTORS, AGENTS, EMPLOYEES, INDEPENDENT CONTRACTORS, SUBSIDIARIES AND AFFILIATES BE LIABLE TO THE SPONSOR OR ANY THIRD PARTY HIRED BY OR OTHERWISE ENGAGED BY THE SPONSOR/EXHIBITOR FOR ANY LOST PROFITS OR ANY OTHER INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING ATTORNEY’S FEES AND COSTS, ARISING OUT OF THIS AGREEMENT OR CONNECTED IN ANY WAY WITH USE OF OR INABILITY TO USE THE SERVICES OUTLINED IN THIS AGREEMENT OR FOR ANY CLAIM BY SPONSOR/EXHIBITOR, EVEN IF ANY PARTIES HAVE BEEN ADVISED, ARE ON NOTICE, AND/OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES. SPONSOR/EXHIBITOR AGREES THAT EVENT HOST AND WERC SOLE AND MAXIMUM LIABILITY TO SPONSOR, REGARDLESS OF THE CIRCUMSTANCES, SHALL BE THE REFUND OF THE SPONSOR FEE. SPONSOR/EXHIBITOR AGREES TO INDEMNIFY AND DEFEND THE PARTIES FROM ANY CLAIMS BROUGHT BY A THIRD PARTY HIRED BY OR ENGAGED BY THE SPONSOR/EXHIBITOR FOR ANY AMOUNT BEYOND THE SPONSORSHIP FEE. FURTHER, SPONSOR/EXHIBITOR AGREES TO PAY ALL ATTORNEYS’ FEES AND COSTS INCURRED BY WERC ARISING OUT OF, OR IN ANY WAY RELATED TO, THIS AGREEMENT. SPONSOR/EXHIBITOR SHALL BE SOLEY RESPONSIBLE FOR ITS ATTORNEYS’ FEES AND COSTS.
