By signing below, I acknowledge that I have read, understand, and agree to the terms of both the Independent Contractor Hauler Agreement with Boyce Logistics LLC and the Non-Circumvention Agreement with O.T.I. Snow Works, Inc. I understand that violation of the Non-Circumvention Agreement may result in termination and a penalty of 25% of gross revenue generated. NON-CIRCUMVENTION AGREEMENT — Boyce Logistics LLC This Non-Circumvention Agreement is entered into between Boyce Logistics LLC ("Contractor") and the Subcontractor identified in this form. I. PROJECTS: This agreement shall apply to each and every project and all work and services performed by Subcontractor for Contractor OR for Contractor's partners either directly under contract with Contractor's partners and Clients of either Contractor's or Contractor's Partners. In the event Contractor subcontracts any work or services required to be performed under this contract or permits Subcontractor to work directly for Contractor's partner(s): (i) Subcontractor shall not solicit, engage directly, hire or contract any subcontractors; and (ii) in the event Subcontractor fails to comply with this agreement, Contractor and its affiliates shall and are hereby deemed third-party beneficiaries of such subcontract agreement(s), and Contractor shall have the right, but not the obligation, to directly enforce the terms thereof. II. PENALTIES: In the event Subcontractor violates this agreement, Subcontractor agrees Subcontractor can be terminated and at the Contractor's discretion required to pay Contractor and Contractor's partner(s) 25% of the gross revenue generated by Subcontractor. In the event it is determined the Subcontractor has previously been under contract with the same Client as Contractor's and said contract(s) is verifiable based on the Client's determination, this Agreement is then nullified. Term and Expiration: The term of this Agreement shall commence on the Effective Date and shall remain in effect until December 31, 2030.
