  • The Orlando Regional REALTOR® Association has four elected officers: President, President-Elect, Treasurer, and First Vice President. All officers must be REALTOR® members in good standing. Past Presidents are not eligible for re-election.

    PRESIDENT. The President shall be the chief elected officer and shall be the presiding officer at meetings of the association, the Board of Directors, and the Executive Committee. The President may sign with other proper officers of the association authorized by the Board of Directors, any deeds, mortgages, bonds, contracts or other instruments which the Board of Directors have authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by statute to some other officer or agent of the association; and such other duties as may be prescribed by the Board of Directors from time to time.

    PRESIDENT-ELECT. The President-Elect shall perform such duties and responsibilities as are assigned by the President and the Board of Directors and, in the absence or inability of the President to perform the duties of the office of President, the President-Elect shall perform such duties. The President-Elect shall succeed to the office of President in the event of the death, disability, removal from office, or resignation of the President. In such case the President-Elect shall fill the unexpired term of the President and, in addition, shall then succeed to the office of the President for a full term. The President Elect shall serve as Chairman of the Strategic Planning Committee and in consultation with the Chief Executive Officer and President, shall monitor the strategic plan and report to the Board of Directors at its regular meeting.

    TREASURER. The Treasurer shall have such titles, duties, and responsibilities as assigned by the Board of Directors or the President. The Treasurer shall serve as Chairman of the Finance Committee and, in consultation with that Committee and the Chief Executive Officer, shall prepare a budget for the ensuing fiscal year and give financial reports of the association at meetings of the members and to the Board of Directors at its regular meeting.

    FIRST VICE PRESIDENT. The First Vice President shall have such titles, duties, and responsibilities as assigned by the Board of Directors or President. The First Vice President shall be appointed Vice Chairman of the Strategic Planning Committee.

  • (8) Agree to a criminal background check to be reviewed by the Human Resource Department and Association attorney, which shall only be used in connection with approving or denying an application in accordance with the Policy and Procedures.*

  • Congratulations! You have attested that you qualify to run for the Board of Directors of ORRA. Our Qualifications Committee will verify your qualifications and then confirm with you that you qualify. You will be notified of not only your ability to run for election, but how many others are running against you for the same position.  

    The following pages will outline for you what you need to know to be a board member or officer and what that job will entail. 

  • Duty of Care requires Officers and Directors to exhibit honesty, act in good faith, and exercise ordinary and reasonable care in the discharge of their duties. Officers and Directors must attend, thoroughly prepare for, and actively engage in deliberations during meetings, and when necessary, seek advice from third-party experts, such as attorneys or accountants.

  • Duty of Confidentiality requires Officers and Directors to maintain the confidentiality of board discussions and deliberations, and prohibits the disclosure of any non-public information an Officer or Director may be privy to by virtue of their position. ORRA’s best interests will be served when healthy debate and candid conversations take place, which require Officers and Directors to have confidence that their colleagues will also uphold their duty of confidentiality.

  • Duty of Loyalty requires an undivided allegiance and duty of faithfulness to ORRA. The best interests of ORRA must prevail over any individual interests, and the use of an Officer or Director’s position or information gained through such a position for any personal benefit is prohibited. A Director has a duty to come forward and identify any conflict of interest and to refrain from voting in those instances where he/she will directly or indirectly financially benefit. Officers and Directors must avoid, disclose, and resolve any conflicts of interest. If a conflict of interest is not resolved, the duty of loyalty may require Officers and Directors to abstain from voting, participating in discussion, and potentially from hearing debate.

  • Duty of Obedience requires Officers and Directors to act in accordance with, and in furtherance of, ORRA’s mission and governing documents (i.e., bylaws, rules, policies), as well as applicable laws and regulations. The duty of obedience requires Officers and Directors to support, help implement, and carry out the actions taken by ORRA’s Board of Directors. Officers and Directors must avoid undermining a decision of the board of directors, even if the Officers and Directors disagree with the action taken on a particular issue.

  • Duty of Accounting requires Officers and Directors to safeguard, protect, and preserve association assets by adopting, and following, proper accounting procedures and controls. Officers and Directors should ensure association funds are used for lawful purposes.

    Please remember, as a Board Member, you have a vital role to fulfill. It is expected that you attend every board meeting, participate in association events, and act as a reputable representative of the association. We strive for our members to take pride in those who serve them, knowing that their best interests are safeguarded through your representation in both the boardroom and the community. Prepare for engaging meetings where you will ensure that the association is progressing in alignment with our strategic plan. 

    Please note: No director or officer serving the association shall be an officer or director of another association of Florida REALTORS®, and any director or officer currently serving in the association who shall be elected and chooses to hold office in another association of Florida REALTORS®, upon installation to such other office, automatically shall cease to be a director or officer, as applicable, of the association, and such vacancy shall be filled in accordance with the provisions of Article XI, Section 9.
