Official Bylaws & Memorandum of Understanding
BYLAWS
Article I – Name
The name of this organization shall be Diver’s Den, operating under the designation “Powered by Portsmouth Scuba.”
Article II – Purpose
The purpose of Diver’s Den is to foster a strong, active, and inclusive community of scuba divers; promote safe and responsible diving practices in accordance with PADI standards; encourage participation in local and international diving activities; support continuing diver education and skill development; promote environmental stewardship and responsible interaction with marine ecosystems; provide opportunities for social engagement and community building; and strengthen the connection between the diving community and Portsmouth Scuba.
Article III – Affiliation
Diver’s Den is a community-driven organization supported by Portsmouth Scuba and does not operate as a retail or commercial dive business.
Article IV – Membership
Membership is open to individuals aged 21 or older. Two membership levels (names TBD) exist, both with equal voting rights and eligibility for leadership roles. Dues, if any, are determined by leadership. Members must adhere to safe diving practices.
Article V – Leadership Structure
The voting board consists of six officers: President, Dive Coordinator, Event Coordinator, Treasurer, Secretary, and Social Media Coordinator. The Portsmouth Scuba Liaison serves as a non-voting member with tie-breaking authority. Officers are elected annually. Officers may be removed by majority vote of the board; in the event of a tie, the liaison breaks the vote.
Article VI – Activities
Activities include dives, social events, education, and travel. All diving follows PADI standards. All training is conducted through Portsmouth Scuba.
Article VII – Governance
The six officers constitute the voting board. Decisions are made by majority vote.
Article VIII – Finances
Diver’s Den maintains financial independence from Portsmouth Scuba.
Article IX – Liability
All participants must complete waivers, meet certification requirements, and be medically fit to dive. All activities follow PADI standards.
Article X – Amendments
Amendments may be made by majority vote of the board. In the event of a tie, the Portsmouth Scuba Liaison may cast the tie-breaking vote.
Article XI – Meetings and Quorum
Regular meetings shall be held as determined by leadership. Board meetings shall be held at least quarterly. A quorum consists of four voting members. No official vote may occur without a quorum. Decisions are made by majority vote of those present.
MEMORANDUM OF UNDERSTANDING
1. Purpose
This MOU establishes the relationship between Diver’s Den and Portsmouth Scuba, outlining roles, responsibilities, and expectations.
2. Relationship
Diver’s Den operates as a community-driven, non-profit organization (501(c)) supported by Portsmouth Scuba and is not a commercial dive business.
3. Branding & Intellectual Property
The name 'Diver’s Den' is owned by Portsmouth Scuba. The organization operates as 'Diver’s Den – Powered by Portsmouth Scuba.' All materials must reflect this relationship. Portsmouth Scuba reserves the right to revoke branding permissions.
4. Roles and Responsibilities
Portsmouth Scuba provides guidance, training, and support. Diver’s Den manages its own leadership, events, and operations while adhering to PADI standards.
5. Training
All scuba training and certification must be conducted through Portsmouth Scuba.
6. Financial Independence
Diver’s Den maintains separate financial accounts and responsibilities.
7. Liability
All participants must complete waivers and follow PADI standards. Diver’s Den agrees not to expose Portsmouth Scuba to unnecessary risk.
8. Termination
This agreement remains in effect until terminated by either party with notice or immediately if standards are not maintained.
9. Amendments
This MOU may be amended by mutual agreement.
