  • TERMS & CONDITIONS OF SERVICE

    By signing this document, the Client (Paying entity) agrees to the following terms as set out by the Provider (Syzygy Entertainment & vendors booked by Syzygy Entertainment), which form an essential part of the service agreement. It is jointly agreed that the following terms of agreement form an essential part of this contract and that no deviation or alteration of this contract shall be effective, except if accepted by both parties in writing.
  • *Note- For Event / Wedding planning services, a separate services agreement contract is to be signed between both parties

  • Financial Terms & VAT:

  • VAT: Syzygy Entertainment™ is a VAT-registered entity. All prices quoted/invoiced are inclusive of 15% VAT.

    Deposit: A 50% non-refundable deposit is required to confirm the booking and secure the date. Enquiries are held for 24 hours only before the date is released.

    Settlement: The remaining balance is strictly due TWO (2) weeks prior to the event date. If the balance is not received within the agreed upon timeframe noted above, it could result in your booking being null and void and deposit forfeited.

    Specific payment agreements will be in writing on the client invoice and strictly adhered to.(See the payment agreement document to also be signed by both parties if applicable)

    Corporate Accounts: 30/60/90 - day account settlements due to company policies will incur an additional administrative fee.

    Overtime: Extensions are charged at R1,500 per hour, subject to manager approval and equipment availability.

    Refunds: Refunds of damage deposits or any other form of agreed upon refunds will be provided within 5 working days from date of confirmation of total to be refunded. The client takes full responsibility of providing the CORRECT banking information for the refund.

    Validity of Quotes / Prices: Quotes provided to the Client by Syzygy, are event & services specific. Therefore, also only valid for a specific timeframe as is indicated on the quote/ invoice. The Client cannot expect the same pricing quoted on one event, to be applicable for any future events as each event is quoted for specifically based on current industry standards.

    Confidentiality of Quotations: All quotations and formal pricing structures provided by Syzygy Entertainment™ are strictly confidential and intended solely for the named Client and the specific event detailed therein. The Client agrees that this pricing is proprietary and shall not be disclosed, shared, or distributed to any third party, including competitive service providers, for the purpose of price matching or "price beating."

  • Logistics & Setup:

  • Setup Time: We provide a 2-hour complimentary early setup window to ensure the activation is ready before guests arrive. This time does not count toward your rental hours. Additional time might be required for services such as décor, magazine booth setup and any other requirements that might incur an additional charge. This will be communicated beforehand on the quotation.

    Idle Time: This is very specific times allocated to Syzygy beforehand that the syzygy services are idle at the venue (waiting period, not in active operation). It could be between formalities such as speeches or for early setup. Idle Time is charged and paid for beforehand, No Syzygy services were be performed during the dedicated and agreed upon Idle Time.

    Technical Requirements: The Client must provide a reliable power source for equipment provided by Syzygy & Syzygy Vendors. For photobooths, a level, flat space (approx. 3m x 2.5m) with overhead cover is required.

    Smoke Machine Proximity: Photobooths & 360 video booths may not be placed within 10 metres of any smoke, haze, or fog machine due to damage risk and decrease of picture quality.

    DJ Proximity: Audio and video guestbooks must not be placed within 10 metres of any DJ speakers or high-noise equipment to avoid audio distortion or equipment failure.

    Staffing: Professional attendants will man the equipment. For bookings exceeding 4 hours, meals must be provided for the onsite staff. They will purchase their own non-alcoholic drinks.

    Travel: A flat fee of R750 applies within Gauteng; R7.00/km applies outside Gauteng (calculated to and from Centurion).

    Accommodation: A fee of R1,200 per night (2 people sharing) is required if the event location exceeds a 2-hour travel time from Centurion.

    Damage: In some cases Syzygy will require a damage deposit for services booked, which will be refunded within 5 working days after the event, if no damages are claimed. The Client shall be held responsible for any damage to, or theft of Syzygy & Syzygy Vendors’ property/ equipment during the booked services timeframe (which includes set up and strike time agreed upon).

    Food & Drink: Syzygy reserves the right to refuse any food or drink near, on top of or inside service equipment at the event.

    Smoking & Vaping: Syzygy reserves the right to a working environment free of cigarette & vape smoke. Services are allowed to be paused, or refused to clients and guests who do not respect the “no smoking” / ‘No vaping’ rule.

    Children: Unless the child caretaker services are booked through Syzygy, no other Syzygy team or vendor are providing children caretaking/ babysitting services during the event. Syzygy reserve the right to refuse services to unattended troublesome children and take no responsibility for the health and safety of children or people with special needs making use of the Syzygy services provided.  

  • Cancellations & Limitation of Liability:

  • Refunds: The 50% deposit is strictly non-refundable, unless otherwise arranged with Syzygy Management in writing. Cancellations made less than 14 days before the event forfeit the full balance.

    Peak Season: For events between August to December, no event cancellations or date changes will be refunded or compensated for.

    Date changes: Date changing of an event may be agreed upon ONCE, and within a fair notice period (nothing less than 14 days before).

    Force Majeure: Syzygy Entertainment™ will not be liable for loss or damage of anything at the venue premises caused by Acts of God, fire, hijacking, theft, or medical emergencies.

    The Client will indemnify the Provider against any and all liability associated with the use of any pictures taken within the Photo Booth, by its representatives, employees or affiliates at the Customer's event.

    Technical Disruptions: No refunds or credits are provided for disruptions caused by Load Shedding or adverse weather conditions preventing outdoor operation, nor due to faulty electrical supply. Syzygy Reserve the right to disconnect/ unplug all electronic equipment from faulty or high-risk electrical sources in order to protect the equipment.

    Equipment malfunction: In the unlikely event that there is a malfunction in Syzygy Equipment/ Syzygy Vendor Equipment, the back up equipment will be used and sufficient time will be allowed for the switch in equipment as effectively and quickly as possible. The time delay in services caused, will be extended in the booking if possible, and thereafter wherever not possible, alternative refund arrangements will be made for the value of the duration of the service delayed.

    Sponsored events / Prize Winners: Clients who receive Syzygy services from sponsorships or from a prize, forfeit any right to refunds claimed.

    Maintenance: The client acknowledges that some services might have momentary delays/ pauses in order to maintain or clean equipment such as ink/ paper replacement/ cleaning of equipment if drinks are spilled nearby which may possible damage plugged in electronics.

    Photobooth printer issues: If the photobooth printer cannot provide the instant printed photos on site for some reason, Syzygy reserve the right to provide the client with printed copies delivered to the client address within 5 working days of the event. (Delivery costs will be at the expense of Syzygy Entertainment).

    “Unlimited Prints”: The term Unlimited prints within the photobooth package refers to the client’s right to print as many photos produced inside the photobooth during the duration of the booking. A maximum of 5 prints are allowed per photo session, but the guests are welcome to repeat several photo sessions taking turns with other guests at the event to ensure all guests receive sufficient time for photo opportunities. In the case where children are unnecessarily printing an excessive number of photos that are seen as wasteful and time consuming, Syzygy reserve the right to limit them or stop their use of the photobooth completely, in order to ensure all guests receive a turn, and that there is sufficient printing supply available for the planned no of people. Any additional printing of photos outside the booked time is seen as overtime and will be charged accordingly. Requests for additional printed photos after the event, will be charged individually per photo, and courier fees will be charged.

    Indemnification: The Client will Indemnify the Provider against any and all liability associated with the client.

  • Content & Intellectual Property:

  • Content Deadline: All custom design assets, logos, and branding must be provided 10 days prior to the event. The Client will review and approve final designs.

    Digital Delivery: Media is delivered via a secure OneDrive link. Turnaround is ~8 working days for booths and 3–5 weeks for professional photography/video.

    Marketing: Syzygy retains copyright of designs, and content taken at events (with verbal permission of guests) for promotional use unless an NDA is established beforehand between both parties. Syzygy makes use of social media posts of actual events & services provided in order to market the business to future clients.

    Intellectual Property Notice: SYZYGY® and the SYZYGY Stylised Device are registered trademarks of Syzygy Entertainment (Pty) Ltd in the Republic of South Africa (Registration Nos. 2022/34502 - 2022/34507). Our statutory protection extends across multiple classes including Advertising & Business Services (Cl. 35), Entertainment & Cultural Activations (Cl. 41), and Technological AI Services (Cl. 42), as well as specialized event decor and planning categories. Any unauthorized use of the "SYZYGY" name, logo, or confusingly similar marks within these sectors is strictly prohibited and constitutes trademark infringement. All rights, including those related to our signature slogan "Ineffable Memories Made," are reserved.

    Non-Disclosure of Proprietary Pricing: The pricing and service configurations presented in this proposal constitute confidential business information. Redistribution or disclosure of this quotation to external parties—specifically to competing vendors for the purpose of procurement leverage or price-matching—is strictly prohibited. Any breach of this confidentiality may result in the immediate voiding of the quote and any associated discounts.

    Syzygy are not liable for offensive or inappropriate content captured during any booth use by guests.

  • Termination of Hire/ Abuse/ Threatening behaviour:

  • Abuse/ harassment / discrimination: The Provider will not tolerate any abuse or hostile behaviour towards any of the Syzygy team members or vendors booked under the Syzygy services at the event. (verbal abuse, discrimination, sexual abuse, or physical abuse). Nor any abuse or damage to the Provider’s equipment & vehicles being used at the event. In the event of any such occurrence, the Provider reserves the right to immediately terminate any further services provided at the venue, without refund, and may safely pack up and exit the premises.

    Safety: The Client is to ensure a safe event environment for the provider’s vehicle/s, equipment & staff. Syzygy reserve the right to refuse provision of services in known unsafe areas. The Provider reserves the right to refuse setting up equipment in areas of high risk for the staff or the equipment (taking into account weather conditions & overall safety from crime as well).

    The Client consents to judgement in terms of Section 57 and Section 58 of the Magistrates Court Act, to be obtained against the Client, in order for Syzygy Entertainment Pty Ltd to collect any outstanding and due amounts.

    The Client consents to payment/ remuneration of all legal costs incurred by Syzygy Entertainment in order to institute legal action against them (the Client), including collection commission & and tracing agent’s fees.
