Thank you for participating in our festival at Fraze Pavilion! Vendors are given a booth location based on space needs, power requirements, menu selections, and the size of the festival area.
Due to limited power sources in the park area, only three 15 AMP, 120 VAC circuits are available to any vendor at a festival. Not all locations in the park have much power readily available, and in some locations only one circuit may supply an entire section of the park.
We ask that vendors provide coolers with ice to keep perishables refrigerated, and that vendors use propane or charcoal grills to cook. Please reserve the use of electric circuits for holding, warming, or preparation appliances.
In consideration of the mutual promises contained below, the parties agree as follows.

2. Vendor will provide a varied menu of wholesome and pure food items appropriate to the theme at the above event. The approved menu is attached hereto and incorporated herein. Vendor may decorate its booth in accordance with the theme of the event subject to City approval.
4. Vendor acknowledges and accepts that on-site water access is limited. Vendor will make its own appropriate arrangements in accordance with this limitation.
5. Vendor shall pay all applicable taxes including but not limited to local and/or state. Vendor shall comply with and obtain any and all applicable licenses and permits at Vendor’s own expense.
6. Vendor shall obtain general liability insurance in the amount of one million dollars written on a per occurrence basis from an insurance company licensed to do business in the State of Ohio and covering Vendor’s activities on site. The City of Kettering and its elected officials, officers, employees, and agents shall be named as additional insureds on said policy. Vendor shall provide the City with a certificate of such insurance no later than 15 working days prior to the event. Vendor’s involvement will not be publicized until proof of insurance is provided and this agreement has been properly executed by the parties. Vendor’s failure to comply with any term of this agreement shall constitute a material breach of contract and shall void this agreement.
7. Vendor agrees to protect, defend, indemnify, and hold the City, its elected officials, officers, employees, and agents free and harmless from and against any and all losses, penalties, damages, costs, or liabilities of every kind and character arising out of or in connection with any alleged, admitted, or proven negligent acts or omissions of the Vendor and Vendor’s employees, officers, agents, successors, or independent contractors. Vendor agrees to pay all damages, costs, and expenses of the City, its elected officials, officers, employees, and agents in defending any action arising out of the aforementioned acts or omissions.
