2026-2027 ERO/EFIN Holder Software Enrollment Agreement for BXP Solution Bureau

ERO RESPONSIBILITIES AND IRS COMPLIANCE ACKNOWLEDGMENT - By signing this agreement you acknowledge that you are an independent Electronic Return Originator operating under your own EFIN. You agree to comply with all IRS regulations including but not limited to: IRS Circular 230 governing practice before the IRS; Form 8867 Due Diligence requirements for all returns claiming EITC, CTC, ACTC, ODC, and AOTC; IRS Publication 4557 data security requirements; and all applicable state and federal tax laws. You acknowledge that failure to comply with these requirements may result in immediate termination of this agreement and reporting to the IRS Office of Professional Responsibility.

FEE DISCLOSURE - The following fees apply to all returns processed through BXP Solution Bureau infrastructure: Service Bureau Fee per return, Bank Product Fee per return, Transmission Fee per return, Technology Fee per return. All fees are deducted from the bank product settlement before disbursement to the ERO. ERO is responsible for all chargebacks, rejected returns, and bank product reversals. BXP reserves the right to offset any amounts owed from future settlements.

CONFIDENTIALITY AND NON-SOLICITATION - ERO agrees to maintain strict confidentiality of all BXP proprietary information including but not limited to software systems, training materials, client lists, fee structures, and business processes. ERO agrees not to solicit, recruit, or attempt to recruit any BXP-affiliated EROs, preparers, or clients for a period of 12 months following termination of this agreement within a 50-mile radius of their primary business location. Violation of this provision shall result in liquidated damages of $20,000 per occurrence.

DATA SECURITY OBLIGATIONS - ERO agrees to maintain a Written Information Security Plan (WISP) as required by IRS Publication 4557. ERO agrees to immediately notify BXP Solution Bureau within 24 hours of any suspected or confirmed data breach involving taxpayer information processed through BXP systems. ERO agrees to implement multi-factor authentication on all systems accessing taxpayer data.

TERMINATION - Either party may terminate this agreement with 14 days written notice for any reason. BXP may terminate this agreement immediately without notice for cause including fraud, IRS compliance violations, data breaches, material breach of any provision, or failure to maintain minimum 80 percent funding ratio on bank products. Upon termination, ERO must immediately cease using all BXP systems and return or destroy all confidential materials.

INDEMNIFICATION - ERO agrees to indemnify, defend, and hold harmless BXP Solution Bureau, Ultimate Tax Services LLC, and Jenni Brooks from and against any and all claims, damages, losses, liabilities, costs, and expenses including attorneys fees arising from or related to ERO tax preparation activities, errors, omissions, fraud, or violations of IRS regulations.

GOVERNING LAW - This agreement shall be governed by the laws of the State of North Carolina, Hoke County. Any disputes shall be resolved in the courts of Hoke County, North Carolina.

By signing below I acknowledge that I have read, understood, and agree to all terms and conditions of this 2026-2027 ERO/EFIN Holder Software Enrollment Agreement with BXP Solution Bureau. I confirm that I am an independent contractor and not an employee of BXP Solution Bureau or Ultimate Tax Services LLC. I confirm that all information provided is accurate and complete.
