This Non-Disclosure Agreement ("Agreement") is entered into by and between Ashly Y.D., BGS ("Service Provider") and the undersigned individual or business entity ("Client"), including any authorized representatives, agents, managers, employees, contractors, attorneys, advisors, or other persons acting on the Client's behalf.
This Agreement is intended to protect confidential and sensitive information shared, submitted, or stored throughout discussions, onboarding, consulting, branding, strategy, website development, marketing, training, and related professional services.
Purpose
The Client understands that confidential information may be shared with Ashly Y.D., BGS throughout the course of discussing or providing professional services. This Agreement is intended to protect the Client's privacy, reputation, business information, and sensitive materials from unauthorized disclosure, misuse, or unnecessary exposure.
Confidential Information
"Confidential Information" includes, but is not limited to:
• Personal or identifying information
• Location, travel, or scheduling details
• Sensitive personal or professional communications
• Financial information or payment-related details
• Private lifestyle or reputation-sensitive information
• Business strategies, processes, and operations
• Website credentials, account access, or login information
• Branding concepts and creative materials
• Drafts, designs, documents, and written materials
• Marketing plans or proprietary business information
• Training or educational materials shared by the Client
• Private communications, discussions, or project details
• Information provided by authorized representatives acting on behalf of the Client
• Any information reasonably understood to be confidential
Confidential Information may be shared verbally, digitally, visually, or in written form.
Confidentiality Obligations
Ashly Y.D., BGS agrees to:
• Maintain the confidentiality of Client information
• Use Confidential Information solely for the purpose of providing requested professional services
• Not disclose Confidential Information to unauthorized third parties without written permission from the Client
• Take reasonable measures to protect sensitive materials, communications, credentials, and shared account information
• Treat information received from authorized representatives of the Client with the same level of confidentiality as information received directly from the Client
Exclusions
This Agreement does not apply to information that:
• Is publicly available through lawful means
• Was already known prior to disclosure
• Is independently developed without the use of Confidential Information
• Must be disclosed by law, court order, or governmental authority
Intellectual Property
All original concepts, strategies, designs, written materials, branding assets, training resources, and related creative work produced by Ashly Y.D., BGS remain the intellectual property of Ashly Y.D., BGS unless otherwise agreed in writing.
Unauthorized reproduction, distribution, resale, sharing, modification, or use of proprietary materials beyond the scope of the agreed services is prohibited.
Term
This Agreement shall remain effective upon execution and continue indefinitely following the conclusion of the professional relationship unless otherwise required by law.
No Partnership or Transfer of Rights
This Agreement does not create a partnership, employment relationship, joint venture, or transfer of ownership rights between either party.
Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict of law principles.
Acknowledgment
By signing below, the Client acknowledges that they have read, understood, and agreed to the terms outlined in this Agreement. If signing on behalf of a business entity or another individual, the signer represents that they have the authority to bind such party to this Agreement.
