Nutrívamos Wholesale Partner Agreement Form

Authorized Retailer & Anti-Diversion Agreement

As an approved Nutrívamos wholesale partner, you are authorized to sell through: in-spa retail directly to clients following treatment, your own professional website (with prior brand alignment approval from Nutrívamos), in-room retail displays and checkout counters, and gift sets, treatment bundles, and spa packages curated for your clientele.

You are strictly NOT authorized to sell through: Amazon or Amazon FBA, eBay, Poshmark, or Mercari, Walmart Marketplace, Facebook Marketplace, Groupon or any discount or deal platforms, or any unauthorized third-party reseller or distributor. Violations of this policy may result in immediate and permanent termination of your wholesale account.

As an approved Nutrívamos wholesale partner, you are authorized to sell through: in-spa retail directly to clients, your own professional website (with prior brand alignment approval), in-room retail displays, and curated gift sets or spa packages.

You are NOT authorized to sell through: Amazon or Amazon FBA, eBay, Poshmark, Mercari, Walmart Marketplace, Facebook Marketplace, Groupon or any discount/deal platforms, or any unauthorized third-party reseller.

Approved wholesale partners receive a professional margin of 50–55% on standard in-spa and self-fulfilled retail sales.

Nutrívamos reserves the right to update pricing with 30 days written notice.

Partners agree not to sell Nutrívamos products below the suggested retail price (SRP) without prior written consent.

Discounting below SRP more than 2 times a year— including through coupons, bundles priced below cost, or promotional pricing is considered a violation of this Agreement.

Approved wholesale partners receive a 50–55% professional margin on standard in-spa and self-fulfilled retail sales. Partners agree not to sell Nutrívamos products below the suggested retail price (SRP) without prior written consent from Nutrívamos. Seasonal sales ie. no more than 2 times a year product can be marked down no more than 20% off SRP

Nutrívamos actively monitors authorized and unauthorized channels for diverted inventory. When a violation is identified, the following process occurs:

Step 1: Detection: Our team monitors third-party marketplaces and reviews partner and consumer reports within 1–2 business days.

Step 2: Immediate Contact: The wholesale account associated with the unauthorized listing is contacted directly and purchase records are reviewed.

Step 3: Takedown Action: Nutrívamos files intellectual property and brand protection complaints with the relevant platform.

Step 4: Account Termination: Wholesale accounts confirmed as the source of diverted inventory are permanently terminated and will not be reinstated, regardless of order history or relationship length.

This Agreement becomes effective upon submission and remains in effect until terminated. Nutrívamos may terminate immediately and without notice upon a confirmed anti-diversion or authorized-channels violation. Upon termination, Partner must cease all sales of Nutrívamos products and, at Nutrívamos discretion, return or destroy remaining inventory in accordance with instructions provided by Nutrívamos.

Nutrívamos actively monitors for unauthorized listings and diverted inventory. Violations are investigated within 1–2 business days. Wholesale accounts confirmed as the source of diverted inventory are permanently terminated and will not be reinstated, regardless of order history.

By typing your full legal name and submitting this form, you confirm that you have read, understood, and agree to all terms of the Nutrívamos Wholesale Partner Agreement, including the Authorized Retailer & Anti-Diversion Policy. Upon termination, Partner must cease all sales of Nutrívamos products and return or destroy remaining inventory as directed.
