Purpose
This Agreement allows the Parties to engage in confidential discussions related to consulting, business development, healthcare strategy, entrepreneurship, operational planning, marketing strategy, intellectual property, and related proprietary matters.
Confidential Information
Confidential Information includes business plans, financial information, marketing strategies, workflows, training materials, proprietary systems, intellectual property, revenue models, manuscripts, and any verbal, written, or electronic information disclosed during consulting discussions.
Obligations of Confidentiality
Both Parties agree to maintain confidentiality, avoid unauthorized disclosure, and use shared information solely for consulting-related purposes.
Non-Disclosure of Proprietary Concepts
The Client agrees not to duplicate, reproduce, distribute, or commercially use proprietary strategies, frameworks, or methodologies shared during discussions without written authorization.
No Transfer of Intellectual Property
Nothing in this Agreement transfers ownership or licensing rights to intellectual property unless agreed to in writing.
Consulting Relationship
Execution of this Agreement does not establish a formal consulting contract or partnership.
Term
This Agreement remains in effect for three (3) years from the execution date.
Governing Law
This Agreement shall be governed by the laws of the State of Georgia.
