1. WHY THIS AGREEMENT EXISTS
The Company owns a secret transmedia universe called the Dark Angel Universe (DAU) — including video games, films, novels, music, the 2‑Corners NFL Players' Gaming Conference, and the Dark Angel Team Selection Training Program.
You will see or hear confidential information about the DAU. This Agreement protects that information.
2. WHAT IS CONFIDENTIAL
"Confidential Information" means everything the Company shows or tells you that is not already public, including but not limited to:
Games
DAT‑U3, DAT‑U5: Reset, Dark Files, Rift‑Lacuna™
Unreleased levels, characters, skins, U‑Skin™, Live‑Gear™, DAT Coins
Source code, game design documents, Unreal Engine 5 work
DeepSeek AI – proprietary prompts and fine-tuning weights (not the public open‑source model)
Films
Momentum: God Save the King, Ghost Dancing, Third Option
Scripts, budgets, casting, LED stage techniques
SPECIAL WARNING – Dr. Martin Luther King Jr. digital human: This likeness has extra legal restrictions. You may not use, copy, or reference it without separate written permission.
Novels
Unpublished Momentum sequels or future editions (the published book is public)
Graphic Novels – artwork, character bibles
Technology
NASA license terms, Tribal MOU, B2G training simulations
Animation – storyboards, rigs, pipelines
Marketing – secret launch plans, influencer strategies
Music – unreleased scores, stems, voice recordings
2‑Corners Gaming Conference
Dark Angel Team Selection Training Program – curriculum, assessment protocols, performance data
Business – financial projections, cap table, investor names
Future Creations – anything not yet announced
3. WHAT IS NOT CONFIDENTIAL
Information that:
Becomes public through no fault of yours
You already knew before signing (with written proof)
You developed completely on your own without using our secrets
You got legally from a third party
4. YOUR OBLIGATIONS (What You Must Do)
4.1 Keep everything strictly confidential – do not share with anyone outside the Company.
4.2 Do not copy, photograph, record, or transmit any Confidential Information.
4.3 Use Confidential Information only for the work or evaluation purpose the Company gives you.
4.4 Show Confidential Information only to people who absolutely need to see it for that purpose. Anyone you show must also be bound by confidentiality.
4.5 Tell the Company immediately if you lose any Confidential Information or suspect someone else has seen it improperly.
4.6 When the Company asks (or when your work ends), return or destroy all Confidential Information within 5 business days. You must provide written certification that:
All electronic copies have been securely deleted or overwritten
No derivatives remain in any active system
Any backup copies will be deleted within 30 days (with confirmation)
4.7 You are responsible for your affiliates. If your employer, team, family member, or anyone you let near our secrets breaks this Agreement, you are personally liable as if you broke it yourself.
5. NON-SOLICIT (You Cannot Recruit Our People)
For 18 months after the date of this agreement, you cannot:
Recruit, hire, or try to hire any Company employee, contractor, or consultant who worked on the DAU, 2‑Corners, or Training Program, if you met them through working with us.
General job ads are fine.
6. LIMITED NON-COMPETE (You Cannot Copy the DAU)
For 12 months after the date of this agreement, you cannot help create or fund any transmedia project (two or more of: game, film, TV, novel, graphic novel) that:
Uses substantially similar story elements to the DAU, including: a military‑supernatural protagonist named "Angel", government memory manipulation, a dimensional rift, fallen angel mythology set in near‑future Quebec/New England; and
Targets the same adult/young adult action‑sci-fi audience.
Exceptions: Your existing projects that were publicly announced before you signed this Agreement (list them in Exhibit B). Pure mobile games with no story connection are fine.
7. LIQUIDATED DAMAGES
In the event of a breach of the non-solicit or non-compete, the Company reserves the right to seek reasonable legal remedies as permitted by applicable law, including compensation for actual damages and reasonable legal fees. The parties agree to act in good faith to resolve any dispute.
8. IF A LAW REQUIRES YOU TO DISCLOSE
If a court or government agency orders you to disclose our secrets:
Tell us immediately in writing
Help us get a protective order
Disclose only the minimum required by law
9. NO RIGHTS ARE GRANTED
This Agreement does not give you any ownership or license to our IP. Everything remains the Company's exclusive property.
You acknowledge that the entire Dark Angel Universe (including all games, films, novels, music, characters, 2‑Corners, Training Program) is owned by greiBO‑Gravity / Dark Angel Games.
10. NO OBLIGATION TO WORK TOGETHER
This Agreement does not force the Company to give you any work or to continue any relationship. Either side can stop talking at any time.
11. HOW LONG THIS LASTS
5 years for most Confidential Information
Forever for trade secrets: source code, proprietary AI prompts, fine-tuning weights, unreleased creative materials, training program methodologies
Non-solicit lasts 18 months after work ends.
Non-compete lasts 12 months after work ends.
12. REMEDIES (What Happens If You Break This)
You agree that if you leak our secrets:
The Company will suffer irreparable harm
Money alone will not be enough
The Company can get a court order (injunction) without posting a bond
The Company can also sue you for actual damages, legal fees, and costs
13. NO WARRANTY
All Confidential Information is provided "AS IS" – no promises about accuracy or completeness.
14. GOVERNING LAW – QUEBEC, CANADA
This Agreement is governed by the laws of the Province of Quebec, Canada (even though the Company's mailing address may be in Nevada). Any dispute will first go to mediation in Montreal, Quebec, then to the courts of Montreal, Quebec.
15. ENTIRE AGREEMENT
This is the full agreement between you and the Company. No changes unless signed by both parties.
If any part is found invalid, the rest remains in effect.
