• SUPPLIER NON-DISCLOSURE AGREEMENT

  • This Non-Disclosure Agreement (‘Agreement’) relating to project:

    06944 - MICHELIN Guide Ceremony (‘The project’)

    is made and entered into as of April 1, 2026 by and between

    Uno Loco Limited, of 3A, 22 Pollen Street, Grey Lynn, Auckland 1021 (‘Company’);

    and:

     

  • Together, the ‘Parties,’ and each, a ‘Party.’

  • SUPPLIER NON-DISCLOSURE AGREEMENT

  • 1. PURPOSE

    The Supplier, as part of its engagement with the Company, will be required to access, handle, or otherwise become aware of highly sensitive and confidential information relating to the specific client project titled 06944 – MICHELIN Guide Ceremony (‘Confidential Information’). This Agreement sets forth the terms and conditions under which the Supplier agrees to protect and not disclose such Confidential Information.

  • 2. DEFINITION OF CONFIDENTIAL INFORMATION

    For the purposes of this Agreement, ‘Confidential Information’ means all non-public information, whether written, oral, digital, or otherwise recorded, disclosed by the Company or its Client in relation to the Project, including but not limited to:

    ● Business plans, strategies, and financial information specific to the Project

    ● Client details, contracts, and project materials

    ● Any other information designated as confidential by the Company or its clients regarding the Project

  • 3. OBLIGATIONS OF SUPPLIER

    The Supplier agrees that it shall:

    ● Assign a contained team to the project and ensure all staff members involved clearly understand the obligations contained herewith

    ● Keep all Confidential Information strictly confidential and not disclose it to any third party without prior written consent from the Company

    ● Use Confidential Information solely for the purpose of performing assigned duties related to the Project

    ● Take all reasonable precautions to prevent unauthorized disclosure or misuse of Confidential Information

    ● Not copy, reproduce, or store Confidential Information in any manner except as necessary for work-related purposes within the Project

    ● Immediately inform the Company if any unauthorized access, disclosure, or loss of Confidential Information occurs

  • 4. EXCEPTIONS

    The obligations of confidentiality do not apply to information that:

    ● Is or becomes publicly available through no breach of this Agreement by the Supplier

    ● Is lawfully obtained from a third party without confidentiality obligations

    ● Is required to be disclosed by law, provided the Supplier gives prompt notice to the Company to allow for protective measures

  • 5. TERM AND TERMINATION

    This Agreement is effective as of April 1, 2026 and will remain in effect until
    April 1, 2031 (5 years as per Global MICHELIN NDA).

  • 6. RETURN OF MATERIALS

    Upon completion of the Project, termination of the Supplier’s engagement, or upon request by the Company, the Supplier shall return or destroy all documents, materials, and other resources containing Confidential Information related to the Project.

  • 7. REMEDIES

    The Supplier acknowledges that any breach of this Agreement may cause harm to the Company or its clients. In the event of such a breach, the Company may seek appropriate remedies, including but not limited to injunctive relief or other legal measures, in a fair and proportionate manner. The Parties agree to attempt to resolve any disputes amicably before pursuing formal legal action.

  • 8. GOVERNING LAW

    This Agreement shall be governed by and construed in accordance with New Zealand law.

  • 9. MISCELLANEOUS

    ● This Agreement constitutes the entire understanding between the Parties regarding Confidential Information This Agreement constitutes the entire understanding between the Parties regarding Confidential Information related to 06944 – MICHELIN Guide Ceremony and supersedes all prior discussions or agreements.

    ● No modifications to this Agreement shall be valid unless made in writing and signed by both Parties.

    ● If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
