Meeting Registration & Confidentiality Agreement

Confidentiality & Code of Conduct

Melbourne Angels members are bound by our Code of Conduct [https://melbourneangels.com/about#Code-of-Conduct] which requires confidentiality to protect the companies presenting to us and to protect our members. We ask you to sign this agreement to ensure that you and the rest of us in the room together are all operating on the same basis.

This AGREEMENT is by and between RECIPIENT, an individual having an address as noted above the signature below, and Melbourne Angels, Inc., (“MA”) a not-for-profit association incorporated in the State of Victoria.

RECIPIENT desires to participate as an individual and has been personally invited by an MA member to participate and is being permitted to observe and participate in a MA meeting at which applicant companies make formal presentations to seek investment funding from MA members including that portion of the meeting wherein MA members discuss their analyses and opinions of the company presentations.

RECIPIENT understands that all information received at the meeting, including that provided by the companies presenting and that from the MA members discussions and analyses (collectively “Confidential Information”) is to be received by RECIPIENT in confidence.

Inclusive of all of the above, RECIPIENT certifies, agrees and covenants as follows:
1. RECIPIENT shall not use the Confidential Information for
any purpose other than for the Purpose (as defined below).
2. RECIPIENT shall not disclose Confidential Information to others.
3. RECIPIENT shall not retain or remove from the meeting venue
any written materials provided by a company presenting at the meeting.
4. Confidential Information shall not include information:
a. which RECIPIENT can demonstrate by written records was previously known to RECIPIENT;
b. which is now, or becomes in the future, public knowledge other than through acts or omissions of RECIPIENT; or
c. which is lawfully obtained by RECIPIENT from sources independent of MA or an applicant company.
5. The secrecy and non-use obligations of RECIPIENT under the terms
of this agreement shall remain in effect for two (2) years from the date hereof.
6. RECIPIENT acknowledges that neither the applicant company presentations
nor any other portion of the meeting constitutes an offer to purchase, or an offer to sell, securities.
7. RECIPIENT is not attending the MA meeting for the purpose of
any actual or potential investment but, rather, for -

Image Release
At the venue MA may make or have made photographic and video records inclusive of audio.

RECIPIENT hereby grants unreserved permission to MA for all still and moving images taken or recorded by or on behalf of, or made available to MA of RECIPIENT (“the Images”) to be:
  a. used in any or all of the promotional and advertising material of MA; and/or
  b. used for any other reasonable purpose of MA; and/or
  c. provided to any third party, including but not limited to media organisations, government bodies,
        not-for-profit organisations and MA partners, for their use as they see fit.

The Images may be used in various media formats including online media, social media, print, newspaper, video, public displays, television and electronic means of communication and in any edited form.

RECIPIENT waives any and all rights and claims, present and future, to any fees or royalties or other benefits whatsoever for or in connection with the use of the Images.

RECIPIENT understands that RECIPIENT has no actionable right against MA for any failure by either MA or by any third party for the use of the Images, or any failure to comply with the terms of this release.

Virtual Meetings
Please note that online tools and platforms represent a security risk in terms of the information (audio, video, text, files, metadata, network data) exchanged across those tools and platforms. Wherever possible and practical, when acting as host, Melbourne Angels will select the most robust security options available and will require proper user identification to connect to an online exchange. However, the actual risk is entirely in the hands of the user, Melbourne Angels accepts no liability for any risk or damage experienced by any user. By entering a Melbourne Angels hosted virtual meeting/event RECIPIENT fully and perpetually indemnifies Melbourne Angels against any claim for any purpose and any cause in relation to the use of those tools and platforms.

RECIPIENT understands and acknowledges that Melbourne Angels is a non-profit association of members interested in start-up investing.  Melbourne Angel's activities are to grow and sustain membership by providing services for the education and training of its members and of founders.  Melbourne Angel's processes support its members in their pursuit of Angel investment.
In accordance with the Corporations Act,  Melbourne Angels make no offers of securities and we do not allow others to make offers at its meetings. To receive an offer from one of these companies individuals must contact the company themselves.
