Credit Account Terms & Conditions
1. Definitions
1.1 In these Terms & Conditions:
• "Company" means ieDepot Marketing Ltd
• "Customer" means the applicant named on the Credit Account Application Form
• "Goods" means any products, materials, equipment or services supplied by the Company
• "Account" means any approved credit facility provided by the Company
1.2 Precedence of Terms
These Terms & Conditions shall apply in conjunction with any general Terms & Conditions published on the ieDepot Marketing Ltd website. These Terms & Conditions shall take precedence over any other terms or conditions provided by the Customer unless otherwise agreed in writing by ieDepot Marketing Ltd. In the event of any conflict or inconsistency between these Credit Account Terms & Conditions and any other Terms & Conditions, policies or provisions, these Credit Account Terms & Conditions shall apply.
2. Credit Account Applications
2.1 Completion of a Credit Account Application Form does not guarantee approval of a credit account.
2.2 The Company reserves the right to:
• Approve or decline any application
• Request additional documentation
• Amend or withdraw credit facilities at any time without notice
2.3 The Customer confirms that all information supplied is accurate, complete and current.
3. Credit Checks & References
3.1 The Customer authorises the Company to:
• Obtain trade and credit references
• Conduct credit checks
• Verify banking and business information
3.2 The Company may use third-party credit agencies or business information providers when assessing applications or reviewing accounts.
4. Payment Terms
4.1 Unless otherwise agreed in writing, payment terms are due on the 25th day of the month following invoice date.
4.2 Time for payment shall be considered essential.
4.3 The Company reserves the right to require:
• Full payment in advance
• Deposit payments
• Proforma invoicing
5. Overdue Accounts
5.1 The Company reserves the right to:
• Suspend deliveries or services
• Withdraw credit facilities
• Place accounts on stop
• Recover any outstanding balances through legal means
5.2 The Customer shall be responsible for all reasonable costs incurred in recovering overdue amounts, including:
• Legal fees
• Collection agency costs
• Court costs
5.3 Interest may be charged on overdue balances in accordance with applicable Irish legislation.
6. Retention of Title
6.1 Ownership of all goods supplied shall remain with the Company until payment has been received in full.
6.2 Risk in the goods passes to the Customer upon delivery.
7. Claims & Shortages
7.1 Any shortages, damages or discrepancies must be reported within:
• 48 hours of delivery
• It is the customers responsibility to fully inspect items before being stored
7.2 Claims submitted outside this period may not be accepted.
8. Returns
8.1 Returns will only be accepted with prior approval from the Company.
8.2 Approved returns may be subject to:
• Restocking charges
• Inspection
• Return conditions
8.3 Special-order or non-stock items and consumables will not be returnable.
9. Limitation of Liability
9.1 The Company shall not be liable for:
• Indirect losses
• Consequential losses
• Loss of profits
• Delays outside its reasonable control
9.2 Liability shall not exceed the invoice value of the goods supplied.
10. Data Protection
10.1 The Company shall process personal and business information in accordance with applicable data protection legislation, including GDPR where applicable.
10.2 Information supplied may be used for:
• Account administration
• Credit assessment
• Order processing
• Customer service
11. Account Reviews
11.1 The Company reserves the right to:
• Review credit limits periodically
• Amend payment terms
• Request updated financial information
12. Governing Law
12.1 These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Ireland.
12.2 Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.
