  • This Independent Tax Preparer Agreement ("Agreement") is made and entered into by and between J&MAS4P Financial Group ("Company") and {firstName} {lastName} ("Independent Tax Preparer" or "Contractor"). This Agreement shall become effective upon execution by both parties on {todaysDate}.

  • 1. PURPOSE
    The Company engages the Contractor as an independent tax preparer to prepare and assist with the preparation of tax returns and related tax services for clients of the Company.

    2. TERM
    This Agreement shall remain in effect for two (2) years unless terminated earlier in accordance with this Agreement.

    3. INDEPENDENT CONTRACTOR STATUS
    Contractor is an independent contractor and not an employee of the Company.

    4. SERVICES
    Contractor shall prepare accurate returns, maintain credentials, comply with IRS regulations, protect client information, and conduct business professionally.

    5. COMPENSATION
    Contractor shall receive 60% of collected preparation fees for returns prepared by Contractor. Company shall retain 40%.

    6. CONFIDENTIALITY
    Contractor shall not disclose confidential client or Company information.

    7. NON-SOLICITATION
    Contractor shall not directly solicit Company clients during the Agreement and for twelve (12) months thereafter.

    8. RECORD RETENTION
    All client records and files remain the property of the Company.

    9. COMPLIANCE
    Contractor agrees to comply with all applicable laws and regulations.

    10. TERMINATION
    Company may terminate for cause. Contractor who terminates before the end of the two-year term shall pay a $500 early termination fee within thirty (30) days.

    11. INDEMNIFICATION
    Contractor shall indemnify and hold harmless J&M AS4P Financial Group from claims arising from Contractor's actions or omissions.

    12. GOVERNING LAW AND VENUE
    This Agreement shall be governed by Texas law and venue shall be exclusively in Dallas County, Texas.

    13. SEVERABILITY
    If any provision is held invalid, the remaining provisions shall remain enforceable.

    14. ENTIRE AGREEMENT
    This Agreement constitutes the entire agreement between the parties.

    15. ELECTRONIC SIGNATURES
    Electronic signatures shall be deemed valid and enforceable.

    16. PTIN REQUIREMENTS
    Contractor must maintain a valid PTIN at all times, provide proof upon request, immediately notify Company of any suspension or revocation, and remain solely responsible for obtaining and renewing required credentials. Failure to maintain a valid PTIN constitutes a material breach and may result in immediate termination.

    17. NON-COMPETE COVENANT
    During the term of this Agreement and for twelve (12) months following termination, Contractor shall not directly or indirectly own, operate, manage, consult for, or provide tax preparation services for a competing tax preparation business within a twenty-five (25) mile radius of any J&M AS4P Financial Group office location from which Contractor provided services. Contractor shall not establish or assist in establishing a competing tax preparation business within the restricted area. Contractor acknowledges these restrictions are reasonable and necessary to protect the Company's goodwill, confidential information, training, and client relationships. The Company may seek injunctive relief and all other remedies available under law.

    18. CLIENT NON-SOLICITATION
    For twenty-four (24) months following termination, Contractor shall not solicit, divert, service, accept, or perform tax preparation services for any client of J&M AS4P Financial Group whom Contractor serviced or learned of through the Company.

  • Verification and Signature

  • IN WITNESS WHEREOF, the parties hereto have executed this Independent Tax Preparer Agreement as of the dates set forth below and acknowledge that this Agreement constitutes a legally binding and enforceable contract between the parties. The parties further agree that electronic signatures shall be deemed original signatures and shall have the same force and effect as handwritten signatures for all purposes.
