  • Section 2: Non-Disclosure & Data Anonymization Agreement

  • Data Protection & Anonymization Protocol
    1. Purpose: In providing cost optimization and monitoring services, Proquri will have access to sensitive SaaS vendor contracts. This section ensures that all such data remains strictly confidential and your identity is permanently protected.

    2. Practical Anonymization & "Blind Review" Protocol: As a first practical issue and a condition of this Agreement, Proquri implements a strict "Blind Review" workflow:

    Redaction at Ingestion: Immediately upon receipt of any contract, Proquri shall redact your company name and the names of all contact persons from the document.
    Anonymized Analysis: All internal reviews, including work performed by offshore teams or automated AI tools, shall be conducted strictly on these redacted, anonymized versions of the contracts.
    Identity Segregation: Your identifiable name shall be stored in a secure, separate database, linked to the relevant contract data solely via a unique Client ID. No direct link between the contract terms and your legal identity shall exist within Proquri’s primary working environment.
    3. Definition of Confidential Information: Confidential Information includes any and all data extracted from your SaaS vendor contracts, including pricing structures, Annual Recurring Revenue (ARR), unit costs, renewal dates, notice periods, and specific legal terms or escalators.

    4. Non-Identification & Zero Attribution Guarantee: Proquri strictly guarantees that it will not share directly identifiable details about you with any third party, tie specific contract terms to your identity in public/private benchmarks, or disclose your identity to vendors during negotiations without prior written consent.

    5. Permitted Use of Anonymized Data: You grant Proquri the right to use the data extracted from the contracts strictly for anonymous, aggregated benchmarking within our market database and to facilitate your ordered services. All obligations of non-identification survive the termination of this agreement indefinitely.

  • Proquri Monitor Service
    Service Description: Complete ongoing vigilance, tracking, and proactive optimization of your software investments. Proquri monitors the costs, license utilization, hidden tiers, and specific terms of your active SaaS ecosystem. We cross-reference your stack against anonymized market benchmark data to ensure you never overpay. If our data insights or evolving market conditions indicate that better terms, deeper discounts, or optimized structures can be achieved, Proquri will actively contact you to plan an optimization path before your renewal windows open.
    Pricing & Invoicing: €1200 per year for up to ten vendor contracts monitored under this agreement. Monitoring fees are invoiced directly upon the execution of this signup form.
    Agreement Term: This service runs for a standard 12-month initial period. To maintain uninterrupted tracking, the service automatically renews for subsequent 12-month intervals unless terminated in writing by either party at least 30 days prior to the annual renewal date.

  • Strategic SaaS Negotiation
    Service Description: Expert-led commercial intervention to audit and actively negotiate the costs and terms of your software agreements. Proquri acts as your commercial advisor, handling vendor friction to secure the absolute market floor price. This deployment covers a comprehensive contract review, strategy development, and direct vendor negotiation support up to a maximum limit of 30 hours per contract.
    Pricing Mechanics & Safe Net Rules:

    Renegotiations & Existing Offers (No-Cure, No-Pay applies): €2,000 flat fee (€1,500 for active Proquri Monitor service subscribers) per successfully negotiated contract. For renewals, renegotiations, or new acquisitions where you already hold a formal vendor quote, this service operates on a strict No-Cure, No-Pay safety model. If the total financial savings secured for your business over the next full year of the target contract are less than our fee, the fee is waived entirely, and you pay nothing for our work on that contract.
    New Contracts Without Existing Offers (Flat-Fee Basis): If you are acquiring an entirely new software product and do not yet have an initial offer from the vendor, Proquri will happily assist you in running the full acquisition and positioning process. However, because there is no pre-existing cost baseline available to calculate a verifiable financial saving, the No-Cure, No-Pay policy does not apply. These engagements are billed as a €2,000 flat fee (€1,500 for active Proquri Monitor service subscribers).
    Included Monitoring Bonus: Ongoing monitoring of terms and costs is included completely free of charge for the first year for any contract where a paid Strategic Negotiation fee is collected.
    Invoicing Terms: Fees for Strategic Negotiation are invoiced strictly at the point when the new, optimized commercial terms are formally confirmed by the vendor.
