Private Practice Strategy Agreement

This Agreement ("Agreement") is entered into by and between Boss Clinician, LLC ("Company" or "Strategist") and the individual named below ("Client"). By enrolling in any program, course, or coaching container offered by Company, Client agrees to the following terms.

This is a private practice strategy partnership that includes 1:1 strategy sessions, community support, onboarding and offboarding calls, and access to program resources. Specific deliverables are outlined in the offer selected at enrollment and are incorporated into this Agreement by reference.

All communication between Client and Strategist is to occur via scheduled coaching calls, email at yvette@bossclinician.com, Voxer, or the designated private client community. Company office hours are Monday through Friday, 9am–5pm PST; emails and messaged are typically answered within 24–48 hours, excluding weekends and holidays.

• Fees are as agreed upon at enrollment. Client may select a paid-in-full option or an approved payment plan.
• All sales are final. No refunds will be issued once the Program has commenced. If Client withdraws, all remaining payments remain due in full.
• Client may cancel before the Program commences by submitting a written request to yvette@bossclinician.com.
• No pauses, suspensions, or cancellations to the payment schedule will be made once this Agreement is signed unless approved solely at Company's discretion.
• Client agrees not to dispute or charge-back any payment that aligns with the agreed-upon schedule. Disputed payments may result in immediate termination of Program access and acceleration of all remaining fees.

• All Program Materials — including frameworks, trainings, templates, written content, audio, and video — are the exclusive intellectual property of Boss Clinician, LLC and are protected by applicable copyright and trademark law.
• Client may use Program Materials solely for their own individual practice development. Materials may not be reproduced, shared, resold, taught, or distributed without express written consent from Company.
• Both parties agree to keep all shared business information, strategies, client details, and personal disclosures strictly confidential during and after the Program.
• Violation of this section may result in liquidated damages of $10,000 per instance, in addition to any equitable relief Company may seek.

• Boss Clinician, LLC provides private practice business strategy services only. Nothing in this Program constitutes therapy, clinical supervision, medical advice, legal advice, or financial advice.
• While Yvette Howard holds licensure as a clinical social worker, she is acting solely in the capacity of a Private Practice Strategist in this Agreement. No therapeutic relationship is formed.
• Company makes no guarantees regarding specific revenue outcomes, client growth, or business results. Results depend on the Client's effort, implementation, and individual circumstances.

If Client's needs exceed the scope of this Agreement, Company may refer Client to additional or alternative resources.

• Company reserves the right to immediately terminate Client's access to the Program for violations of this Agreement, non-payment, or conduct that is disruptive or harmful to the community, with no refund due.
• Client may withdraw at any time; however, no refund will be issued and all remaining payments remain due.
• Upon termination, all access to Program Materials ends immediately.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO COMPANY. Company is not liable for indirect, incidental, or consequential damages of any kind. Client agrees to indemnify and hold Company harmless from any claims, damages, or expenses arising from Client's participation in the Program or misuse of Program Materials.

Client consents to Company's use of Client's name, testimonial, and likeness for marketing and educational purposes across any medium, without payment or royalty, for the duration of the business relationship and beyond. This includes recorded coaching calls unless Client opts out in writing prior to recording.

Both parties agree to refrain from making disparaging remarks about the other's business, reputation, programs, or services — publicly or privately — during or after the term of this Agreement.

The parties agree to first attempt resolution through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the Commercial Arbitration Rules of the AAA. The prevailing party is entitled to recover reasonable attorney's fees and costs. Governing law is the state in which Boss Clinician, LLC is registered.

Entire Agreement: This document constitutes the entire agreement between the parties and supersedes all prior communications.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
Electronic Signature: An electronic signature carries the same legal weight as a handwritten signature.
Force Majeure: Neither party is liable for failure to perform due to circumstances beyond reasonable control, excluding payment obligations.

By signing below, Client confirms they have read, understood, and agree to all terms of this Agreement.
