• Non Disclosure Agreement

  • CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

    This Confidentiality and Non-Disclosure Agreement ("Agreement") is entered into by and between Luke Brewer ("Disclosing Party") and the undersigned recipient ("Recipient").

    Purpose

    The Recipient wishes to review certain confidential creative materials owned by Luke Brewer, including but not limited to scripts, pitch decks, treatments, series bibles, business plans, lookbooks, videos, and other development materials (collectively, the "Materials").

    Confidential Information

    Recipient acknowledges that all Materials provided are confidential and proprietary to Luke Brewer and may contain original concepts, storylines, characters, business information, and intellectual property.

    Obligations of Recipient

    By signing below, Recipient agrees to:

    Maintain the confidentiality of all Materials received.
    Not copy, reproduce, distribute, publish, share, or disclose the Materials to any third party without prior written consent from Luke Brewer.
    Use the Materials solely for the purpose of evaluating potential business, creative, production, financing, representation, or development opportunities.
    Take reasonable measures to prevent unauthorized access to the Materials.
    Ownership

    All rights, title, and interest in the Materials remain the sole property of Luke Brewer. No ownership rights, licenses, options, or other interests are granted by providing access to the Materials.

    Term

    This Agreement shall remain in effect for a period of three (3) years from the date of execution.

    No Obligation

    Nothing in this Agreement obligates either party to enter into any business relationship, production agreement, employment agreement, or other transaction.

    Governing Law

    This Agreement shall be governed by the laws of the State of California.

    Electronic Signature

    The parties agree that electronic signatures shall be deemed valid and enforceable.
