This Catering Services Agreement (“Agreement”) is entered into between the Morehead Conference Center (“Facility”) and Caterer.
This Agreement establishes the expectations, responsibilities, and operating procedures required for all catering services provided at the Facility. The Caterer agrees to comply with all terms outlined in this Agreement while conducting business on Facility property.
The Caterer shall pay the Facility three percent (3%) of all gross catering sales generated from events held at the Facility. Payment shall be submitted within ten (10) business days following each catered event unless otherwise agreed upon in writing with the Facility management.
Insurance and Damages:
The Caterer shall at all times be required to maintain the following minimum insurance coverages:
- Commercial General Liability, per occurrence
- Personal injury and/or death - $1,000,000.00
- Property damage to premises - $300,000.00
- Medical expenses - $5,000.00
- Workers Compensation - As per Kentucky Revised Statutes
- Liquor Liability Insurance (if applicable) - $500,000
The Caterer shall at all times provide its employees with a safe workplace, safe working environment and comply with all rules and regulations of the Federal Occupational Safety and Health Act of 1970, as amended regularly.
The Caterer shall be responsible for any damages to the facility caused by the Caterer, or its employees, suppliers or contractors. Damages shall be repaired, at Caterer’s expense as promptly as possible.
Indemnity:
The Caterer agrees to indemnify, defend, and hold harmless the Morehead Conference Center, the Morehead-Rowan County Tourism Commission, the City of Morehead, Rowan County Fiscal Court, and their respective officers, employees, agents, representatives, and volunteers from and against any and all claims, demands, actions, causes of action, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorney fees, arising out of or resulting from the Caterer's performance under this Agreement, including but not limited to bodily injury, illness, death, property damage, foodborne illness, violations of law, or other acts or omissions of the Caterer, its employees, agents, subcontractors, or representatives. This indemnification obligation shall apply except to the extent that such claims, damages, losses, or expenses are caused by the sole negligence or willful misconduct of the Morehead Conference Center, Morehead-Rowan County Tourism Commission, City of Morehead, or Rowan County Fiscal Court. The provisions of this section shall survive the termination or expiration of this Agreement.
Smoking:
The Morehead Conference Center is a nonsmoking facility, and the Caterer shall prohibit smoking within the facility and within a radius of thirty (30) feet surrounding the facility.
Use of Facility:
- The Caterer is responsible for maintaining all kitchen, concession, loading dock, and service areas used during an event.
- Before leaving the Facility, the Caterer must remove all garbage from tables, kitchen or concession areas, loading dock spaces, prep areas, and any additional service locations used during the event. All trash must be properly disposed of in designated disposal areas.
- The Caterer is responsible for cleaning all workspaces used during an event. Floors in the kitchen, concession areas, loading dock, and any back hallway or service areas used by the Caterer must be swept and mopped before departure from the Facility.
- The Caterer shall not leave food, equipment, supplies, containers, boxes, serving materials, or any other items in the Facility overnight. Multiple caterers and events may utilize the Facility on a daily basis, all catering materials must be removed immediately following each event unless prior written approval has been granted by Facility management.
- If the catering is an agreed upon ‘drop off,’ the Caterer must make arrangements with client to remove left over food from the facility prior to leaving.
If additional supplies such as garbage bags, cleaning products, paper towels, or other maintenance items are needed during an event, the Caterer must notify the Facility team member on duty. Caterers shall not access restricted storage areas or remove supplies without approval.
It is the responsibility of the Caterer and Facility to ensure that no alcoholic beverages are present at events unless such beverages are served by the Caterer. The service of alcoholic beverages by the Caterer shall at all times fully comply with all applicable state and local statutes, rules, regulations, permitting, licensing requirements, ordinances, and codes pertaining to the sale, distribution, and consumption of alcoholic beverages. The Caterer shall be solely responsible for monitoring alcohol consumption by guests and for identifying any individual who appears intoxicated or has been overserved. The Caterer shall immediately discontinue the service of alcoholic beverages to any such individual and take all reasonable steps necessary to prevent further alcohol consumption by that person in accordance with applicable laws and regulations.
No catering services may begin until this Agreement has been signed and returned along with the Facility’s required cover sheet. Failure to submit both the signed Agreement and completed cover sheet will result in the Caterer not being approved to provide services at the Facility.
The Caterer agrees to conduct business in a professional manner and comply with all applicable health department regulations, fire and safety requirements, permits, licensing and Facility policies while operating on the premises.
Termination
This Agreement shall remain valid for a period of three (3) years from the date of signing unless terminated earlier by either party upon thirty (30) days’ written notice.
The Facility reserves the right to terminate this Agreement immediately if the Caterer fails to follow Facility policies, cleanliness expectations, payment requirements, or operational procedures outlined herein.
By signing below, both parties acknowledge that they have read, understood, and agreed to the terms of this Agreement.
