SL Tax & Accounting Services Agreement
SL Tax & Accounting Services 服务协议
This Agreement is entered into between SL Tax & Accounting Services ("Service Provider") and the customer submitting this form ("Service Recipient"). This Agreement becomes effective upon submission of this form and acceptance by the Service Provider and shall remain valid for one (1) year unless otherwise terminated in accordance with this Agreement.
本协议由 SL Tax & Accounting Services（以下简称“乙方”）与提交本表格的客户（以下简称“甲方”）签订。本协议自表格提交并经乙方接受后生效，有效期为一年，除非根据本协议另行终止。
Description of Services 服务说明
SL Tax & Accounting Services agrees to provide the services selected by the Service Recipient in this form.
Unless otherwise stated, all listed fees are service fees only and do not include government filing fees, state fees, bank fees, expedited processing fees, taxes, or other third-party charges.
除特别说明外，以上费用均为服务费，不包含政府注册费、州政府费用、银行费用、加急费用、税费或其他第三方费用。
** Service fees are based on the actual services selected and provided.
** 服务费用根据甲方实际选择及乙方实际提供的服务内容收取。
Payment 支付说明
The Service Recipient agrees to pay the applicable service fees associated with the selected services.
甲方同意支付所选服务对应的服务费用。
Payment shall be made through the online payment system available on the SL Tax & Accounting Services website homepage.
付款应通过 SL Tax & Accounting Services 官网首页提供的在线支付系统完成。
Service processing will begin after payment has been successfully received and confirmed.
乙方确认收到付款后，将开始处理相关服务。
Standard processing time is generally 7–15 business days. Certain services such as nonprofit organizations, private foundations, licensing matters, or government approvals may require additional time.
标准处理时间通常为7至15个工作日。部分服务（如非营利组织、基金会、许可证申请或政府审批事项）可能需要更长时间。
Compliance with Applicable Laws
遵守适用法律法规
The Service Provider shall comply with all applicable federal, state, and local laws and regulations when providing services under this Agreement.
乙方在履行本协议项下服务时，应遵守适用的联邦、州及地方相关法律法规。
Confidentiality 保密条款
The Service Provider and its employees, contractors, agents, or representatives shall keep all customer information confidential and shall not disclose such information except as required to perform the requested services or as required by law.
乙方及其员工、承包商、代理人或代表应对甲方提供的信息严格保密，除履行服务所必需或法律要求外，不得向第三方披露。
This confidentiality obligation shall survive termination of this Agreement.
本保密义务在本协议终止后继续有效。
Indemnification 赔偿条款
The Service Provider agrees to indemnify and hold the Service Recipient harmless from claims, losses, damages, expenses, attorney fees, and judgments directly resulting from the Service Provider's negligence or willful misconduct.
如因乙方重大过失或故意不当行为导致甲方遭受损失，乙方同意承担相应赔偿责任，包括合理律师费及相关费用。
Warranty 服务保证
The Service Provider agrees to perform all services in a professional and timely manner consistent with generally accepted industry standards.
乙方承诺按照行业公认标准，以专业、及时的方式提供服务。
Dispute Resolution 争议解决
The parties agree to first attempt to resolve any dispute through good-faith negotiations.
双方同意首先通过友好协商解决争议。
If negotiations fail, the parties agree to submit the dispute to mediation before pursuing legal remedies.
如协商无法解决争议，双方同意首先通过调解方式解决争议。
Entire Agreement 完整协议
This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements relating to the services described herein.
本协议构成双方完整协议，并取代此前与本服务相关的所有书面或口头协议。
Severability 可分割性
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
如本协议任何条款被认定无效或不可执行，其余条款仍然有效。
Amendment 修改
Any amendment to this Agreement must be made in writing and accepted by both parties.
本协议的任何修改均须以书面形式作出，并经双方确认。
Governing Law 适用法律
This Agreement shall be governed by and construed in accordance with the laws of the State of Washington.
本协议应根据美国华盛顿州法律进行解释和执行。
Waiver 放弃权利
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that provision or any other provision.
任何一方未行使本协议项下权利，不构成对该权利的永久放弃。
Language 语言说明
This Agreement is provided in both English and Chinese. In the event of any inconsistency, ambiguity, or conflict between the English and Chinese versions, the English version shall prevail.
本协议采用中英文双语版本。如中英文内容存在任何差异、歧义或冲突，以英文版本为准。
Service Fee Confirmation 服务费确认
Based on services selected on the form and amount mentioned.
上述服务费用总计根据本表格中所选择的服务项目自动计算
By submitting this form and signing electronically below, the Service Recipient acknowledges that they have read, understood, and agreed to the selected services, service fees, and terms of this Agreement.
提交本表格并完成电子签名，即表示甲方已阅读、理解并同意所选服务、服务费用及本协议全部条款。
